Employee Invention Agreements. OpGen’s employees, consultants and subcontractors who are employed to do research, development or other inventive work in connection with OpGen Intellectual Property are subject to agreements providing for the assignment of all interest in such work and intellectual property to OpGen. During the Term of this Agreement, OpGen shall cause its employees, consultants and subcontractors who are employed to do research, development or other inventive work in connection with the Collaboration to be bound by an agreement providing for the assignment of all interest in such work and resulting intellectual property to OpGen.
Employee Invention Agreements. HHT’s employees, consultants and subcontractors who are employed to do research, development or other inventive work in connection with HHT Intellectual Property are subject to agreements providing for the assignment of all interest in such work and intellectual property to HHT, as applicable. During the Term of this Agreement, HHT shall cause its employees, consultants and subcontractors who are employed to do research, development or other inventive work in connection with the Collaboration to be bound by an agreement providing for the assignment of all interest in such work and resulting intellectual property to HHT, as applicable.
Employee Invention Agreements. Licensee agrees that all Licensee employees, agents and consultants given access to the Licensed Technology shall sign a confidentiality agreement and invention assignment agreement whereby any improvements, enhancements and new inventions relating to the Licensed Technology are required to be disclosed and assigned to the Licensee and then the Licensor.
Employee Invention Agreements. Employee Invention Agreements. Except as set forth on Schedule 6.10, all current employees, contractors and consultants who have performed work for the Business (including but not limited to all the Employees) and any other third parties who have been involved in the development of any Intellectual Property or other Asset, have executed and delivered invention assignment and confidentiality agreements, in a form sufficient to vest all right, title and interest in Sellers in and to all Intellectual Property in work product created during the course of work in the Business ("Employee Inventions Agreements"), and all current employees, contractors and consultants of the Business who have access to confidential information or trade secrets authored, created or developed in the conduct of the Business have executed nondisclosure agreements containing reasonable restrictions on the use and disclosure of material nonpublic information pertaining to the Business and Assets. Except as set forth on Schedule 6.10, all former employees of the Business who have been involved in the development of any material Intellectual Property or other Asset have executed and delivered an Employee Inventions Agreement. Sellers have taken reasonable steps to protect the secrecy and confidentiality of all material nonpublic information pertaining to the Business and Assets.
Employee Invention Agreements. Between the date of this Agreement and the Closing Date, the Company shall use its reasonable efforts to, and shall cause its Subsidiaries to use their reasonable efforts to, enter into written agreements between the Company or such Subsidiary and each current and former director, officer, management Employee or technical and professional Employee, which provide that such director, officer, or Employee will maintain in confidence all confidential or proprietary information acquired by them in the course of their employment with the Company or a Subsidiary, and to assign to the Company or such Subsidiary all inventions made by them within the scope of their employment during such employment and for a reasonable period thereafter (collectively, the “Employee Invention Agreements”). Promptly after entering into each such Employee Invention Agreement, the Company shall provide a true, correct and complete copy of each fully executed agreement to the Acquiror.
Employee Invention Agreements. Weyerhaeuser hereby assigns to Paragon, ----------------------------- to the extent that they are assignable, the Employee Invention Agreements signed by all former Weyerhaeuser employees who were employed in the Business to the extent of all inventions relating to Primary Intellectual Property Rights conceived before the Closing Date.

All employees, contractors and consultants of Seller, any Seller Subsidiary or any other affiliate of Seller (including but not limited to all the Employees and all the Consultants) and any other third parties who have been involved in the development of any Product or any Purchased Asset, have executed invention assignment and confidentiality agreements in the form delivered to Purchaser's counsel, and all employees and consultants of Seller who have access to confidential information or trade secrets authored, created or developed in the conduct of the Storage Products Business and/or the Purchased Assets have executed nondisclosure agreements in the form delivered to Purchaser's counsel. Seller has taken reasonable steps, consistent with industry standards, to protect the secrecy and confidentiality of all nonpublic information pertaining to the Products and other Key Assets, the secrecy of which is customarily protected in the semiconductor device industry, including (without limitation) the marking of all Seller Confidential Information (as defined below) with appropriate "Proprietary" or "Confidential" legends, the establishment of policies for the handling, disclosure and use of confidential or propriety information and the acquisition of valid written non-disclosure agreements from any party receiving the same.
Employee Invention Agreements. Assignee agrees that all employees, agents and consultants given access to the Products shall sign a confidentiality agreement and invention assignment agreement whereby any improvements, enhancements and new inventions relating to the Products are required to be disclosed and assigned to the Assignee.

PDS FINANCIAL agrees that all PDS FINANCIAL employees, agents and consultants given access to the Designated Technology shall sign a confidentiality agreement and invention assignment agreement whereby any improvements, enhancements and new inventions relating to the Designated Technology are required to be disclosed and assigned to DIGIDEAL, or to PDS FINANCIAL and PDS FINANCIAL shall reassign such to DIGIDEAL if required by the provisions of part 47. 49.
