Employees Covenants and Agreements. (a) Employee agrees to maintain full and complete records of all transactions and of all services performed by Employee on behalf of the Company and to submit this information to the Company in the manner and at the times that the Company may, from time to time, direct.
Employees Covenants and Agreements. Section 4.1 Non-Disclosure of Confidential Information. Employee covenants and agrees to hold and safeguard the Confidential Information in trust for Employer, its successors and assigns and agrees that he shall not, without the prior written consent of Employer, misappropriate or disclose or make available to anyone for use outside Employer's organization at any time, either during his employment with Employer or subsequent to the termination of his employment with Employer for any reason, including without limitation termination by Employer for Cause or without cause, any of the Confidential Information, whether or not developed by Employee, except as required in the performance of Employee's duties to Employer; provided, however, that the foregoing shall not apply to (i) any information generally available to the public or which becomes generally available to the public through no fault of Employee, but only from and after the date such information becomes so available, (ii) any -67- 72 information obtained by Employee from a third party which Employee has no reason to believe is violating any obligation of confidentiality to Employer or any of its Affiliates, or (iii) any information Employee is required by law to disclose.
Employees Covenants and Agreements. 4 (a) Employee has entered into the Employee Stock Option Agreements listed on Exhibit A to the Employment Agreement (collectively, the "Specified Agreements"). The Company is entering into this Agreement in reliance on the existence and validity of Section 4 of the Specified Agreements, which is incorporated herein by reference. Any breach of Section 4 of the Specified Agreements will be deemed to be a breach of this Agreement.
