EMPLOYEE'S EXPENSES. All costs and expenses (including reasonable legal, accounting and other advisory fees) incurred by the Executive to (i) defend the validity of this Agreement, (ii) contest any determination by the Company concerning the amounts payable (or reimbursable) by the Company to the Executive under this Agreement, (iii) determine in any tax year of the Executive, the tax consequences to the Executive of any amount payable (or reimbursable) under Section 7(b) or 7(c) hereof, or (iv) prepare responses to an Internal Revenue Service audit of, and to otherwise defend, his personal income tax return for any year which is the subject of any such audit, or an adverse determination, administrative proceedings or civil litigation arising therefrom that is occasioned by or related to any audit by the Internal Revenue Service of the Company's income tax returns, are, upon written demand by the Executive, to be promptly advanced or reimbursed to the Executive, or paid directly, on a current basis, by the Company or its successors.

EMPLOYEE'S EXPENSES. Section One. An employee shall be reimbursed at the U.S. General Services Administration rate per mile for authorized use of his/her privately owned vehicle. The rate shall be adjusted within thirty (30) days of readjustment by the G.S.A. Reimbursement shall be made for miles traveled in excess of the normal commuting distance to and from the employee's permanent work station. Bargaining unit employees shall not be directed to use their personal vehicles for State business, except under extraordinary circumstances.
EMPLOYEE'S EXPENSES. All costs and expenses, including reasonable legal, accounting and other advisory fees, incurred by the Employee to prepare responses to an Internal Revenue Service audit of, and otherwise defend, his personal income tax return for any year that is the subject of any such audit or an adverse determination, administrative proceeding or civil litigation arising therefrom that is occasioned by, or related to, an audit by the Internal Revenue Service of the Subsidiary's consolidated income tax returns are, upon written demand by the Employee explaining the basis for the request for such reimbursement or advancement, to be promptly advanced or reimbursed to the Employee or paid directly, on a current basis, by the Subsidiary or its successors. Subject to the first paragraph of this Section 24 and except as otherwise provided in this Agreement, if at any time during the term of this Agreement or afterwards there should arise any litigation, hearing or arbitration as to the interpretation or application of any term or condition of this Agreement, the Subsidiary agrees, upon written demand by the Employee (and the employee shall be entitled upon application to any court of competent jurisdiction, to the entry of a mandatory injunction, without the necessity of posting any bond with respect thereto, compelling the Subsidiary), promptly to provide sums sufficient to pay on a current basis, either directly or by reimbursing the Employee, the Employee's costs and reasonable attorneys' fees, including, without limitation, expenses of investigation and disbursements for the fees and expenses of experts, incurred by the Employee in connection with any such litigation, hearing or arbitration; provided, however, if the Employee is not the prevailing party in such litigation, hearing or arbitration, then Employee shall pay or reimburse the Subsidiary for its costs and reasonable attorneys' fees, including, without limitation, expenses of investigation and disbursements for the fees and expenses of experts (other than Affiliates), incurred by the Subsidiary in connection with any such litigation, hearing or arbitration, together with all such costs and fees previously paid by the Subsidiary to or for the benefit of Employee in connection with such litigation, hearing or arbitration.

EMPLOYEE'S EXPENSES. All costs and expenses (including reasonable legal and accounting fees) incurred by Employee (a) to defend the validity of this Agreement, (b) if Employee's employment has been terminated by the Company for Cause, to contest such termination, (c) to contest any determinations by the Company concerning the amounts payable by the Company under this Agreement or (d) to otherwise obtain or enforce any right or benefit provided to Employee by this Agreement (including, without limitation, any right or benefit under this Section 9), shall be paid by the Company unless it is expressly found by a court of competent jurisdiction that the actions of Employee pursuant to subparts (a), (b), (c) and/or (d) of this Section 9 (whichever is applicable) were taken in bad faith or without a reasonable basis.

EMPLOYEE'S EXPENSES. 3.1 Reasonable Expense Reimbursement: Company shall reimburse Employee in respect of all expenses properly and necessarily incurred in the performance of his duties under this Agreement on production of appropriate supporting vouchers and documents as Company may require.
EMPLOYEE'S EXPENSES. All costs and expenses (including reasonable legal, accounting and other advisory fees) incurred by Executive to (i) determine in any tax year of Executive, the Tax consequences to Executive of any amount payable (or reimbursable) under Section 7(b) or 7(c) hereof, or (ii) prepare responses to an Internal Revenue Service or Canada Customs and Revenue Agency audit of, and to otherwise defend, his personal income tax return for any year which is the subject of any such audit, or an adverse determination, administrative proceeding or civil litigation arising therefrom that is occasioned by or related to any audit by Internal Revenue Service or the Canada Customs and Revenue Agency of the Company's income tax returns, shall, upon written demand by Executive, be promptly advanced or reimbursed to Executive, or paid directly, on a current basis, by the Company or its successors; provided, however, in no event shall the Company be required to advance or reimburse to Executive or pay directly more than seventy-five thousand Canadian dollars ($75,000 CDN) in any given fiscal year pursuant to this Section 4(e).
EMPLOYEE'S EXPENSES. 1. All employees shall be compensated at the appropriate Internal Revenue Service (IRS) mileage reimbursement rate during any given year of this Agreement when required to use their vehicle on authorized Township business. They shall be compensated for all tolls and parking fees.
