Employment Period Termination. (a) The Executive’s employment under this Agreement shall continue unabated until terminated by either party pursuant to the terms of this Agreement.

Employment Period Termination. (a) The Executive’s employment under this Agreement shall commence on the Effective Date and shall continue thereafter unabated until terminated upon the earlier to occur of the following events: (i) the close of business on the fifth (5th) anniversary of this Agreement (with the initial five (5) year term of this Agreement being referred to herein as the “Initial Term”) or (ii) otherwise as provided below, provided, however, that, on the fifth anniversary of the date of this Agreement, and on every subsequent annual anniversary, and unless either party has given the other party written notice at least sixty (60) days prior to the such anniversary date, the term of this Agreement and the Employment Period shall be renewed for a term ending one (1) year subsequent to such date (each such one-year term shall be referred to herein as a “Renewal Term”), unless sooner terminated as provided herein. For the purposes of this Agreement, the Initial Term and each Renewal Term shall collectively be referred to as the “Employment Period”.
Employment Period Termination. Section 5 of the Employment Agreement is hereby amended in the following respects:
Employment Period Termination. (a) Unless renewed by mutual agreement of the Parties, the Employment Period shall end on December 31, 2024, but shall automatically renew on the same terms and conditions set forth herein for additional one year terms unless the Company or Executive gives the other Party written notice of its election not to renew the Employment Period at least ninety (90) days prior to the then current expiration date (a “Non-Renewal Notice”); provided that the Employment Period shall terminate prior to such date (i) upon Executive’s resignation or death, (ii) upon the Company’s termination of Executive’s employment hereunder with or without Cause, or (iii) upon termination of Executive’s employment with the Company as a result of his Disability, in each case as further described in this Section 5, as applicable.

For the purposes of this Agreement, the period that the Executive is employed hereunder shall be referred to as the “Employment Period.” For the avoidance of doubt, a termination of the Executive’s employment as a result of a non-renewal of this Agreement by the Executive pursuant to Section 5(b) shall be deemed a voluntary resignation without Good Reason as such term is defined herein, for all purposes hereunder.
Employment Period Termination. (a) The Executive’s employment under this Agreement shall commence on the Effective Date of this Agreement, and shall continue thereafter until terminated upon the earlier of any of the following events (the “Employment Period”): (i) the close of business on the third anniversary of this Agreement; (ii) termination by the Executive for Good Reason (as defined below); (iii) termination by the Executive Without Good Reason (as defined below); (iv) termination by the Company for Cause (as defined below); (v) termination by the Company Without Cause (as defined below); (vi) Executive’s Disability (as defined below); or, (vii) Executive’s Death (as defined below); provided, however, that, if Executive is still employed by the Company on the third anniversary of the date of this Agreement, and if the Executive is still employed by the Company on any subsequent annual anniversary, and unless either party has given the other party written notice of their desire to allow the Agreement to expire pursuant to its terms at least ninety (90) days prior to such anniversary date, or either party has provided notice of termination of employment for any reason, the Executive and the Company hereby agree to extend the Employment Period for either (1) one year subsequent to such anniversary if no Change of Control (as defined below) has occurred (the “Renewal Employment Period”); or (2) until the close of business on the third anniversary of a Change of Control (the “Change of Control Period”), if a Change of Control occurs; unless the Renewal Employment Period or the Change of Control Period are terminated earlier for any of the following reasons: (A) by the Executive for Good Reason; (B) by the Executive Without Good Reason; (C) by the Company for Cause; (D) by the Company Without Cause; (E) Executive’s Disability; or, (F) Executive’s Death.

For the purposes of this Agreement, the Term and each Renewal Term (and continued employment through the Change of Control Period) shall collectively be referred to as the “Employment Period.”
