Engagement of Operator. Owner hereby engages Operator to act as an independent contractor, and appoints Operator as its agent with full power and authority, to perform the Services in accordance with the terms and conditions of this Agreement. Operator hereby accepts such engagement and agrees to provide or cause to be provided the Services in accordance with the terms and conditions, and subject to the limitations, set forth in this Agreement.
Engagement of Operator. Owner hereby engages Operator to be the sole and exclusive person to supervise and direct the day-to-day Business in accordance with the terms and provisions of this Management Agreement. Operator agrees that it will supervise and direct the day-to-day Business as a top-rated hotel comparable to other hotels of the same class, condition and franchise. Operator and Owner shall endeavor to jointly determine operating policy, standards of operation, quality of service and any other policy matters affecting customer relations or the Business. In the event that Operator and Owner cannot reach a joint decision on operating policy, Operator’s decision on policy shall control, subject to adherence to the Budget.
Engagement of Operator. Subject to the terms and conditions of this Agreement, (a) the Owner hereby engages Operator as its sole and exclusive agent for operating, maintaining and managing the Theatre during the Term, and (b) Operator hereby accepts such engagement and agrees to fulfill its duties hereunder and to operate, manage, direct, maintain and supervise the Theatre during the Term in a good, businesslike manner and at a standard comparable to the theatres operated by Operator on its own behalf or for third parties.
Engagement of Operator. The Commission hereby engages the Operator to operate, and the Operator agrees to operate the Facilities for and on behalf of the Commission, upon and subject to the terms and provisions of this Agreement. The Facilities will be located on the Lands. Unless otherwise agreed in writing between the parties, the Commission shall not have any rights of ownership in the Lands.
Engagement of Operator. 1. Effective on the Effective Date, Owner engages Operator to operate and maintain the System and perform certain duties, all as hereinafter set forth in this Agreement, and Operator accepts such engagement to operate and maintain the System and perform the duties specified in this Agreement in accordance with its terms and conditions.
Engagement of Operator. On the terms and conditions set forth in this Agreement, Owner hereby engages Operator to perform the Services (as defined below), including the Services as set forth in Exhibit C, and the Additional Services, if any, in accordance with the procedure set forth in Section 1.04(c), all in consideration of the Service Fees set forth in Article 2. Operator hereby accepts the engagement and agrees to perform the Services in accordance herewith.
Engagement of Operator. Owner hereby engages Operator to act as the exclusive operator of the Liquor Operations during the Term (as defined below), with exclusive responsibility and full control and discretion in the operation, direction, management and supervision of the Liquor Operations, and Operator hereby agrees to be so engaged by Owner, subject to the agreements, terms and conditions contained herein.
Engagement of Operator. (a) Engagement of Operator. Owner hereby appoints, authorizes and engages Operator, as an independent contractor, to act as the exclusive operator and manager of the Club during the Term (as hereinafter defined) with exclusive responsibility for, and control over, the operation, management, supervision and direction of the Club (and its staff) as a luxury spa and first class health/fitness club, which appointment and authorization is subject only to the terms, conditions, restrictions, limitations, and approval rights set forth in this Agreement.
Engagement of Operator. 3.1 During the Transition Period, Operator shall provide to the Owner the Transition Period consulting services described in Exhibit “C-1” hereto (collectively, the “Transition Services”).
Engagement of Operator. As of the Closing Date, Owner hereby appoints Operator, and Operator hereby accepts the appointment, to operate and maintain the Facility, and to perform the Services, on and subject to the terms and conditions of this Agreement. This Agreement shall automatically terminate on May 31, 2020 if the Closing Date has not occurred by such date.
