Engagement of Third-Party Expertise. The Division and the Office currently expect to engage third-party Consultants to assist them in discussions and proceedings related to the development and initial approval of the Program. The Division and the Office shall have complete discretion in deciding whether to engage third-party Consultants to assist with the activities associated with initial approval of the Program, which Consultants to engage, and the services to be performed by the Consultants, and neither the Agency nor the Company shall have any input or oversight into the process by which the Division and the Office engage such Consultants or how the Consultants perform such services. If the Division and/or the Office engage third-party Consultants to assist with activities associated with initial approval of the Program, each entity shall exercise sole discretion in setting the rates and terms of service for such Consultant. Each entity shall likewise have sole discretion in implementing policies and procedures to define the relationship between the entity and the Consultant it hires, including procedures for the submission of invoices for work performed. Each entity shall have sole discretion in reviewing and approving the invoices submitted by such Consultant. In exercising this discretion, each entity shall apply the same methods and standards of care exercised in other dockets before the Commission in which the agency engages expert consultants and approves invoices. Notwithstanding the foregoing, neither the Agency nor the Company shall be obligated to the Division or the Office for any fees or expenses charged by Consultants that are not actually incurred in connection with the initial development and approval of the Program.

  • Involvement of third parties A Party that enters into a subcontract or otherwise involves third parties (including but not limited to Affiliated Entities) in the Project remains responsible for carrying out its relevant part of the Project and for such third party’s compliance with the provisions of this Consortium Agreement and of the Grant Agreement. It has to ensure that the involvement of third parties does not affect the rights and obligations of the other Parties under this Consortium Agreement and the Grant Agreement.

  • ENGAGEMENT OF THE PROVIDER The OAG engages the Provider to perform services as specified in this Agreement. All services are to be performed solely by the Provider and may not be subcontracted or assigned without prior written consent of the OAG. The consent of the OAG does not vest any rights in the subcontractor or create any obligation on behalf of the OAG to the subcontractor. All subcontract agreements will contain a disclosure to this effect.   • Contract for Professional Services of Physicians Optometrists, and Registered Nurses In accordance with Senate Bill 799, Acts 2021, 87th Leg., R.S., if Texas Government Code, Section 2254.008(a)(2) is applicable to this Contract, Contractor affirms that it possesses the necessary occupational licenses and experience.

  • INDEPENDENT PERSONAL SERVICES 1. Income derived by a resident of a Contracting State in respect of professional services or other activities of an independent character shall be taxable only in that State except in the following circumstances, when such income may also be taxed in the other Contracting State:

  • SERVICES OF CONSULTANT Consultant agrees to perform for Client the Services. As such Consultant will provide bona fide services to Client. The services to be provided by Consultant will not be in connection with the offer or sale of securities in a capital-raising transaction, and will not directly or indirectly promote or maintain a market for Client's securities.

  • Professional Activities The Superintendent/Principal shall be encouraged to attend appropriate professional meetings at the local, state, and national levels. Within budget constraints, such costs of attendance shall be paid by the Board. The Superintendent/Principal’s attendance at professional meetings at the national level must have prior approval of the Board.

  • Project Personnel It is understood and agreed that the Project Director identified at Item 3, Page One of this Agreement shall be responsible for the overall supervision and conduct of the Work on behalf of the Contractor and that the persons described in the Statement of Work shall serve in the capacities described therein. Any change of Project Director by the Contractor shall be subject to the prior written approval of NYSERDA. Such approval shall not be unreasonably withheld, and, in the event that notice of approval or disapproval is not received by the Contractor within thirty (30) days after receipt of request for approval by NYSERDA, the requested change in Project Director shall be considered approved. In the event that NYSERDA requires additional time for considering approval, NYSERDA shall notify the Contractor within thirty (30) days of receipt of the request for approval that additional time is required and shall specify the additional amount of time necessary up to thirty (30) days.
