Enjoyment of Leased Property. The Trustee covenants that, during the Lease Term and so long as no Event of Default shall have occurred, the County shall peaceably and quietly have, hold and enjoy the Leased Property without suit, trouble or hindrance from the Trustee, except as expressly required or permitted by this Lease.
Enjoyment of Leased Property. (a) The Trustee will provide the City during the Lease Term with quiet use and enjoyment of the Leased Property (subject to Permitted Encumbrances). The City will, during the Lease Term, peaceably and quietly have, hold and enjoy the Leased Property, without suit, trouble or hindrance from the Trustee, except as expressly set forth in this Lease. The City may use the Leased Property for any governmental or proprietary purpose of the City, subject to the limitations contained in this Lease.
Enjoyment of Leased Property. The Trustee hereby covenants that the County shall during the Lease Term peaceably and quietly have, hold and enjoy the Leased Property without suit, trouble or hindrance from the Trustee, except as expressly required or permitted by this Lease or the Indenture. The Trustee shall, at the request of the County and at the cost of the County, join and cooperate fully in any legal action in which the County asserts its right to such possession and enjoyment, or which involves the imposition of any taxes or other governmental charges on or in connection with the Leased Property. In addition, the County may at its own expense join in any legal action affecting its possession and enjoyment of the Leased Property and shall be joined in any action affecting its liabilities hereunder. The provisions of this Article V shall be subject to the Trustee’s right to inspect the Leased Property. The County also hereby consents to the inspection by the Trustee of all books, accounts and records maintained by the County with respect to the Leased Property and this Lease.

The Lender hereby covenants that the Town shall during the Lease Term peaceably and quietly have, hold and enjoy the Leased Property without suit, trouble or hindrance from the Lender, except as expressly required or permitted by this Financing Lease. The Lender shall, at the request of the Town and at the cost of the Town, join and cooperate fully in any legal action in which the Town asserts its right to such possession and enjoyment, or which involves the imposition of any taxes or other governmental charges on or in connection with the Leased Property. In addition, the Town may at its own expense join in any legal action affecting its possession and enjoyment of the Leased Property and shall be joined in any action affecting its liabilities hereunder. The Town also hereby consents to the inspection by the Lender of all books, accounts and records maintained by the Town with respect to the Leased Property and this Financing Lease.

Enjoyment of Leased Property. Demising Clause. The State demises and leases the State’s leasehold estate under the 2017J Lease in the land described in Exhibit A hereto (the “Land” for purposes of this Sublease) and the buildings, structures and improvements now or hereafter located on the Land (together with the Land, the “Leased Property” for purposes of this Sublease) to the Sublessee in accordance with the terms of this Sublease, subject only to Permitted Encumbrances, to have and to hold for the Sublease Term.

The State covenants that, during the Sublease Term and so long as no Event of Default hereunder shall have occurred, the Sublessee shall peaceably and quietly have, hold and enjoy the Leased Property without suit, trouble or hindrance from the State, except as expressly required or permitted by this Sublease. Enjoyment of Leased Property. The Site Lessor covenants that, during the Site Lease Term and so long as no Event of Default hereunder shall have occurred, the Trustee shall peaceably and quietly have, hold and enjoy the Leased Property without suit, trouble or hindrance from the Site Lessor, except as expressly required or permitted by this Site Lease. Enjoyment of Leased Property. ZB hereby covenants that the County shall during the Lease Term peaceably and quietly have, hold and enjoy the Leased Property without suit, trouble or hindrance from ZB, except as expressly required or permitted by this Lease. ZB shall, at the request and cost of the County, and, to the extent permitted by law, indemnification of ZB, join and cooperate fully in any legal action in which the County asserts its right to such possession and enjoyment, or which involves the imposition of any taxes or other governmental charges on or in connection with the Leased Property. The County also hereby consents to the inspection by ZB of all books, accounts and records maintained by the County with respect to the Leased Property and this Lease.

The City hereby covenants that the Authority shall during the Lease Term peaceably and quietly have, hold and enjoy the Leased Property without suit, trouble or hindrance from the City, except as expressly required or permitted by this Lease. The City shall, at the request of the Authority and at the cost of the Authority, join and cooperate fully in any legal action in which the Authority asserts its right to such possession and enjoyment, or which involves the imposition of any taxes or other governmental charges, if any, on or in connection with the Leased Property. In addition, the Authority may at its own expense join in any legal action affecting its possession and enjoyment of the Leased Property and shall be joined in any action affecting its liabilities hereunder. The Parties also hereby consent to the inspection by the other Party of all books, accounts and records maintained by each Party with respect to the Leased Property, the Cooperation Agreement, CEDC Resolution No. 1, and this Lease.
