Evaluation Copies. OEM may deliver copies of Bundled Products to prospective End User Customers on a trial basis for evaluation purposes only (each, an "Evaluation Copy") provided that each such prospective End User Customer has received a written or electronic trial license prohibiting the End User Customer from copying, modifying, reverse engineering, decompiling or disassembling the RSA Object Code or any part thereof. All Evaluation Copies licensed shall contain a feature which disables the Evaluation Copy no later than sixty (60) days after delivery to the prospective End User Customer. No License Fees shall be reportable or payable with respect to Evaluation Copies unless and until the Evaluation Copy is replaced with or converted to a standard Bundled Product or the End User Customer is invoiced for the Bundled Product, whichever occurs first.
Evaluation Copies. You may deliver copies of Client Licensed Products whose distribution is not prohibited in the attached "License/Product Schedule Exhibit" to prospective End User Customers on a trial basis for evaluation purposes only (each, an "Evaluation Copy"). No License Fees shall be reportable or payable with respect to Evaluation Copies unless and until (i) the Licensed Service is activated using the applicable Client Licensed Product; (ii) the End User Customer pays for or is invoiced for the Licensed Service; or (iii) the End User Customer's use of the Evaluation Copy, for any reason, continues beyond sixty (60) days, whichever occurs first.
Evaluation Copies. Licensee may distribute evaluation copies ("Evaluation Copies") to End Users without incurring a royalty provided that such Evaluation Copies are designed such that all of the software on the Evaluation Copies "times out" and becomes unusable no later than 30 days from the date of receipt of such Evaluation Copies by the End User. * Confidential portions omitted and filed separately with the Securities and Exchange Commission. Evaluation Copies. With respect to the Bundled Products covered by this License/Product Schedule, the second sentence of Section 3.9 of the Agreement is amended in its entirety to read as follows: "All Evaluation Copies licensed (i) shall contain a feature which disables the Evaluation Copy no later than ninety (90) days after the first installation of the Evaluation Copy by the prospective End User Customer, or (ii) in the case of up to a maximum of two hundred (200) copies in any calendar year delivered only to major consulting businesses who have signed OEM's VAR Partner agreement, shall contain a feature which disables the Evaluation Copy on the earlier of the next June 30 or the next December 31."
Evaluation Copies. ASP Partner may deliver copies of the Product for evaluation purposes only (an "Evaluation Copy") to a prospective End User after it has signed a evaluation license with at a minimum the provisions contained in Exhibit C (except that back-up and/or archival copies may not be made and upon termination of the evaluation license, all copies of the Product must be returned to ASP Partner [i.e., certification of destruction will not be enough]). All such Evaluation Copies shall be reported in the Quarterly Reports Exhibit D contemplated by Section 4.1 but will show no royalty owing. Any Evaluation Copies not removed at the completion of the evaluation period or 90 days from delivery to End User (whichever occurs first) are deemed to be perpetually licensed, and End-User License Fees shall be due to Broadbase from ASP Partner as of that date.
Evaluation Copies. Notwithstanding Paragraph 2 above, Verity grants ----------------- Licensee the right to provide evaluation copies of the Application incorporating the Run-Time Software ("Evaluation Copies") to End Users. The Evaluation Copies shall be limited to a maximum number of [***] copies at any given time. The evaluation period for each Evaluation Copy shall be for a period of [***] days from receipt by the End User unless otherwise authorized in writing by Verity. The End User shall be authorized to use the Evaluation Copy solely for evaluating its applicability to its requirements and shall not be for any commercial or private benefit use. Licensee may provide Evaluation Copies only to End Users who have executed a written evaluation agreement substantially similar to Verity's standard evaluation agreement, a copy of which will be provided to Licensee upon written request. Licensee shall include the following information with each order for an Evaluation Copy: (i) Application name; (ii) End User's platform; (iii) the make/model, operating system/version, and serial number of End User's computer; and (iv) the media type of the Evaluation Copy shall be Verity's then-current list price for the Software less the following discount. Evaluation Copies. Notwithstanding anything to the contrary, Licensee may produce and distribute demonstration copies of the Licensed Software, to potential Users or evaluators, provided that, such copies are (i) limited in number; and (ii) limited for a period of time, which period shall be no longer than ninety (90) days; and (iii) clearly marked “For demonstration only - Not for Resale” or similar language. Licensor agrees to waive License Fees (as defined in section 7 hereunder) due for such demonstration or evaluation copies, as long as they were made available to the potential User or evaluator at no cost and for a limited period of time.
Evaluation Copies. Notwithstanding Paragraph 2 above, Verity grants Licensee the right to provide evaluation copies of the Application incorporating the Run-Time Software ("Evaluation Copies")
Evaluation Copies. To facilitate electronic distribution (download copies) of evaluation software, Licensor will deliver to Pumatech evaluation versions of the Programs with functionality that permits Pumatech to limit the number of users and the time that the evaluation copy can be used. During the Term and subject to the terms and conditions of this Agreement, Licensor grants Pumatech a non-exclusive, fully paid-up, royalty-free license in the Territory, with the right to sublicense to Distributors, to use, reproduce and distribute Evaluation Copies to prospective customers pursuant to a License Agreement and solely for purposes of allowing potential customers to assess whether or not to acquire a license of the Programs. Evaluation versions of the Programs may be distributed as part of Pumatech product packages, separate packages or as downloadable software. The term of the standard evaluation license shall be thirty days; however, Pumatech and its Distributors, in their discretion, on a case-by-case basis, may extend the term to not greater than 120 days.
Evaluation Copies. Dialogic may provide royalty-free evaluations of the Licensed Software, for up to 90 days, to End User Customers or potential End User Customers. Dialogic shall be responsible for enforcing and supporting such evaluations.
