The Excessive Demand clause sets limits on the amount of goods or services a party is required to supply when demand exceeds normal or anticipated levels. In practice, this clause may allow a supplier to cap deliveries or delay fulfillment if customer orders surpass a specified threshold, or if fulfilling such orders would disrupt regular operations. Its core function is to protect suppliers from being overwhelmed by unexpectedly high demand, ensuring business continuity and preventing resource strain.
Excessive Demand. If City receives any payments from the aforementioned bank under the letter of credit by reason of having made a wrongful or excessive demand for payment, City will return to Contractor the amount by which City's total receipts from Contractor and from the bank under the letter of credit exceeds the amount to which City is rightfully entitled, together with interest thereon at the legal rate of interest, but City will not otherwise be liable to Contractor for any damages or penalties.
Excessive Demand. Notwithstanding the foregoing provisions of this Article, Landlord shall not be responsible if the normal operation of the Building heating or ventilating system or the air conditioning system serving the Premises shall fail to provide service in accordance with the requirements of this Lease in any portions of the Premises (a) which shall have an electrical load for all purposes (including lighting and power) in excess of the Building's electrical specifications, as reasonably determined by Landlord's consulting. engineer, or which shall have a human occupancy factor in excess of one person per 100 square feet of usable area, or (b) because of any rearrangement of partitioning or other Alterations made or performed by or on behalf of Tenant or any person claiming by, through or under Tenant. Tenant shall cooperate fully with Landlord at all times and abide by all regulations and requirements which Landlord may reasonably prescribe for the proper functioning and protection of the heating, ventilating and air conditioning systems.
Excessive Demand. Heavy demands on the City’s system may result in diminished pressure or supply to ▇▇▇▇▇▇▇ City without prior warning or notification. All reasonable efforts shall be made by the City to restore service as expediently as possible.
Excessive Demand. In the event of a shortage or anticipated shortage of the Products and/or delay in shipment or delivery occasioned by any of the force majeure events set forth in Section 11.1 herein, GENSIA will endeavor to allocate equitably the available product to OHMEDA PPD and to GENSIA's own use on the basis of historic useage over the previous twelve month period. If the demand by OHMEDA PPD during an Annual Period exceeds the amount forecasted in the initial Demand Schedule for such Annual Period provided by OHMEDA PPD, GENSIA will provide priority to OHMEDA PPD products up to 125% of the forecasted quantity set forth in such Demand Schedule. GENSIA will use commercially reasonable efforts to allocate equitably any demand by OHMEDA PPD in excess of 125% of such forecasted annual quantity.
