Facilities Management Services. Throughout the Sublease Term, Sublandlord will provide on an "as requested" basis certain facilities management services to Subtenant pertaining to those portions of the Prime Lease Premises actually occupied by Subtenant (no such services shall be provided to space which is sublet by Subtenant to unrelated third parties). Such services will include without limitation (A) tenant, community, Prime Landlord and vendor relations, (B) environmental, health, ADA and safety services including disaster planning, security, safety, first aid training and inspections, (C) occupancy budgeting and costs analyses, (D) telecommunications services including PBX-voice, voice mail and video teleconferencing, (E) custodial services including housekeeping and inspections, (F) maintenance and operations management including utilities, carpets and physical structure, (G) mail and office supplies, (H) space allocation/utilization management, and (I) new construction and/or renovation services. Subtenant will be billed periodically for all actual costs incurred by Sublandlord in providing such services, and Subtenant will timely pay for all such services as and when billed.
Facilities Management Services. The Administrator shall provide the Company with all facilities management services in facilities occupied by the Administrator, including but not limited to, building maintenance and security services at all of the Company’s office buildings.
Facilities Management Services a. The University of Arkansas Department of Facilities agrees to provide certain facilities management services to the University of Arkansas Division of Agriculture as a part of this agreement. These facilities management services are generally provided ad-hoc or as needed/requested and include, but are not limited to, the following:
1. Elevator Service contracts or calls
2. Back-flow inspection and certification
3. Generator and transfer switch inspections
4. Automated External Defibrillator (AED) consumable replacements
5. Fire Equipment inspection and replacement
6. Boiler and Pressure Vessel Insurance inspections
7. Environmental Health and Safety Hazardous Waste services
8. Other ad-hoc or one-time services as requested
b. Given the nature of these service offerings, the University of Arkansas Department of Facilities is currently, and will continue to, bill the University of Arkansas Division of Agriculture directly for these services during the term of this agreement.
Facilities Management Services. For the fees set forth in Schedule F, CSG shall provide the CSG Workforce Management facilities management services set forth in Schedule J which are subject to change at CSG’s reasonable discretion from time to time.
Facilities Management Services. During the Term, Atari shall allocate to the Infogrames Affiliates that portion of its office space located at 000 Xxxxx Xxxxxx, Xxx Xxxx as is further described in Exhibit C1 (the "Office Space"). Atari shall relocate its employees whose working areas are within the Office Space to areas outside of the Office Space by January 31, 2008. To the extent permitted by Atari's lease for the premises located at 000 Xxxxx Xxxxxx, Xxx Xxxx (the "Lease") (subject to any required landlord approval), the parties shall in good faith negotiate a sublease for the Office Space which shall extend for the duration of the Lease. 3 Either party shall give the other 60 days written notice of its intention to vacate the premises governed by the Lease and terminate the allocation arrangement. Notwithstanding the foregoing, the Infogrames Affiliates agree that they will not vacate the Office Space and terminate the allocation arrangement prior to March 31, 2008. Each party shall be responsible for its own costs incurred in connection with any such termination. In payment for the Office Space, Infogrames shall bear the portion of the rent, including utilities and other categories of costs listed in Exhibit C2 (i.e., maintenance, phone services, electricity, water, heat, etc), which is based upon the ratio of the Office Space to the overall space rented under the Lease terms and conditions. 10.
Facilities Management Services. The Facilities Management standard services as described on Annex A hereto.
Facilities Management Services. The Facilities Management Services will terminate upon the principal executive offices of the Company and the Service Provider ceasing to be co-located in the same building and the Company vacating such premises in their entirety.
Facilities Management Services. Events taking place in outdoor areas, involving 100 or more attendees, or having special electrical or custodial needs, must be approved by the University’s Facilities Management Services.
Facilities Management Services. 2.1 The Company undertakes that during the effective period of the Strategic Agreement, under the same terms and conditions, the Company’s subsidiaries in the following six provinces (cities), namely Shanghai, Zhejiang, Fujian, Hubei, Guangdong and Hainan, will, on an annual basis, accept facilities management services from the wholly- owned subsidiaries of CCS (within the administrative region of such province) amounting to an aggregate of not less than RMB1.33 billion.
2.2 CCS undertakes to provide the Company with professional facilities management services that are up to quality standards. CCS shall also fully utilize its competitive edge on having established its professional operation with economies of scales to assist the Company to achieve the goals of lowering its costs and expenditures.
Facilities Management Services. For the avoidance of doubt, the Parties agree that the provision of the remaining Transitional Services, as recorded in the Schedule of Transitional Services to the Agreement, shall be terminated as at the Transitional Services End Date pursuant to the provisions of Clause 9 of the Agreement. The termination of such Transitional Services shall be final pursuant to Clause 9.3(C) of the Agreement.
