Filings with Governmental Bodies. As promptly as practicable after the execution of this Agreement and to the extent permitted under antitrust Law and the Northrop/TRW Merger Agreement and the Northrop/TRW existing contractual arrangements, each party shall, in cooperation with the other, (i) file or cause to be filed any reports, notifications or other information that may be required under the HSR Act, the EC Merger Regulation and other applicable foreign merger control or foreign investment Laws, and (ii) shall furnish or cause to be furnished to the other all such information in its possession as may be reasonably necessary for the completion of the reports, notifications or submissions to be filed by the other. Each party hereto agrees to use its reasonable best efforts to comply and cause its Affiliates to use their reasonable best efforts to comply in a full and timely manner with any request from a Governmental Body for additional information. Without limiting the generality of the foregoing, each party shall promptly notify the other of the receipt and content of any inquiries or requests for additional information made by any Governmental Body in connection therewith and shall promptly (i) use its reasonable best efforts to comply with any such inquiry or request and (ii) provide the other with a description of the information provided to any Governmental Body with respect to any such inquiry or request. In addition, each party shall keep the other apprised of the status of any such inquiry or request. In furtherance of the foregoing, BCP agrees to use its reasonable best efforts to take all necessary and proper steps (including any reasonable divestitures) as may be required for securing the termination of any applicable waiting periods under the HSR Act or the receipt of any clearance, approval or confirmation from Governmental Bodies in other countries in which antitrust filings have been made in order to permit the consummation of the transactions contemplated hereby prior to the date specified in Section 4.1(b). Each party also agrees to take any action reasonably necessary to vigorously defend, litigate, mitigate and rescind the effect of any litigation or administrative proceeding brought by the Federal Trade Commission or the United States Department of Justice adversely affecting this transaction, including appealing promptly any adverse court of administrative order or injunction or effecting divestitures under the circumstances contemplated above.

As promptly as practicable after the execution of this Agreement, and in any event within three (3) Business Days after the date hereof, each party shall, in cooperation with the other, file or cause to be filed any reports, notifications or other information that may be required under the HSR Act, shall furnish or cause to be furnished to the other all such information in its possession as may be reasonably necessary for the completion of the reports, notifications or submissions to be filed by the other and shall use commercially reasonable efforts to respond as promptly as practicable to all inquiries received from the appropriate Governmental Bodies for additional information or documentation. Each party hereto agrees to use its best efforts to comply and cause its Affiliates to comply in a full and timely manner with any request from a Governmental Body for additional information. The parties shall use their respective commercially reasonable efforts to resolve such objections, if any, as may be asserted with respect to the transactions contemplated hereby under the Laws of any Governmental Body. Seller and Purchaser shall bear equally all filing fees required to be paid in connection with compliance with the HSR Act.

Each party hereto agrees to use reasonable commercial efforts to comply and cause its Affiliates to comply in a full and timely manner with any request from a Governmental Body for additional information.

As promptly as practicable after the execution of this Agreement, each party shall, in cooperation with the other, file or cause to be filed any reports, notifications or other information that may be required under the HSR Act and other Competition Laws, shall furnish or cause to be furnished to the other all such information in its possession as may be reasonably necessary for the completion of the reports, notifications or submissions to be filed by the other, and shall use commercially reasonable efforts to respond as promptly as practicable to all inquiries received from the appropriate Governmental Bodies for additional information or documentation. Each party hereto agrees to use its best efforts to comply and cause its Affiliates to comply in a full and timely manner with any request from a Governmental Body for additional information relating to the HSR Act and other Competition Laws. Subject to Section 7.8, the parties shall use their respective, commercially reasonable efforts to resolve such objections, if any, as may be asserted with respect to the transactions contemplated hereby under the Laws of any Governmental Body.

Each party hereto agrees to use its best efforts to comply and cause its Affiliates to comply in a full and timely manner with any request from a Governmental Body for additional information.
Filings with Governmental Bodies. (a) As promptly as practicable after the execution of this Agreement, HSA and DC shall, in cooperation with each other shall furnish or cause to be furnished to the other all such information in its possession as may be reasonably necessary for the completion of the reports, notifications or submissions to be filed by the other. HSA and DC each agree to use their respective reasonable commercial efforts to comply and cause their respective Affiliates to comply in a full and timely manner with any request from a Governmental Authority for additional information.
Filings with Governmental Bodies. (a) Each party hereto agrees to use its best efforts to comply and cause its Affiliates to comply in a full and timely manner with any request from a Governmental Body for additional information.
Filings with Governmental Bodies. From and after the Closing Date, Sellers and Buyer shall act diligently and reasonably, and shall cooperate with each other, in making any required filing or notification and in attempting to obtain any consents and approvals of any Governmental Body required to be obtained by them in order to assign or transfer any Owned Property Governmental Permits to Buyer and to assign to Buyer any pending applications for Owned Property Governmental Permits, to permit the consummation of the transactions contemplated by this Agreement, or to otherwise satisfy the conditions set forth in Section 9.4; provided that Sellers shall not make any agreement or understanding affecting the Purchased Assets, the Contributed Assets, or their assets or Business as a condition for obtaining any such consents or approvals except with the prior written consent of Buyer. Buyer shall pay all fees and expenses in connection with obtaining any consents and approvals from such Governmental Bodies.
Filings with Governmental Bodies. Each of the Purchaser, the Company (if necessary) and the Indemnifying Sellers shall: (1) make or cause to be made all filings required of each of them or any of their respective Affiliates under the HSR Act or other applicable antitrust Laws with respect to the transactions contemplated hereby as promptly as practicable and, in any event, not later than 10 Business Days after the date of this Agreement in the case of all filings required under the HSR Act and within four weeks in the case of all other filings (if any) required by other such antitrust Laws; (2) comply at the earliest practicable date with any request under the HSR Act or other such antitrust Laws for additional information, documents, or other materials received by each of them or any of their respective subsidiaries from the Federal Trade Commission (the “FTC”), the Antitrust Division or any other Governmental Body in respect of such filings or such transactions; and (3) cooperate with each other in connection with any such filing (including, to the extent permitted by applicable law, providing copies of all such documents to the non-filing parties prior to filing and considering all reasonable additions, deletions or changes suggested in connection therewith). The filing fees payable in connection with the filing of the HSR Act Notification and Report form shall be paid by the Purchaser.
