Frequency of Audits. Reuters shall be entitled to conduct an Audit at such times as it may reasonably require subject to a maximum of one (1) Audit in any three (3) month period. Once an item has been Audited pursuant to this Clause 32, Reuters may not conduct a further Audit of that item for a further twelve (12) months, provided that: (A) these maximums shall not apply where Reuters bona fide believes that there is a material non-compliance by Proton of any of its obligations under this Agreement which the Audit may detect or establish (and for these purposes, the onus shall be on Proton to prove that Reuters does not have bona fide grounds for such belief); and (B) without prejudice to sub-clause (A), where an Audit reveals a discrepancy in Proton’s charges and/or a failure to perform its obligations, Reuters shall have the right to Audit that matter on a quarterly basis until a subsequent Audit reveals no further charges discrepancy or performance failures in respect of that matter. 50
