General Employment Terms. The Executive shall devote normal business hours and be available to discuss the business and affairs of the Company five days per week. The Executive shall further use his best efforts to promote the interests of the Company, and perform faithfully and efficiently the responsibilities assigned to him. While employed by Company, Executive shall not engage in other employment, except with the prior written consent of the Company, which must be given in writing by an Officer of the Company.
General Employment Terms. The Company shall employ Employee on an initial full-time basis for a 2 year calendar period from the date of this Agreement, unless terminated in accordance with the provisions of this Agreement. The Agreement shall be self-renewing for additional one-year employment periods for five years, unless otherwise terminated in accordance with the termination provisions of this Agreement. Employee shall be designated as the Chief Financial Officer and a Director of the Company Employee agrees to serve the Company on an initial full-time basis of not less than a collective (40) hours per week. The duties of such position may be prescribed or altered by the Board or other senior officer, but unless otherwise described, are as set-out and limited by the attached and incorporated Exhibit “A”.

During the Term, the Executive shall: (i) devote his full business time and attention to the performance of his duties hereunder; (ii) use his best efforts to promote the interests of the Company and to perform faithfully and efficiently his duties and responsibilities hereunder; and (iii) not engage in other employment, except with the prior consent of the Board. The Executive agrees to abide by the rules, regulations, personnel practices and policies of the Company, and any changes thereto that may be adopted by the Company from time to time. Nothing in this Agreement or elsewhere shall preclude the Executive from: (i) engaging in charitable and professional activities and in community affairs without remuneration, including without limitation his activities as a charter member of TiE and a member of the board of Chinmaya Mission Tristate Center (“CMTC”), (ii) accepting and fulfilling a reasonable number of speaking engagements, or (iii) managing his personal investments and affairs; provided that such activities do not either individually or in the aggregate interfere with the proper performance of his duties and responsibilities hereunder and are carried out in conformance with the Executive’s obligations to the Company, including, but not limited to, under Section 8.

The Company requires the Executive to perform services under this Agreement in its Headquarters, currently located in Edison, New Jersey, consistent with his executive level responsibilities, subject to travel requirements or other direction by the Board. The Executive agrees to abide by the rules, regulations, instructions, personnel practices and policies of the Company and any changes thereto that may be adopted by the Company from time to time. The Executive acknowledges receipt of copies of all such rules and policies committed to writing as of the date of this Agreement.
General Employment Terms. Executive is employed by the Company "at will" meaning either the Company or the Executive may terminate her employment at any time for any or for no reason. The Executive shall be employed full-time and devote normal business hours to the business and affairs of the Company, use her best efforts to promote the interests of the Company, and perform faithfully and efficiently the responsibilities assigned to her. While employed by Company, Executive shall not engage in other employment, except with the prior consent of the Company's Board of Directors. The Company may not require the Executive to perform services under this Agreement outside a 50-mile radius of Boston, Massachusetts, without the Executive's conxxxx, xxxxx xxxx xxxxxx xxxxxxxx xxxxxx consistent with her executive level responsibilities.

The Companies shall employ Xxxxxx on a full-time basis for a three year calendar period from the date of this Agreement, unless terminated in accordance with the provisions of this Agreement. The Agreement shall be self-renewing for additional one year employment periods for ten years, unless otherwise terminated in accordance with termination provisions of this Agreement. Xx. Xxxxxx shall be designated as the Chief Operating Officer (COO) of the Companies and the president of Profire. In the event of any short-form merger between Profire and FLOZ, Xx. Xxxxxx will continue as the COO of the combined and resulting entity. Xxxxxx agrees to serve both entities on a full-time basis as the COO, but it is presently intended and agreed that the operating entity, Profire, shall require the majority of his time and services as the COO of Profire. The board of both entities, upon their own initiative or request of the president, shall consider and appoint, as necessary, subordinate officers who shall serve under the general direction and control of Xxxxxx as pertaining to all day-to-day activities and assignments. Xxxxxx agrees that he will serve under the direction and election of the board of directors of both entities, subject, however, to the specific terms of this Agreement.
General Employment Terms. This Part provides general terms and conditions of the Executive's employment. If a Change in Control (as defined in Section 10) occurs, the terms and conditions of Part II shall also apply and supercede any conflicting provisions in this Part I.
General Employment Terms. I. It is the duty of the Employee as executive of the Company to maintain Company and Group interests in the best possible way at all times and the Employee obliges himself to always respect the business practice guidelines of the Company and the Group in as far as applicable to the Company. They may be changed from time to time by the Company.
II. The Employee will make his entire working capacity available to the Company and the Group and will therefore devote his entire business activities to the constant improvement of the business results of the Company and the Group. Therefore each other business or professional activity for his own account or for a third party, be it for payment or without, may only be started after approval by the Board of Directors of the Company. The same applies for the assumption of public offices.
