Global Access. Each Payor acknowledges that it is UBC’s objective to exploit its technology for the public benefit and in a manner that furthers its Global Access Principles.

Global Access. Subject to the controls below, Navitaire may access the Customer Personal Data from locations other than the facility where the Customer Personal Data is stored, unless otherwise mutually agreed by the Parties.
Global Access. After First Commercial Sale, Company and University will cooperate to provide Licensed Products to LDC(s) (as defined below in this Section 2.E), which cooperation may include, subject to reasonable commercial efforts, efforts to promote contracting with governmental or nongovernmental agencies (e.g., WHO or UNICEF) for the provision of Licensed Products into LDC(s). If Company or its Licensed Entities provide Licensed Product into LDC(s) under arrangements providing such product at or below the cost of production and shipping, then University agrees to waive all Royalties and fees otherwise due under this Agreement solely with respect to Net Sales of such Licensed Product in such LDC(s). If Company is not providing Licensed Product into LDC(s) for sale at or below the cost of production and shipping, and University determines in its reasonable discretion that licensing a Qualified Licensee (as such term is defined below in this Section 2.E) will provide improved access to Licensed Products in LDC(s) at or below the cost of production and shipping, then Company agrees that it shall Sublicense the Licensed Patents, in an agreement made jointly among University, Company, and the Qualified Licensee. Such Sublicense shall be without compensation or royalty for either Party, and shall be restricted to Humanitarian Purposes ( as described below in this Section 2.E).
Global Access. Royalties shall not be due to M.I.T. on NET SALES made at a COST BASED PRICE in DEVELOPING COUNTRIES. As used in this subsection, the term “COST BASED PRICE” shall mean, in respect of each LICENSED PRODUCT, a price not exceeding that which fairly reflects the direct cost of manufacture of such LICENSED PRODUCT plus a typical margin for a generic pharmaceutical product for the respective market (i.e., priced to enable availability and accessibility to people most in need), as will be mutually agreed by the parties.
Global Access. The Sides intend that the knowledge and information gained from the R&D, where appropriate given the objective of the activity, be promptly and broadly disseminated and made available and accessible at an affordable price to people most in need within developing countries.
Global Access. BROADCOM/BROADBAND has purchased a one-third (1/3) interest (33 1/3% of 100%) in a Two (2) year contract for long distance service to a Mexican carrier for a revenue source of not less than $140,000 per month on January 5, 2000. However, said purchase was cash and other considerations, not for providing Two (2) Harrxx Xxxtches as called for in the November 1, 1999, Agreement. However, subject to further due diligence and verification, BGOC hereby agrees to modify, replace and substitute in kind this amended contract with Global Access with the same revenues as required in the November 1, 1999, Agreement under the same terms and conditions. Subject to these conditions and the assignment of all of said contractual rights to BGOC, BGOC hereby agrees to release from escrow of Ten Million (10,000,000) shares of its common stock from its unissued but authorized shares to BROADCOM/BROADBAND for the fully executed and binding formal contract with Global Access for the agreed interest in Global Access's Mexican Long Distance Service contract. Further, BGOC and BROADCOM/BROADBAND agree that should BROADCOM/BROADBAND be successful in acquiring the two (2) Harrxx Xxxtches and indeed exchange the usage of these switches for an increased participation of not less than an additional $140,000 per month in the above Mexican Long Distance Contract with Global Access, then BGOC agrees to exchange Five Million (5,000,000) shares of its common stock from its unissued but authorized shares to BROADCOM/BROADBAND for the fully executed and binding formal contract with Global Access for the agreed interest in Global Access's Mexican Long Distance Service contract The shares shall be released upon verification and due diligence as to the contracts and switches.
Global Access. Awardee grants to the Xxxx and Xxxxxxx Xxxxx Foundation a worldwide perpetual non-exclusive “Global Access” right to the Work, including all media now known or hereafter invented, including any revenues generated therefrom.
