GOVERNING LAW, JURISDICTION AND PROCESS AGENT. This Agreement is governed by, and shall be construed in accordance with the laws of Hong Kong. You irrevocably submit to the non-exclusive jurisdiction of the Hong Kong courts. Where applicable, you appoint the person nominated in the Account Application as process agent with authority to accept on your behalf service of process issued in Hong Kong. Service of process on such agent will constitute service on you.

21.2 The Company and each Seller hereby irrevocably appoint Xxxxxx Xxxxx Guiqiong (address: Room D, 3F., Thomson Xxxxxxxxxx Xxxxxxxx, 0-00 Xxxxxxx Xxxx, Xxxxxxx, Xxxx Xxxx; telephone: 00000-00000000 or 00852-25294884 or 00000-00000000; and fax: 00000-00000000) as their agent (“Agent”), to receive and accept the service of any writ, subpoena, order, judgment or any other notice of legal proceeding (collectively as “Legal Notice”) in Hong Kong for and on their behalf. If the Legal Notice is sent to the Agent or to the aforesaid or the last known address by registered mail, then on the 2nd Business Day after posting, or if there is a mailbox at the aforesaid or the last known address, then when the Legal Notice is inserted into the mailbox (whether it is sent to the Company or each Seller, or received by each person), it shall be deemed as being duly served. If the Agent can not continue to act as the agent of the Company or each Seller, the Company or each Seller, for the same purpose, shall appoint another agent in Hong Kong, and shall notify other Parties of such appointment in written forms according to Article 13 hereof. In accordance with Article 13 hereof, unless and until the notice of appointing a new agent is received by other Parties, any Legal Notice if properly delivered to the Agent shall be deemed as being properly served to each Company or each Seller.
GOVERNING LAW, JURISDICTION AND PROCESS AGENT. 16.1 This Agreement is governed by and shall be construed in accordance with New Zealand law.
16.2 Any legal action or proceeding arising out of or in connection with this Agreement may be brought in the courts of New Zealand or any other jurisdiction where any of your property may be situated. By signing this Agreement, you: (i) accept for yourself and in respect of your property, generally and unconditionally, the non‐exclusive jurisdiction of such courts, (ii) irrevocably waive any rights of immunity which you or your property may have at any time, (iii) irrevocably waive any objection you may have at any time to any action or proceeding in any such court on the grounds of venue or inconvenien forum, and (iv) consents to service of process in any matter permitted by law.
16.3 If you do not have a place of business in New Zealand, you appoint the person specified in the Facility Agreement (if any) to be your authorised agent to accept service of any document required to be served on you in relation to proceedings under or in connection with any Trade Finance Document which are commenced in the courts of New Zealand. You further undertake to notify us promptly of any change of address of a current agent or representative and of the name and address of any substitute agent or representative.
GOVERNING LAW, JURISDICTION AND PROCESS AGENT. 21.1 This Agreement shall be governed by and construed in all respects in accordance with the laws of Hong Kong.
21.2 Any dispute, claim or difference arising out of or in connection with this Agreement (other than those arising out of or in connection with the Escrow Agreement) shall be referred to and determined by arbitration at Hong Kong International Arbitration Centre (“HKIAC”) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The governing law of this arbitration clause shall be Hong Kong Law. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be three (3), with the Vendors (on the one hand) and the Purchaser (on the other hand) appointing one arbitrator each, and the third arbitrator to be appointed jointly by the arbitrators appointed by the Vendors and the Purchaser. The arbitration Proceedings shall be conducted in the English language. The arbitration ruling(s) pursuant to this Clause 21.2 shall be final and binding on the Parties, and the Parties irrevocably agree to be bound by such ruling(s).
21.3 The Vendors hereby irrevocably appoints the persons or entities set out in the column headed “Process Agent” in Schedule 1 as their respective agent, and the Purchaser hereby irrevocably appoints Chinachem Agencies Limited of 35 – 38/F, Nina Tower, 8 Xxxxx Uk Road, Tsuen Wan, New Territories, Hong Kong as its agent, to receive and acknowledge on their respective behalf service of any writ, summons, order, judgment or other notice of legal process (including arbitration proceedings) in Hong Kong.
21.4 If for any reason the agent named by a Party above (or its successor) no longer serves as its agent for this purpose, the relevant Party shall promptly appoint a successor agent satisfactory to the other Parties and notify the other Parties thereof, provided that until the other Parties receive or is deemed to have received such notification, they shall be entitled to treat the agent named above (or its said successor) as the agent of the relevant Party for the purposes of this Agreement. (c) The Invoice for that Receivable has been issued within the Invoice Issue Date, and does not exceed the Maximum Invoice Period, in each case, as specified in the Facility Agreement (as applicable).
(d) There is no fraud, dishonesty, illegality or unauthorised act committed by any person in connection with the Receivable.
(e) You have not received any notice that the Approved Debtor is Insolvent.
(f) The Approved Debtor: (i) is not in default of any obligation it owes you, (ii) has not repudiated, rescinded or claimed damages in respect of the Sales Contract, and (iii) (unless we have given our prior written consent) is not and will not be your Affiliate.
