Governmental Communications. Each of Seller and Buyer shall:
Governmental Communications. Flextronics may communicate with any governmental agency, including but not limited to governmental agencies responsible for granting regulatory approval for the Products, regarding the Manufacturing Site generally and non-Product-specific manufacturing operations.
Governmental Communications. Within five (5) Business Days after the sending, filing or receipt thereof, copies of all material reports and statements that Providence or any Subsidiary sends to or receives from any national securities exchange or federal governmental securities regulatory agency or that Providence sends to its shareholders generally, including any registration statements or other filings that Providence files with the Securities and Exchange Commission or any national securities exchange or the National Association of Securities Dealers, Inc.
Governmental Communications. Seller acknowledges and agrees that at all times during the Due Diligence Period and during the Entitlement Period, Purchaser intends to, and shall have the right to contact the applicable governmental entities in order for Purchaser to timely pursue the Entitlements; provided, however, that notwithstanding anything to the contrary contained herein, Purchaser shall not cause any governmental approvals, such as zoning changes, variances, or other development rights that have the effect of either (1) diminishing existing entitlements related to the Premises, or (2) imposing new obligations on the Premises to become binding or effective as to, or recorded against, the Premises prior to Closing without Seller’s prior written consent, in Seller’s sole and absolute discretion. Purchaser shall have the right to contact and meet with any governmental entity regarding the Premises. Seller (or its designee) shall have the right to be present at any public meeting related to the Entitlements (provided, that Seller’s or its representative’s unavailability shall not delay such contact or meeting). Purchaser shall provide to Seller reasonable updates on the status the Entitlements once per month (status update via email being acceptable).
Governmental Communications. All communications and requests received by a Party from a Governmental Authority related to or concerning the Purchased Assets, the Products or Services shall be immediately forwarded to the other Party for its comments. Each Party shall copy the other Party on the responses provided to such Governmental Authority and, where possible, permit comments by the other Party on such communications prior to their submission to such Governmental Authority. Each Party shall consider and reasonably reflect any such comments by the other Party in good faith. Neither Party shall provide any undertakings to a Governmental Authority relating to the Purchased Assets, the Products or Services without the specific prior written agreement of the other Party, unless the prior written agreement would cause such Party to be in violation of any applicable Law.

Within ten (10) Business Days after the sending, filing or receipt thereof, copies of all reports and statements that any Borrower sends to or receives from any Governmental Authority or that any Borrower sends to its shareholders generally, including any cost reports, audits, and copies of registration statements that any Borrower files with the Securities and Exchange Commission or any national securities exchange or the National Association of Securities Dealers, Inc.
Governmental Communications. (a) ZIOPHARM will take the initiative in arranging discussions with any governmental authority involving data from or the conduct of any TCR-T PROGRAM or CLINICAL TRIAL. Formal meetings with governmental authorities concerning the design or data from a TCR-T PROGRAM or CLINICAL TRIAL will be discussed with the JSC. With the prior written consent of ZIOPHARM, UTMDACC will have the right to participate in all formal meetings with governmental authorities relating to a TCR-T PROGRAM or CLINICAL TRIAL unless legally precluded from doing so. Additionally, UTMDACC will, at the request of ZIOPHARM, cooperate with ZIOPHARM regarding any discussions with any governmental authority involving data from or the conduct of any TCR-T PROGRAM or CLINICAL TRIAL.
Governmental Communications. It shall promptly furnish the other ----------------------------- party with copies of written communications received by it, or any of its respective Subsidiaries or Affiliates, from, or delivered by any of the foregoing to, any governmental body or agency in connection with or material to the transactions contemplated hereby.

Within ten (10) Business Days after the sending, filing or receipt thereof, copies of all reports and statements that any Credit Party or Subsidiary of any Credit Party sends to or receives from any Governmental Authority or that any Credit Party sends to its shareholders generally, including any cost reports, audits, and copies of registration statements that any Credit Party or Subsidiary of any Credit Party files with the Securities and Exchange Commission or any national securities exchange or the National Association of Securities Dealers, Inc.
Governmental Communications. Seller shall promptly notify Buyer of the receipt by Seller, and to the extent permitted by law and this Agreement provide Buyer with, a copy of any communication, document, report or supervisory action received from or imposed by any governmental or regulatory body, agency or official having jurisdiction over the Seller that may adversely affect the transactions contemplated by this Agreement or may cause a material adverse change on the business or operations of the Branches.
