Governmental Communications. Flextronics may communicate with any governmental agency, including but not limited to governmental agencies responsible for granting regulatory approval for the Products, regarding the Manufacturing Site generally and non-Product-specific manufacturing operations.
Governmental Communications. Within five (5) Business Days after the sending, filing or receipt thereof, copies of all material reports and statements that Providence or any Subsidiary sends to or receives from any national securities exchange or federal governmental securities regulatory agency or that Providence sends to its shareholders generally, including any registration statements or other filings that Providence files with the Securities and Exchange Commission or any national securities exchange or the National Association of Securities Dealers, Inc.
Governmental Communications. Seller acknowledges and agrees that at all times during the Due Diligence Period and during the Entitlement Period, Purchaser intends to, and shall have the right to contact the applicable governmental entities in order for Purchaser to timely pursue the Entitlements; provided, however, that notwithstanding anything to the contrary contained herein, Purchaser shall not cause any governmental approvals, such as zoning changes, site plan approvals or other development rights that have the effect of either (1) diminishing existing entitlements related to the Premises, or (2) imposing new obligations on the Premises to become binding or effective as to, or recorded against, the Premises prior to Closing without Seller’s prior written consent, in Seller’s sole and absolute discretion. Purchaser shall have the right to contact and meet with any governmental entity regarding the Premises. Seller (or its designee) shall have the right to be present at any public meeting related to the Entitlements (provided, that Seller’s or its representative’s unavailability shall not delay such contact or meeting). Purchaser shall provide to Seller reasonable updates on the status the Entitlements once per month (status update via email being acceptable).
Governmental Communications. All communications and requests received by a Party from a Governmental Authority related to or concerning the Purchased Assets, the Products or Services shall be immediately forwarded to the other Party for its comments. Each Party shall copy the other Party on the responses provided to such Governmental Authority and, where possible, permit comments by the other Party on such communications prior to their submission to such Governmental Authority. Each Party shall consider and reasonably reflect any such comments by the other Party in good faith. Neither Party shall provide any undertakings to a Governmental Authority relating to the Purchased Assets, the Products or Services without the specific prior written agreement of the other Party, unless the prior written agreement would cause such Party to be in violation of any applicable Law.
Governmental Communications. Each of Seller and Buyer shall:
(a) promptly notify the other party of any written communication to it from any Governmental Authority with respect to this Agreement or the transactions contemplated by this Agreement and, subject to Applicable Law, if practicable, permit the other party to review in advance any proposed written communication to any such Governmental Authority in response thereto and incorporate the other party’s reasonable comments provided within two Business Days of that review;
(b) not agree to participate in any substantive meeting or discussion with any such Government Authority in respect of any filing, investigation or inquiry concerning this Agreement or the transactions contemplated in this Agreement unless it consults with the other party in advance and, to the extent permitted by that Government Authority, gives the other party the opportunity to attend; and
(c) furnish the other party with copies of all correspondence, filing and written communications between them and their Affiliates and their respective representatives on one hand, and any such Governmental Authority or its respective staff on the other hand, with respect to this Agreement and the transactions contemplated in this Agreement.
Governmental Communications. (a) ZIOPHARM will take the initiative in arranging discussions with any governmental authority involving data from or the conduct of any TCR-T PROGRAM or CLINICAL TRIAL. Formal meetings with governmental authorities concerning the design or data from a TCR-T PROGRAM or CLINICAL TRIAL will be discussed with the JSC. With the prior written consent of ZIOPHARM, UTMDACC will have the right to participate in all formal meetings with governmental authorities relating to a TCR-T PROGRAM or CLINICAL TRIAL unless legally precluded from doing so. Additionally, UTMDACC will, at the request of ZIOPHARM, cooperate with ZIOPHARM regarding any discussions with any governmental authority involving data from or the conduct of any TCR-T PROGRAM or CLINICAL TRIAL.
(b) In addition to all documents otherwise required to be provided to the other party by this AGREEMENT, the applicable TCR-T PROGRAM, applicable CLINICAL TRIAL and APPLICABLE LAWS, to the extent permitted by APPLICABLE LAWS each party agrees to promptly provide the other party with a copy of all documents and other written or electronic communications related to any TCR-T PROGRAM or CLINICAL TRIAL which such party has submitted to any governmental authority including protocol amendments, information amendments, safety reports, annual reports, investigator reports, reports of unanticipated problems involving risks to subjects or others, reports of serious or continuing noncompliance with APPLICABLE LAWS and regulations or the requirements of an Institutional Biosafety Committee (IBC), institutional review board/ethics committee (“IBC/IRB/EC”) or reports of the suspension or termination of IBC/IRB/EC approval of human subjects research related to a TCR-T PROGRAM or CLINICAL TRIAL. Information provided will be deemed CONFIDENTIAL INFORMATION (as defined in Section 14) of the party providing it as long as it otherwise qualifies as CONFIDENTIAL INFORMATION.
(c) To the extent permitted by APPLICABLE LAWS, each party will promptly notify the JSC of any of the following of which it becomes aware: (i) any correspondence from any governmental authorities related to a TCR-T PROGRAM or CLINICAL TRIAL that is received by that party, or its agents or affiliates, or by participating sites funded by that party; (ii) investigations or site visits by any governmental authorities related to a TCR-T PROGRAM or CLINICAL TRIAL whether announced or unannounced; (iii) enforcement actions by any governmental authorities related to a TCR-T...
Governmental Communications. University and MCC shall mutually cooperate and coordinate (pre-Closing and post-Closing) with regard to any submissions to and communications with any applicable regulatory and approval agencies in connection with the Proposed Transaction.
