Implementation, Initial Training and AXS Upgrades. The AXS setup fee will be waived for Client with regard to the standard integration of Events into the AXS Platform. Initial implementation and AXS Platform system training will be included and web training will be offered no cost to Client. Upgrades to the AXS Platform that are generally made available to all AXS clients will also be made available to Client at no cost. However, if Client requests any services beyond what is typically provided by AXS to all of its clients, the parties will enter into a separate Statement of Work (“SOW”) with regard to such additional services, including payment of additional fees, and AXS will have no obligation to provide such additional services unless both parties have executed the SOW.

  • Miscellaneous The Vendor acknowledges and agrees that continued participation in TIPS is subject to TIPS sole discretion and that any Vendor may be removed from the participation in the Program at any time with or without cause. Nothing in the Agreement or in any other communication between TIPS and the Vendor may be construed as a guarantee that TIPS or TIPS Members will submit any orders at any time.
