Importance of Confidential Information. (a) During Your employment with the Company You will acquire experience, Confidential Information, trade secrets, know-how and particular skills in the affairs, practices, customer requirements and trade connections of the Group.
(b) Because of the importance to the Group of the knowledge and Confidential Information which You will acquire, the Company wishes to ensure that You do not take advantage of these matters for Your advantage or others to the detriment of the Group and its businesses and in violation of its rights.
Importance of Confidential Information. Executive acknowledges and agrees that he is a party to that certain Employee Proprietary Information and Inventions Agreement entered into between Executive and the Company (the “Confidential Information Agreement”), that such agreement will remain in full force and effect in accordance with its terms, and Executive agrees to continue to abide by such agreement.
Importance of Confidential Information. The parties hereby agree that Employee has been provided with Confidential Information during the period of Employee’s employment. By signing this Agreement, Employee acknowledges delivery to and receipt by Employee of Confidential Information. Employee further acknowledges that the preservation and protection of the Confidential Information was an essential part of Employee’s employment with the Company and that Employee has had a duty of fidelity and trust to the Company Entities in handling the Confidential Information.

Employee acknowledges and agrees that the Company's Confidential Information is a valuable, special and unique asset of the Company which is extremely important in a highly competitive business such as the software industry. Employee acknowledges that the disclosure of any Confidential Information may cause substantial injury and loss to the Company. Employee acknowledges that the Company retains a proprietary interest in its Confidential Information that persists beyond the termination of Employee's employment by the Company. Employee further acknowledges that the preservation and protection of the Confidential Information is an essential part of Employee's employment by and business relationship with the Company and that Employee has a duty of fidelity and trust to the Company in handling the Confidential Information.

Each party agrees to hold in confidence and to not disclose the Confidential Information of the other to any person or entity without prior written consent of the owner of such Confidential Information.

Employee acknowledges and agrees that Employer's Confidential Information is a valuable, special and unique asset of Employer and such Confidential Information is extremely important in the highly competitive radio broadcast industry. Employee acknowledges that the disclosure of any Confidential Information may cause imminent harm and substantial, irreparable injury, including loss of profit and other damages such as loss of goodwill and a decrease in market share which are difficult to calculate. Employee acknowledges that Employer retains a proprietary interest in its Confidential Information that persists beyond the termination of Employee's employment by Employer. Employee further acknowledges that the preservation and protection of the Confidential Information is an essential part of Employee's employment by and business relationship with Employer and that Employee has a duty of fidelity and trust to Employer in handling the Confidential Information.

In the course of performing his responsibilities under this Agreement, the Consultant may be exposed to or acquire information regarding the business, projects, operations, finances, activities, research, development, products, technology, technology architecture, business models, plans or processes, marketing plans, customers, finances, personnel data, procurement processes or strategies or suppliers of the Company, its Clients, or their respective directors, officers, employees, agents or customers, including, without limitation, any idea, proposal, plan, procedure, technique, formula, technology, or method of operation (collectively, "Confidential Information"). Without limiting the foregoing, Confidential Information shall also include all written or oral information relating to the Company and/or its Clients, or their respective directors, officers, employees, agents or customers, that given its nature or the context of disclosure should reasonably be understood to be confidential. The Consultant agrees to hold Confidential Information in strict confidence, to use such information for no purpose other than as necessary for the performance of his obligations hereunder, and to make no disclosure of such information except in accordance with the terms of this Agreement and in relation to his duties hereunder. The Consultant hereby acknowledges that the use by the Consultant for his own account or the disclosure by the Consultant to any existing or potential competitors of the Company of any Confidential Information could place the Company at a serious competitive disadvantage, and could do serious and irreparable damage, financial or otherwise, to the business of the Company.

Xxxxxx further acknowledges that the preservation and protection of the Confidential Information is an essential part of Xxxxxx'x employment by and business relationship with the Company and that Xxxxxx has a duty of fidelity and trust to the Company in handling the Confidential Information.
