INDEPENDENT CONTRACTOR; EMPLOYEES. Each party is an independent contractor and not the other’s agent, partner, fiduciary or representative. Neither party shall act or represent itself, directly or by implication, in any such capacity or assume or create any obligation on the other’s behalf.
INDEPENDENT CONTRACTOR; EMPLOYEES. In performing its duties hereunder, Manager at all times shall be acting as an independent contractor contracted by Owner (except where acting as agent for Owner as specifically required pursuant to this Agreement) and all contractors or consultants engaged or supervised by Manager shall be independent contractors or employees of Manager. All Property employees shall be employed by Manager or its Affiliates and Manager shall oversee such Property employees in the discharge of their duties.
INDEPENDENT CONTRACTOR; EMPLOYEES. The parties acknowledge and agree that each party is engaged in a business that is independent from that of the other party and that Hxxxxx shall perform the Services under this Agreement as an independent contractor with the sole right to supervise, manage, operate, control and direct the performance of the Services, including the right to designate which such resources Hxxxxx shall assign to perform any Service and the right to remove and replace any such resources at any time or, subject to Section 6.04(b), to designate a third party provider to perform such Service. Hxxxxx shall have and maintain exclusive control over all of its own employees, agents, subcontractors and operations as of the Effective Date. Hxxxxx shall be solely responsible for payment of compensation to its employees and for any injury to them in the course of their employment. Hxxxxx shall assume full responsibility for payment of all federal, state and local taxes or contributions imposed or required under unemployment insurance, social security and income tax Laws with respect to such employees. The Company shall have and maintain exclusive control over all of its own employees, agents, other contractors and operations as of the Effective Date. The Company shall be solely responsible for payment of compensation to its employees and for any injury to them in the course of their employment. The Company shall assume full responsibility for payment of all federal, state and local taxes or contributions imposed or required under unemployment insurance, social security and income tax Laws with respect to such employees. Hxxxxx has no authority (express, implied or apparent) to represent the Company as to any matters or to incur any obligations or liability on behalf of the Company, and Hxxxxx shall not be, act as, purport to act as, or be deemed to be, the agent, representative, employee or servant of the Company. The Company has no authority (express, implied or apparent) to represent Hxxxxx as to any matters or to incur any obligations or liability on behalf of Hxxxxx, and the Company shall not be, act as, purport to act as, or be deemed to be, the agent, representative, employee or servant of Hxxxxx. No partnership, joint venture, association, alliance, syndicate, or other entity, or fiduciary, employee/employer, principal/agent or any relationship other than that of independent contractors is created hereby, expressly or by implication.
INDEPENDENT CONTRACTOR; EMPLOYEES. 1.2.1 Glenborough is hereby engaged by Rancon as an independent contractor.
1.2.2 Glenborough shall have in its employ at all times a sufficient number of employees to enable Glenborough to professionally perform the Services in accordance with an annual Business Plan and this Agreement. All matters pertaining to the employment and supervision of such employees shall be the sole and exclusive responsibility of Glenborough. All persons employed by Glenborough in connection with the services to be rendered hereunder shall be Glenborough’s employees. Rancon shall have no responsibilities or liabilities with respect to Glenborough’s employees, except as otherwise described herein.
INDEPENDENT CONTRACTOR; EMPLOYEES. All persons which have been hired by the Independent Contractor to assist in the performance of the duties, tasks and responsibilities that are necessary to complete the Scope of Work, shall be considered the employees of the Independent Contractor, unless otherwise specifically noted in an agreement signed by all parties.
INDEPENDENT CONTRACTOR; EMPLOYEES. Manager is hereby engaged by Agency as an independent contractor.
INDEPENDENT CONTRACTOR; EMPLOYEES. Neither Contractor nor Contractor’s employees are or shall be deemed to be employees of Owner. Contractor shall be solely responsible for the payment of compensation (including provision for employment taxes, federal, state and local income taxes, workers compensation and any similar taxes) associated with the employment of Contractor’s employees. Contractor shall also be solely responsible for obtaining and maintaining all requisite work permits, visas, and any other documentation required under Applicable Law and Applicable Permits for its employees and shall require that all Subcontractors do the same for their employees. Contractor represents that Contractor, its employees, and those Subcontractors authorized by Owner under this Agreement, are authorized to perform services under this Agreement.
INDEPENDENT CONTRACTOR; EMPLOYEES. Neither Supplier nor Supplier’s employees are or shall be deemed to be employees of Customer. Supplier shall be solely responsible for the payment of compensation (including provision for employment taxes, federal, state and local income taxes, workers compensation and any similar taxes) associated with the employment of Supplier’s employees. Supplier shall also be solely responsible for obtaining and maintaining all requisite work permits, visas, and any other documentation for its and its Supplier Representatives’ personnel.
INDEPENDENT CONTRACTOR; EMPLOYEES. The Institution shall perform its services under this Agreement only as an independent contractor for SPONSOR, and nothing contained herein shall be construed to be inconsistent with that relationship or status. The Study is performed independently from any business transactions and decision on supply purchases with SPONSOR. The Institution shall not receive any benefits for their provision of services for the Study other than the remuneration agreed herein in Section 6.
INDEPENDENT CONTRACTOR; EMPLOYEES. 2.2.1 PacWest is hereby engaged by the Partnership as an independent contractor.
2.2.2 PacWest shall have in its employ at all times a sufficient number of employees to enable PacWest to professionally perform the Management, Administration and Consulting services in accordance with the Business Plan and this Agreement. All matters pertaining to the employment and supervision of such employees shall be the sole and exclusive responsibility of PacWest. All persons employed by PacWest in connection with the services to be rendered hereunder shall be PacWest's employees. In summary, the Partnership shall have neither any employees providing Management, Administration and Consulting services nor any responsibilities nor liabilities with respect to PacWest's employees, except as otherwise described herein.
