INDEPENDENT CONTRACTOR; EMPLOYEES. Each party is an independent contractor and not the other’s agent, partner, fiduciary or representative. Neither party shall act or represent itself, directly or by implication, in any such capacity or assume or create any obligation on the other’s behalf.

INDEPENDENT CONTRACTOR; EMPLOYEES. In performing its duties hereunder, Manager at all times shall be acting as an independent contractor contracted by Owner (except where acting as agent for Owner as specifically required pursuant to this Agreement) and all contractors or consultants engaged or supervised by Manager shall be independent contractors or employees of Manager. All Property employees shall be employed by Manager or its Affiliates and Manager shall oversee such Property employees in the discharge of their duties.
INDEPENDENT CONTRACTOR; EMPLOYEES. The parties acknowledge and agree that each party is engaged in a business that is independent from that of the other party and that Hxxxxx shall perform the Services under this Agreement as an independent contractor with the sole right to supervise, manage, operate, control and direct the performance of the Services, including the right to designate which such resources Hxxxxx shall assign to perform any Service and the right to remove and replace any such resources at any time or, subject to Section 6.04(b), to designate a third party provider to perform such Service. The Company shall have and maintain exclusive control over all of its own employees, agents, other contractors and operations as of the Effective Date. The Company shall be solely responsible for payment of compensation to its employees and for any injury to them in the course of their employment. The Company shall assume full responsibility for payment of all federal, state and local taxes or contributions imposed or required under unemployment insurance, social security and income tax Laws with respect to such employees. Hxxxxx has no authority (express, implied or apparent) to represent the Company as to any matters or to incur any obligations or liability on behalf of the Company, and Hxxxxx shall not be, act as, purport to act as, or be deemed to be, the agent, representative, employee or servant of the Company. The Company has no authority (express, implied or apparent) to represent Hxxxxx as to any matters or to incur any obligations or liability on behalf of Hxxxxx, and the Company shall not be, act as, purport to act as, or be deemed to be, the agent, representative, employee or servant of Hxxxxx. No partnership, joint venture, association, alliance, syndicate, or other entity, or fiduciary, employee/employer, principal/agent or any relationship other than that of independent contractors is created hereby, expressly or by implication.

All employees and agents of Company that perform Services under this Agreement are employees and agents, respectively, of Company (and not of Client). Company will be responsible for payment to its employees and agents of all salaries, wages, benefits, other compensation, reimbursable travel, lodging, and other expenses to which the employees or agents may be entitled to receive for performing Services. Company will be solely responsible for withholding and paying all applicable payroll taxes of any nature, including social security and other social welfare taxes or contributions, that may be due on amounts paid to employees or agents. Company’s personnel shall not, in connection with the Services and this Agreement, be entitled to benefits that Client provides to its employees.

INDEPENDENT CONTRACTOR; EMPLOYEES. The Institution shall perform its services under this Agreement only as an independent contractor for SPONSOR, and nothing contained herein shall be construed to be inconsistent with that relationship or status. The Study is performed independently from any business transactions and decision on supply purchases with SPONSOR. The Institution shall not receive any benefits for their provision of services for the Study other than the remuneration agreed herein in Section 6.
