Inquiries and Disputes. 9.1 Inquiry and Dispute policy and procedures. You must establish and maintain policies and procedures for identifying, capturing, reviewing, and addressing Inquiries and Disputes. An "Inquiry" is a request for information that does not contest, but nonetheless relates to, a Card transaction, any aspect of an Account or the Program, or Program related aspects of your business practices, such as your return policy. A "Dispute" is an assertion that the completeness or accuracy of any item of information related to a Card transaction, an Account or the Program, as well as the permissibility of any aspect of the Program or related aspects of your business practices is incorrect.

Inquiries and Disputes. Except as set forth in Part 3.15(d) of the Disclosure Schedule, no inquiry, audit or other review has within the past seven years been opened into an Acquired Company Tax Return nor has an Acquired Company Tax Return within the past seven years been examined or audited by any Governmental Body. No Acquired Company has received from any Governmental Body any: (i) notice indicating an intent to open an inquiry, audit or other review; (ii) request for information related to Tax matters; or (iii) notice of deficiency or proposed Tax adjustment. No extension or waiver of the limitation period applicable to any Acquired Company Tax Returns has been granted by or requested from any Acquired Company. No claim or Legal Proceeding is pending or threatened against any Acquired Company in respect of any Tax. There are no liens for Taxes upon any of the assets of any Acquired Company except liens for current Taxes not yet due and payable (and for which there are adequate and specific accruals, on the Company Financial Statements in accordance with United Kingdom GAAP).
Inquiries and Disputes. (a) InComm shall be responsible for addressing all disputes and inquiries related to the Processing Services. Company shall timely notify InComm of such disputes and inquiries, and any other issues concerning the Processing Services, via their InComm designated representative. (b) Company shall (i) be responsible for addressing all disputes and inquiries related to the Program Management Services and (ii) address, or ensure that Issuing Bank addresses, all inquiries (including cardholder inquiries) related to the Prepaid Products.

  • Applicable Laws and Dispute Resolution a. The formation, validity, interpretation and performance of and settlement of disputes under this Agreement shall be governed by the laws of the PRC.

  • Governing Laws and Dispute Resolution 7.1 The execution, effectiveness, interpretation, performance, amendment and termination of this Agreement and the resolution of disputes hereunder shall be governed by the laws of the PRC.

  • Governing Law and Disputes 12.1 The Parties will make good faith efforts to resolve, in a confidential manner, any dispute which may arise under the Agreement, by escalating it to higher levels of management, prior to resorting to litigation or other legal process.

However, each party may disclose relevant aspects of the other party’s Confidential Information to its officers, affiliates, agents, subcontractors and employees to the extent reasonably necessary to perform its duties and obligations under this Agreement and such disclosure is not prohibited by applicable law. Without limiting the foregoing, each party will implement physical and other security measures and controls designed to protect (a) the security and confidentiality of Confidential Information; (b) against any threats or hazards to the security and integrity of Confidential Information; and (c) against any unauthorized access to or use of Confidential Information. To the extent that a party delegates any duties and responsibilities under this Agreement to an agent or other subcontractor, the party ensures that such agent and subcontractor are contractually bound to confidentiality terms consistent with the terms of this Section 11.

  • Applicable Law and Dispute Resolution 11.1 The execution, validity, performance and interpretation of this Agreement shall be governed by and construed in accordance with the laws of the PRC.

  • Mediation of Disputes In the event of any disputes arise between the parties under this Agreement, the parties agree to use the following procedure prior to and as a precondition to either party pursuing any other available remedies, including arbitration or litigation.

  • Disputes In the case of a dispute as to the determination of the Exercise Price or the arithmetic calculation of the number of Warrant Shares issuable in connection with any exercise, the Company shall promptly deliver to the Holder the number of Warrant Shares that are not disputed.

  • Choice of Law and Dispute Resolution (a) THE INTERPRETATION, PERFORMANCE AND ENFORCEMENT OF THIS AGREEMENT SHALL BE GOVERNED BY THE LAWS OF THE STATE OF NEW YORK WITHOUT REGARD TO PRINCIPLES OF CONFLICTS OF LAW.
