CLAIMS AND DISPUTES. The parties shall use their best efforts to resolve any disagreement or disputes they may have regarding this Agreement. To minimize disputes, the parties will meet periodically, preferably on a monthly basis, to discuss performance and any other issues they may have. CLAIMS AND DISPUTES. Any claim, dispute or other matter in question arising out of or related to this agreement shall be settled through consultation between the parties; should consultation fail the matter may be subject to litigation in a court of competent jurisdiction in St. Xxxxxxxx County, New York State. The presence of disputes between SLU and CONTRACTOR, or legal proceedings arising from such disputes, shall not relieve CONTRACTOR of its obligations to perform the Services. CONTRACTOR AND SLU HEREBY WAIVE ANY AND ALL RIGHTS TO A JURY TRIAL ARISING FROM OR RELATED TO THIS AGREEMENT IN ALL FORUMS AND JURISDICTIONS. Labor and Materials Guarantees: CONTRACTOR represents and warrants that all materials used in completing the Services described in Exhibit will be free of any claim of any nature and by any third party. CONTRACTOR also represents and warrants that all equipment and materials used in the work to be made part of any SLU structure or placed permanently on the property of SLU will be new, of good quality, free of defects and approved in advance by SLU. CONTRACTOR also guarantees all labor and workmanship in regard to all work performed for SLU for a period of 1 year after final acceptance of the work and shall replace such defective materials or workmanship without cost to SLU. Additional warrantees may be outlined in Exhibit A and shall take precedence. Manufacturer warrantees are not limited by this contract. All manufacturers warranties for installed products and/or materials shall be assigned by the CONTRACTOR to SLU upon completion. Assignment: CONTRACTOR shall not assign this Agreement without the prior written consent of SLU. Subcontractors: CONTRACTOR may engage subcontractors to perform work at its discretion hereunder, provided CONTRACTOR shall fully pay said subcontractor and in all instances remain responsible for the proper completion of this Contract. CONTRACTOR shall notify SLU in advance of its intent to utilize subcontractors and the names of the subcontractors. The CONTRACTOR agrees that the terms of this contract shall apply equally to a subcontractor as to the CONTRACTOR, and that the subcontractor is bound by those terms as an employee of the Contractor.   • Retained Causes of Action means those Causes of Action that shall vest in the Reorganized Debtors on the Effective Date, which, for the avoidance of doubt, shall not include any of the Causes of Action that are settled, released or exculpated under the Plan.

  • Released PAGA Claims means the claims being released as described in Paragraph 5.3 below.
