Inspection of Deliverables. Acceptance Fujitsu may perform a delivery inspection and/or test of the Products and/or Services delivered by Supplier under this Purchase Order. Any defects found during such delivery inspection or test shall be duly documented within ten (10) business days from delivery of the Products or Services and be reported to Supplier in writing. If Fujitsu does not report any defects within the stipulated time frame, the Products and/or Services shall be deemed to be Accepted. Acceptance does not waive Fujitsu’s right to subsequently reject Products which are found to be non-functional. If Fujitsu submits a report on defects, Supplier shall, at its own cost and without undue delay, replace or correct defective or non-confirming Products and/or Services. Fujitsu shall after such replacement or correction within five (5) business days Accept the replaced or corrected Products and/or Services. Upon such acknowledgement or if Fujitsu does not confirm Acceptance to Supplier within the stipulated time frame, the Products and/or Services shall be subject to Acceptance. If Fujitsu does not accept the Products and/or Services or if Supplier, when requested by Fujitsu, fails to replace or correct defective or non-confirming Products or Services without undue delay, Fujitsu may terminate this Purchase Order and/or replace or correct such Products and/or Services using other resources and in either event charge Supplier the costs or damages occasioned thereby. Operational use or payment of the Products and/or Services prior to formal Acceptance shall not constitute an implied declaration of Acceptance by Fujitsu.

Inspection of Deliverables a. TxDMV has the right to inspect and test all Deliverables under this Contract, and to the extent practicable, at all times and places during the term of this Contract. TxDMV will perform any inspections and tests in a manner that will not unduly delay the work.
Inspection of Deliverables. All Deliverables shall be subject to monitoring, inspection and testing by Company to the extent practicable at reasonable times and places including, with respect to Equipment, the time and place of manufacture of such Equipment; if any such monitoring, inspection or test is made on Seller’s premises, Seller shall furnish without additional charge reasonable facilities and assistance for the safety and convenience of the persons undertaking such activities. Records of all inspection or quality control work undertaken by Seller with respect to any of the Deliverables shall be kept complete and available to Company during the performance of the Obligations and for such longer period as may be required by law.

If Positek submit a report on defects, Supplier shall, at its own cost and without undue delay, replace or correct defective or non-confirming Products and/or Services. Positek shall after such replacement or correction within five (5) days acknowledge the replaced or corrective Products and/or Services. Upon such acknowledgement or if Positek does not submit an acknowledgement to Supplier within the stipulated time frame, the Products and/or Services shall be subject to Acceptance. If Positek does not accept the Products and/or Services or if Supplier, when requested by Positek, fails to replace or correct defective or non-confirming Products or Services without undue delay, Positek may terminate this Purchase Order and/or replace or correct such Products and/or Services using other resources and in either event charge Supplier the costs or damages occasioned thereby, including without limitation any incidental or consequential damages. Operational use or payment of the Products and/or Services prior to formal Acceptance shall not constitute an implied declaration of Acceptance by Positek.
Inspection of Deliverables. Bupa will inspect the Deliverables within a reasonable time after delivery. Payment for the Deliverables or the signing of delivery receipts before inspection does not constitute acceptance of Deliverables.

Inspection of Deliverables. Upon receipt of the Deliverables, Unicycive shall have the right to inspect such Deliverables. If Unicycive finds that such Deliverables fail to comply with any applicable specification set forth in the applicable Statement of Work, or if Ascent otherwise breaches its obligations in the performance of the Services that renders the Deliverables partially or wholly invalid or unusable, Unicycive may reject such Deliverables by notifying Ascent promptly of such rejection.
