Integrity Audits Clause Samples

The Integrity Audits clause grants a party the right to review and verify the other party’s compliance with agreed-upon standards, policies, or legal requirements. Typically, this involves allowing access to relevant records, systems, or processes for inspection by internal or external auditors, often with advance notice and during normal business hours. Integrity Audits. To ensure compliance of this Agreement and the protection of Sensitive Data, the Promise Neighborhood Data Manager shall have the right to make, via designated staff, unannounced visits to the Promise Neighborhood and the Promise Neighborhood Partner for purposes of inspecting computer equipment and reviewing the security arrangements that the Program Administrator is maintaining with respect to Sensitive Information. The Promise Neighborhood and the Promise Neighborhood Partner Program Administrators will fully and promptly cooperate with the Promise Neighborhood Data Manager and will assist them in completing those inspections.
