INTERNATIONAL PROMOTION. Xxxxxx shall use its Reasonable Best Efforts to Promote the Products in the International Territory in accordance with the International Promotion Plan and, to the extent possible, coordinate its promotional activities and methods in the International Territory with those used by the Parties in the U.S. Territory. With input from the International Marketing Board, Xxxxxx will exercise its Reasonable Best Efforts to prepare and implement an annual plan (the "International Promotion Plan") for the Promotion of the Products in the International Territory. The International Marketing Board shall review and approve the International Promotion Plan. Xxxxxx shall cause its sales force, and all other employees and approved agents and representatives, to comply with all applicable laws, regulations and guidelines in connection with the Promotion of the Products in the International Territory. INTERNATIONAL PROMOTION. T2020 will aim to allow young European musicians to experience – and be experienced by – other cultures. The musicians to whom training will be offered will be selected from all 28 member States of the EU. In turn they will be offered the opportunity to engage in a pattern of performances beyond Europe, and a global exchange programme. An international exchange program will introduce players to new cultures and new ideas, and equip them to perform globally.

  • International Assignor hereby requests such “open access” publication of the Animated abstract and agrees to pay the applicable Fee in accordance with the terms below: [ ] YES [ ] NO The Fee shall be paid initially with a US$ 500 advance payment on giving the Publisher the instruction to start work on the Animated Abstract, and US$ 450 (English language edition) or US$ 950 (Foreign language edition) on completion of the Animated Abstract. PAYMENT TERMS: Xxxxxxx Science shall invoice the Assignor in respect of the Fee. The Assignor shall pay the Fee to Xxxxxxx Science within 15 days of the date of invoice by means of cheque made payable to “Xxxxxxx Science Publishers Ltd”, or by credit card payment or by bank wire transfer. On making bank payments, please ensure that reference is made to our invoice number to avoid your payment not being traced. The Fee shall be paid in full without any deduction or withholding other than as required by law and the Assignor shall not be entitled to assert any credit, set-off, deduction, counterclaim or abatement of any nature whatsoever against Xxxxxxx Science in order to justify withholding payment of any such amount in whole or in part. If the Assignor is required, pursuant to any applicable present or future law, rule or regulation of any competent governmental or other administrative body, to make any deduction or withholding from any amount payable to Xxxxxxx Science pursuant to this Agreement, the Assignor shall pay to Xxxxxxx Science an additional amount as will, after the deduction or withholding has been made, leave Xxxxxxx Science with the same amount as it would have been entitled to receive in the absence of any such requirement to make a deduction or withholding; promptly pay to the relevant authority the amount of such deduction or withholding; and provide evidence of the same to Xxxxxxx Science on request.

  • Marketing and Promotion The School will be responsible for marketing and promoting the Sports Facilities in accordance with the agreed aims and targets. A marketing strategy will be prepared and implemented and reviewed on an annual basis.

  • International Offerings In the case of an International Offering, you authorize the Manager: (i) to make representations on your behalf as set forth in any Intersyndicate Agreement, and (ii) to purchase or sell for your account pursuant to the Intersyndicate Agreement: (a) Securities, (b) any other securities of the same class and series, or any securities into which the Securities may be converted or for which the Securities may be exchanged or exercised, and (c) any other securities designated in the applicable AAU or applicable Intersyndicate Agreement (the securities referred to in clauses (b) and (c) above being referred to collectively as the “Other Securities”).

  • Promotion and Marketing For the purpose of promotion and marketing, the Borrower hereby authorizes and consents to the reproduction, disclosure and use by the Lenders and the Agent of its name, identifying logo and the Facilities, provided that the amount of Facilities shall not be disclosed. The Borrower acknowledges and agrees that the Lenders shall be entitled to determine, in their sole discretion, whether to use such information; that no compensation will be payable by the Lenders or the Agent in connection therewith; and that the Lenders and the Agent shall have no liability whatsoever to it or any of its employees, officers, directors, affiliates or shareholders in obtaining and using such information as contemplated herein.

  • Co-Promotion With respect to each Collaboration Product, the Parties shall enter into an agreement that sets forth the terms of the Parties’ Co-Promotion of such Collaboration Products in the Collaboration Territory no later than [**] prior to the anticipated First Commercial Sale of such Collaboration Product in the Collaboration Territory, such terms to be consistent with the high-level terms and principles set forth in this Section 7.6 (each such agreement, a “Co-Promotion Agreement”). The Parties shall Co-Promote the Collaboration Products in the Collaboration Territory pursuant to the terms and conditions of this Agreement and the applicable Co-Promotion Agreement, provided that Verve shall book all sales of Collaboration Products in the Collaboration Territory. Any Co-Promotion Agreement entered into by the Parties pursuant to this Section 7.6 will set forth the terms under which Beam will engage in the Co-Promotion of such Collaboration Product with Verve to primary care physicians, specialists, and other agreed target customers or stakeholders in the Collaboration Territory. Each Party will provide fifty percent (50%) of the promotional effort required to promote the Collaboration Product in the Collaboration Territory at launch and throughout Commercialization in this Agreement and the allocation of the promotional effort between the Parties will be made on an equitable basis as to both the quality and quantity of the activities to be undertaken, including the identity of target prescribers and the nature of the Details. Costs incurred by the Parties for Co-Promotion activities under the Co-Promotion Agreement shall be Shared Commercialization Costs unless otherwise mutually agreed by the Parties and expressly set forth in the Co-Promotion Agreement. For clarity, the applicable Co-Promotion Agreement shall automatically be terminated on the applicable Opt-Out Date in the event Beam exercises a Beam Opt-Out Option or Verve exercises a Verve Opt-Out Option with respect to a particular Collaboration Product.

  • Promotion A promotion shall mean the transfer of an employee to a higher level position of more responsibility as well as salary.

  • Branding 12.1. CLEC shall provide the exclusive interface to CLEC subscribers, except as CLEC shall otherwise specify for the reporting of trouble or other matters identified by CLEC for which Sprint may directly communicate with CLEC subscribers. In those instances where CLEC requests that Sprint personnel interface with CLEC subscribers, such Sprint personnel shall inform the CLEC subscribers that they are representing CLEC, or such brand as CLEC may specify.
