Inventory of Personal Property. (a) Upon commencement of this Agreement, Owner shall provide to Broker an inventory of all furniture, fixtures, equipment, and other items of personal property (collectively, the "Inventory of Personal Property"), whether attached to the Property or not, which are to be included as part of the Property subject to this Agreement. (b) If within five (5) days after the commencement of this Agreement, Owner has not provided the Inventory of Personal Property to Broker, Broker shall, at Owner's expense conduct an inventory of all such furniture, fixtures, equipment, and other items of personal property. The cost of such inventory shall be paid by Xxxxxx from the Custodial Account, according to the terms of Section 6 herein above. Upon completion of the inventory taken by Broker, Broker shall, within five (5) days after the completion of such inventory, provide to Owner, in writing, an Inventory of Personal Property.
Inventory of Personal Property. In the event of the early termination of the existing Lease Agreement for the Premises with AmRest, LLC, as tenant, then upon request of Grantee, Grantor shall deliver to Grantee an inventory describing and showing the make, model, serial number and location of all fixtures and personal property used in the management, maintenance and operation of the Premises with a certification by Grantor that said inventory is a true and complete schedule of such fixtures and personal property used in the management, maintenance and operation of the Premises and that such items specified in the inventory constitute all of the fixtures and personal property required in the management, maintenance and operation of the Premises, and that such items are owned by Grantor free and clear of any security interests, liens, conditional sales contracts or title retention arrangements, other than the lien and security interest of this Deed of Trust.
Inventory of Personal Property. To Seller's Knowledge, attached hereto as SCHEDULE 14 is a true, accurate and complete list of all inventory of personal property such as maintenance equipment, appliances, tools and parts, mechanical equipment, furniture and supplies currently used by the Seller in the operation of the Land and Property and all Fixtures, except to the extent included in SCHEDULE 14 (herein the "INVENTORY"). To Seller's Knowledge, except as set forth on SCHEDULE 14, all Inventories shall be conveyed to Buyer at Closing, subject only to ordinary wear and tear. Except as set forth on SCHEDULE 14, there are no liens or encumbrances (and none will exist as of the Closing) on any of the Inventory. With the delivery of this Agreement, Seller has provided to Buyer a true, accurate and complete copy of each lien or encumbrance set forth on SCHEDULE 14. Seller at Closing shall pay all such liens and encumbrances.
Inventory of Personal Property. Upon request of Noteholder, Maker shall deliver to Noteholder an inventory describing and showing the make, model, serial number and location of all fixtures and personal property from time to time used in the management, maintenance and operation of the Mortgaged Property (other than inventory or property, if any, expressly excluded from the operation of this Agreement by separate written agreement) with a certification by Maker that said inventory is a true and complete schedule of such fixtures and personal property used in the management, maintenance and operation of the Mortgaged Property and that such items specified in the inventory constitute all of the fixtures and personal property required in the management, maintenance and operation of the Mortgaged Property and that such items are owned by Maker free and clear of security interests, liens, conditional sales contracts or title retention arrangements, except for Permitted Exceptions. Maker hereby grants to Noteholder a security interest in all such items of fixtures and personal property under the terms and conditions of this Agreement.
Inventory of Personal Property. 21.1. For the purpose of this Agreement, “personal property” shall mean all property that is moveable and not real property. Real property shall mean land or anything fixed to the land, such as buildings, fences, and those things attached to the buildings or land, such as light fixtures, plumbing, and heating fixtures, or other such items which would be personal property if not attached. Personal property shall not mean property with a useful life of less than one year, such as office supplies, computer disks, cleaning supplies, or other such expendable items. 21.2. When provided by DISTRICT to MANAGER, MANAGER shall check the list of DISTRICTS personal property inventory associated with the Property (“Personal Property Inventory”), accompanied by Directors representative, and confirm in writing what said inventory has been received, and identify at that time if any items are missing. DISTRICTS personal property that is used for F&B Services, shall be identified separately and constitute one of the components used as the basis for ‘rent as further described in the Concession Agreement. Such written acknowledgement shall constitute that the Personal Property Inventory as confirmed in writing by MANAGER and is considered as part of this Agreement and the MPM, for the purposes of MANAGERS responsibility under this Agreement. All of DISTRICTS personal property, where practical, shall be bar coded by DISTRICT, or MANAGER on behalf of the DISTRICT, identifying each item for inventory purposes and to make subsequent inventories easier and more accurate. 21.3. Any personal property purchased at DISTRICTS cost during the Agreement term, shall become the personal property of DISTRICT, and as applicable per DISTRICT policy, shall be identified by a bar coded identification system, scanned and included in the perpetual Personal Property Inventory list. MANAGER may, upon approval by the Director and Auditor-Controller whose approval shall not be unreasonably withheld, implement a point-of-sale inventory tracking system for items held for sale at the pro/golf shop and may use the records from such’ system for such items in lieu of including them on the perpetual Personal Property Inventory list. If a separate inventory control system is maintained for the stock-in-trade at the pro/golf shop, such records shall be maintained at a location approved by the Director, and made available for DISTRICTS review upon five (5) day written notification from DISTRICT to MANAGER, exc...
