Items to be Delivered to Purchaser. The following shall be delivered by the Company to the Purchaser on each Closing Date:

Within three (3) business days after the Effective Date, Seller shall deliver to Purchaser, in the form of originals or photocopies the Seller’s Materials (which may sometimes also be referred to as the “Due Diligence Items”). In the event Closing does not occur, all Due Diligence Items shall be promptly returned to Seller.
