Landlord Authority. Landlord represents and warrants to Tenant that it has full authority and power to enter into and perform its obligations under this Lease, that the person executing this Lease is fully empowered to do so, and that no consent or authorization is necessary from any third party.
Landlord Authority. The parties recognize that Landlord is a manager managed California limited liability company operated by co-managers. Any approval, disapproval or other action by Landlord shall require a writing executed by both co-managers.
Landlord Authority. Landlord shall have the exclusive authority to grant possession and use to the condemning authority and to negotiate and settle all issues of just compensation or, in the alternative, to conduct litigation concerning such issues; provided, however, that Landlord shall not enter into any settlement of any separate award that may be made to Tenant as described in Section 16.4 without Tenant's prior approval of such settlement, which approval shall not be unreasonably withheld.
Landlord Authority. (a) Landlord shall at all times retain exclusive final authority over the public right of way on or about the Wharf, including the License Area. Landlord shall have the right to perform any and all acts of construction and maintenance in the public right of way, including the License Area, as fully and completely as if the license for the use of the License Area did not exist. Landlord may provide Tenant with advance notice of any construction or maintenance to be performed by Landlord or Landlord's agents in the License Area, but is under no obligation to do so. Landlord will not be liable to Tenant by reason of any injury to or interference with Xxxxxx's business or property for any inconvenience or damages caused thereby.
Landlord Authority. Landlord hereby represents and warrants that Landlord (i) is the sole fee simple owner of the Premises, and (ii) has full right and authority to make or enter into this Lease for the full term granted herein and any extensions thereof and that no joinder or approval of any other person or entity is required with respect to Landlord's right and authority to enter into the Lease.
Landlord Authority. Landlord hereby represents that Landlord is duly organized, validly existing and in good standing under the laws of the state of its organization and is qualified to do business in California and that each person signing on behalf of Landlord is authorized to do so. Landlord has full power, capacity, authority and legal right to execute and deliver this Lease and to perform all of its obligations hereunder. This Lease is a legal, valid and binding obligation of Landlord, enforceable in accordance with its terms.
Landlord Authority. Landlord covenants and warrants that Landlord has xxxx title to the Premises and the full right and lawful authority to enter into this Lease far the full term described and for all extensions, if any, herein provided, and that the Premises are free and clear of all contracts, leases, liens, restrictions and encumbrances of whatever nature. Nothing contained herein shall be deemed to restrict or limit Landlord's right to mortgage said premises, provided that Tenant shall have the right to remain in the Premises pursuant to this Lease as long as Tenant is in compliance with the terms of this lease.
Landlord Authority. Landlord covenants, warrants and represents that: (a) each individual executing, attesting and/or delivering this Sublease on behalf of Landlord is authorized to do so on behalf of Landlord; (b) this Sublease is binding upon Landlord; and (c) Landlord is duly organized and legally existing in the state of its organization and is qualified to do business in the State of California. Notices, payments and agreements given or made by, with or to any one person or entity shall be deemed to have been given or made by, with and to all of them.
