Licence Fee Review. (a) In this clause the President is the President for the time being of the Royal Institution of Chartered Surveyors or a person acting on his behalf, and the Surveyor is the independent valuer appointed pursuant to clause 3.2(k).
(b) The amount of Rent shall be reviewed on each Review Date to:
(i) the Rent payable immediately before the relevant Review Date (or which would then be payable but for any abatement or suspension of the Rent or restriction on the right to collect it) or, if greater; (ii) the indexed rent determined pursuant to this clause.
(ii) The indexed rent shall be determined at the relevant Review Date by multiplying the Base Rent by the All Items index value of the RPI for the month two months before the month in which the relevant Review Date falls, then dividing the product by the All Items index value of the RPI for the Base RPI Month.
(c) The Licensor shall calculate the indexed rent as soon as reasonably practicable and shall give the Licensee written notice of the indexed rent as soon as it has been calculated.
(d) If the revised Rent has not been calculated by the Licensor and notified to the Licensee on or before the relevant Review Date, the Rent payable from that Review Date shall continue at the rate payable immediately before that Review Date. On the date the revised Rent is notified by the Licensor to the Licensee, the Licensee shall pay:
(i) the shortfall (if any) between the amount that it has paid for the period from the Review Date until the Rent Payment Date following the date of notification of the revised Rent and the amount that would have been payable had the revised Rent been notified on or before that Review Date; and
(ii) interest at the Interest Rate on that shortfall calculated on a daily basis by reference to the Rent Payment Dates on which parts of the shortfall would have been payable if the revised Rent had been notified on or before that Review Date and the date payment is received by the Licensor.
(e) Time shall not be of the essence for the purposes of this clause.
(f) Subject to clause3.2, if there is any change to the methods used to compile the RPI, including any change to the items from which the All Items index of the RPI is compiled, or if the reference base used to compile the RPI changes, the calculation of the indexed rent shall be made taking into account the effect of any such change.

Licence Fee Review. (a) The Licence Fee will be adjusted by nbn annually on each 1 July ("Review Date") during the Term in accordance with the following formula: Where:
Licence Fee Review. (i) The Licence Fee may be reviewed and varied by the Licensor at the Licensor's complete discretion.
(ii) If the Licence Fee is varied in accordance with clause 4.2, the new Licence Fee will be deemed to be effective from the time in which the Licensee receives notice of the new Licence Fee.
Licence Fee Review. The Licensor may review the Licence Fee annually giving not less than three (3) months] notice of any change. Any increase to the Licence Fee following such review must be no more than 5%.
