Licenses and Accreditations. When it is a requirement of a position for an employee to have a license (e.g. driver’s license, security license) or an accreditation to perform the duties of the position, it is the Employee’s responsibility to maintain such license or accreditation and to notify OCH immediately of any suspension or loss.

Licenses and Accreditations. The County will reimburse or otherwise pay the cost of securing and maintaining accreditation and/or state-certified licenses according to the following chart: 2.1.1 Exception to the chart will occur if an employee is hired-in and already possesses their Certified General Appraiser, Certified Residential Appraiser, or State-Licensed Appraiser License. The County will reimburse or otherwise pay the cost of maintaining accreditation and/or licenses at the level the employee had when they were hired or promoted. Licenses and Accreditations. (a) The Company Entities hold all Permits necessary for the lawful conduct of the Business. All such Permits (i) have been issued or given to the Company Entities and no other Person and (ii) are in good standing and full force and effect. Each of the Company Entities is operating in material compliance with each such issued Permit, and to the Company’s Knowledge, there is no basis for any Governmental Authority or other Person to allege that any of the Company Entities is not currently, operating in material compliance with any such Permit, or to take any action to revoke, involuntarily deactivate, withdraw, terminate or suspend any such Permit. (b) To the Company’s Knowledge, each healthcare professional employed by the Company Entities who is required by applicable Law to have a license or certification in order to provide services to or on behalf of the Company Entities (each, a “Healthcare Professional“) is and, to the Company’s Knowledge, has been since January 1, 2021, to the extent that Healthcare Professional provided any health care services to or on behalf of the Company Entities during that time, duly licensed and certified in each applicable jurisdiction as required by applicable Law. To the Company’s Knowledge, each Healthcare Professional’s license or certification is in good standing with the applicable -11- 309624095 v9 licensing Governmental Authority, and no action is pending or, to the Company’s Knowledge, threatened that would terminate or suspend any Healthcare Professional’s license. To the Company’s Knowledge, each Healthcare Professional is and has been since January 1, 2021 (to the extent that Healthcare Professional provided any health care services to or on behalf of the Company Entities during that time), duly certified to participate in, and has participated in, Medicare, applicable Medicaid programs, and all other Third Party Payor programs in which the applicable Company Entity has participated. To the Company’s Knowledge, each Healthcare Professional currently providing services for the Company Entities is credentialed, privileged, in good standing on the medical staff at each facility at which he or she performs services on behalf of the Company Entities, and, to the Company’s Knowledge, no reason or condition exists that would materially impact any such Healthcare Professional’s credentialing and medical staff privileges.
Licenses and Accreditations. To Sellers' Knowledge, based solely on the lack of receipt of written notices addressed to Sellers' Office to the contrary, there is not currently pending or threatened (a) any action or proceeding to revoke, withdraw or suspend any of the Property Licenses or (b) any judicial or administrative agency judgment or decision not to renew any of the Property Licenses. As used herein, the term "Property Licenses" shall mean all local, state and federal licenses and Medicare and Medicaid accreditations necessary to operate the Facilities.
Licenses and Accreditations. Sellers hold all Permits required to be held by them to own, occupy and operate the Seller Facilities as they are currently being operated. Schedule 3.5 sets forth a list of such Permits, copies of which have been made available to Buyers, and all of which are valid and in full force and effect. All of such Permits are valid, binding and in full force and effect. Schedule 3.5 sets forth a list of any survey or inspection deficiencies of which a correction is in the process of being implemented. The Seller Facilities are duly accredited by The Joint Commission and Sellers have made available to Buyers complete and accurate copies of the most recent accreditation survey reports and lists of deficiencies, if any, from such accreditation agency(b) the most recent Statement and Deficiencies and Plan of Correction on Form CMS-2567 issued by CMS or the state survey agency on behalf of CMS for the Seller Facilities;
Licenses and Accreditations. As a commercial practice, the Contractor may be required to obtain/possess any variety of certifications, licenses and accreditations for specific FSC/service code classifications offered. All costs associated with obtaining/ possessing such certifications, licenses and accreditations should be factored into the price offered under the Multiple Award Schedule program.

Related to Licenses and Accreditations

  • Licensing and Accreditation (a) Each of the Loan Parties and their Subsidiaries has, except to the extent such failure to do so would not reasonably be expected to result in a Material Adverse Effect, to the extent applicable: (i) obtained (or been duly assigned) all required Governmental Approvals and certificates of need or determinations of need as required by the relevant state Governmental Authority for the acquisition, construction, expansion of, investment in or operation of its businesses and Facilities as currently operated; (ii) obtained and maintains in good standing all Governmental Approvals and Healthcare Permits; (iii) obtained and maintains accreditation from all generally recognized accrediting agencies where required by applicable Law or necessary for reimbursement by any applicable Medical Reimbursement Program; (iv) entered into and maintains in good standing its Medicare Provider Agreements and, to the extent applicable, Medicaid Provider Agreements; and (v) ensured that all such Healthcare Permits are in full force and effect on the date hereof and have not been revoked or suspended or otherwise limited (collectively, “Certificates, Licenses and Accreditation”). No event has occurred or other fact exists with respect to the Certificates, Licenses and Accreditation and Governmental Approvals that allows, or after notice or lapse of time or both, would allow, revocation, suspension, restriction, limitation or termination of any of the Certificates, Licenses and Accreditation and Governmental Approvals, except to the extent such failure to do so would not reasonably be expected to result in a Material Adverse Effect. No written notice from any Governmental Authority in respect to the revocation, suspension, restriction, limitation or termination of any material Certificates, Licenses and Accreditation and Governmental Approvals has been delivered or issued or, to the knowledge of the Loan Parties, threatened in writing, in any such case, that could reasonably be expected to result in a Material Adverse Effect. (b) To the knowledge of the Loan Parties, each Contract Provider is duly licensed by each state, state agency, commission or other Governmental Authority having jurisdiction over the provision of such services by such Person in the locations where the Loan Parties and their Subsidiaries conduct business, to the extent such licensing is required to enable such Person to provide the professional services provided by such Person and otherwise as is necessary to enable the Loan Parties and their Subsidiaries to operate substantially as currently operated and as contemplated to be operated. (c) There is no civil, criminal or administrative action, suit, claim, indictment, proceeding, hearing, charge, complaint, demand, audit inspection or investigation pending or, to the knowledge of the Loan Parties, threatened by any federal, state or local governmental agency against any Loan Party or any Subsidiary or any Responsible Officer thereof, nor is there any basis therefore, in any such case, that would reasonably be expected to result in a Material Adverse Effect.

  • Licenses and Approvals Contractor shall obtain and keep current all necessary licenses, approvals, permits and authorizations required by Applicable Laws to provide the Work. Contractor will be responsible for all fees and taxes associated with obtaining such licenses, approvals, permits and authorizations, and for any fines and penalties arising from its noncompliance with any Applicable Law.

  • Consents, Licenses and Approvals The Administrative Agent shall have received, with a counterpart for each Lender, a certificate of a Responsible Officer of the Borrower (i) attaching copies of all consents, authorizations and filings referred to in Section 5.4, and (ii) stating that such consents, licenses and filings are in full force and effect, and each such consent, authorization and filing shall be in form and substance satisfactory to the Administrative Agent.
