Limitations on the Use of the Software. The Licensee shall refrain from any use of the Software that is prohibited by law or not specifically provided for in this End User Licence Agreement, or from doing or allowing any third party to do so, and in particular shall refrain from: - assigning, sublicensing, lending or renting out the Software. - correcting or having a third party correct, any errors or malfunctions in the Software or its Documentation without the prior consent of the Editor, - using the Software and/or its Documentation outside the scope of the Licence as referred to in the Delivery Note and/or in the special contractual conditions applicable between the Licensee and the Distributor, - providing or making the Software and/or its Documentation available, free of charge or for a fee, by any means whatsoever and in particular over its internal network or over the Internet, to any person whomsoever, with the sole exception of the right to access and use the Software granted solely to those End Users authorised under the Licence and according to the terms and conditions set down in the Licence, - reproducing, translating, adapting, decoding, decompiling (with the sole exception being the authorisation to decompile the software for interoperability purposes subject to compliance with the provisions of French law authorising such an operation), disassembling or attempting to access the Source Code of the Software or reconstituting, modifying or merging the Source Code of the Software, or creating other works from the Software, - modifying the registration number of the Licence and/or the Software or replacing those imposed by the Editor with new passwords not authorised by the Editor when installing or using the Software, - transferring the Software to a site or environment other than that for which the Licence was granted, - selling, renting, licensing or transferring a copy of the Software or its Documentation in any way. The Editor reserves the right to carry out an inspection, or have a third party carry out an inspection, on the Licensee’s premises during normal working hours, without having to give prior notice, in order to ensure that the Software is being properly used. The sublicensee is not entitled to: 5.1.1. use the Programs in an amount that goes beyond the current scope of the License and in the ways not provided for in this Agreement; 5.1.2. make any changes to the source, object codes of the Programs; 5.1.3. distribute, communicate to the public the Programs in any form and by any means, including jointly with other programs, as part of collections of software products, with the offer of other programs, settings and other products, regardless of the purpose of such use; 5.1.4. study, examine, test the Programs to determine the programming ideas and principles on which the Programs are based, decompile, decrypt or otherwise attempt to obtain the source code of the Programs; 5.1.5. modify, adapt, correct, change the Programs, including those on tangible media and hardware (equipment) of the Sublicensee; 5.1.6. distribute or otherwise transfer to third parties copies of the Programs (including components of the Programs and archival copies of the Programs), grant Licenses to third parties, and/or sell, rent, transfer or otherwise make available to any third party Computers on which Programs installed; 5.1.7. by their actions (or inaction) create conditions for access to the Programs (Instance of the Program), as well as the Activation Code (key) for third parties and not take reasonable measures to protect against intruders; 5.1.8. take other actions with respect to the Programs that violate the provisions of this Agreement, user (technical) documentation, as well as the norms of applicable law in the field of copyright protection.

To the extent that the Company delivers any material, non-public information to a Buyer without such Buyer’s consent, the Company hereby covenants and agrees that such Buyer shall not have any duty of confidentiality with respect to, or a duty not to trade on the basis of, such material, non-public information. Subject to the foregoing, neither the Company, its Subsidiaries nor any Buyer shall issue any press releases or any other public statements with respect to the transactions contemplated hereby; provided, however, the Company shall be entitled, without the prior approval of any Buyer, to make the Press Release and any press release or other public disclosure with respect to such transactions (i) in substantial conformity with the 8-K Filing and contemporaneously therewith and (ii) as is required by applicable law and regulations (provided that in the case of clause (i) each Buyer shall be consulted by the Company in connection with any such press release or other public disclosure prior to its release). If you decide to use the Services through an interface device not provided by Atlantic Broadband, which Atlantic Broadband reserves the right to prohibit in particular cases or generally, you warrant and represent that you possess all required rights to use that interface device with the Services, including all software and firmware licenses. You will indemnify and hold harmless Atlantic Broadband against any and all liability arising out of your use of such interface device with the Services.

  • Limitations on Re-Disclosure The Provider shall not re-disclose Student Data to any other party or affiliate without the express written permission of the LEA or pursuant to court order, unless such disclosure is otherwise permitted under SOPPA, ISSRA, FERPA, and MHDDCA. Provider will not sell or rent Student Data. In the event another party, including law enforcement or a government entity, contacts the Provider with a request or subpoena for Student Data in the possession of the Provider, the Provider shall redirect the other party to seek the data directly from the LEA. In the event the Provider is compelled to produce Student Data to another party in compliance with a court order, Provider shall notify the LEA at least five (5) school days in advance of the court ordered disclosure and, upon request, provide the LEA with a copy of the court order requiring such disclosure.

  • Survival of Warranties and Certain Agreements All agreements, representations and warranties made herein shall survive the execution and delivery of this Agreement, the making of the Loans, issuances of Letters of Credit and the execution and delivery of the Notes. Notwithstanding anything in this Agreement or implied by law to the contrary, the agreements of Borrower set forth in Sections 1.3(e), 1.8, 1.9 and 9.1 shall survive the repayment of the Obligations and the termination of this Agreement.
