Local Lines. After Closing Seller will cooperate in the transfer of local telephone company lines and services to Purchaser, as required. Purchaser shall use its reasonable best efforts to proceed promptly to effect a transfer of service to the local exchange carrier.

Local Lines. The Customer shall have sole and exclusive responsibility for provision and maintenance of local dial-up lines used by the Customer’s ATMs, POS devices or other devices that accept debit or credit cards for payment purposes at which Transactions processed by eFunds originate. The Customer shall provide telecommunication line access for each such ATM, POS device or other device that accepts debit or credit cards for payment purposes at the Customer’s expense.
Local Lines. Customer will pay the Monthly Recurring Charges (“MRC”), which include unlimited local usage and the install charges indicated in the table below. IntraLATA toll; interstate, intrastate and international long distance; toll free and calling card minutes and NOT included. Customer understands that the limitations may apply, based on location, as provided in applicable tariffs. Verizon will install the local lines from the nearest Central Office to the location where the telecommunications provider’s wiring crosses or enters a property.   • Other Locations Except in the event of an emergency or of a planned System shutdown, the Fund’s access to services performed by the System or to Data Access Services at the Designated Locations may be transferred to a different location only upon the prior written consent of State Street. In the event of an emergency or System shutdown, the Fund may use any back-up site included in the Designated Configuration or any other back-up site agreed to by State Street, which agreement will not be unreasonably withheld. The Fund may secure from State Street the right to access the System or the Data Access Services through computer and telecommunications facilities or devices complying with the Designated Configuration at additional locations only upon the prior written consent of State Street and on terms to be mutually agreed upon by the parties.

  • Facilities Keep all properties useful or necessary to Borrower's business in good repair and condition, and from time to time make necessary repairs, renewals and replacements thereto so that such properties shall be fully and efficiently preserved and maintained.

  • Personnel, Office Space, and Facilities of Manager The Manager at its own expense shall furnish or provide and pay the cost of such office space, office equipment, office personnel, and office services as the Manager requires in the performance of its investment advisory and other obligations under this Agreement.

  • Business and Travel Expenses Upon presentation of reasonable substantiation and documentation as the Company may specify from time to time, the Employee shall be reimbursed in accordance with the Company’s expense reimbursement policy, for all reasonable out-of-pocket business and travel expenses incurred and paid by the Employee during the Employment Term and in connection with the performance of the Employee’s duties hereunder.

  • Facility Prudential is willing to consider, in its sole discretion and within limits which may be authorized for purchase by Prudential Affiliates from time to time, the purchase of Shelf Notes pursuant to this Agreement. The willingness of Prudential to consider such purchase of Shelf Notes is herein called the “Facility”.   • Locations Give Vicis at least thirty (30) days prior written notice of Debtor’s intention to relocate the tangible Collateral (other than Inventory in transit) or any of the records relating to the Collateral from the locations listed on Schedule 1 attached to this Security Agreement, in which event Schedule 1 shall be deemed amended to include the new location. Any additional filings or refilings requested by Vicis as a result of any such relocation in order to maintain the Security Interest in the Collateral shall be at Debtor’s expense.
