Louisiana Statutory Employer. This provision only applies for Services for BUYER’S facility located in Louisiana: SUPPLIER (as direct employer), and BUYER (as principal employer) mutually agree that, with respect to the work or services provided to BUYER in Louisiana in connection with this Agreement, or under any purchase order to which this Agreement applies, it is the express intention of BUYER AND SUPPLIER, to the full extent permitted by Louisiana law, to recognize BUYER as the statutory employer of (a) SUPPLIER’S direct employees and (b) employees which would otherwise be recognized as SUPPLIER’S statutory employees in accordance with Louisiana R.S. 23: 1031 and R.S. 23: 1061. This provision is included for the sole purpose of establishing a statutory employer relationship to gain the benefits expressed in La. R.S. 23:1031(C-E) and La. R.S. 23:1061(A) and is not intended to create an employer/employee relationship for any other purpose. Nothing in this provision shall be interpreted to alter SUPPLIER’S status as an Independent Contractor. Further, BUYER has no control, right of control or involvement in the hiring, firing or direct supervision or direction of SUPPLIER’S employees or the means, details or methods of work performed by SUPPLIER’S employees on BUYER’S premises. BUYER and SUPPLIER agree that the services performed under this Agreement are an integral part of and essential to the ability of BUYER to generate its goods, products or services for the purposes of La. Rev. Stat. 23:1061(A)(1). For any work or services provided by SUPPLIER in whole or in part in the State of Louisiana pursuant to this Agreement, the validity, interpretation, and construction of this Section 25 shall be governed by the laws of the State of Louisiana without reference to Louisiana’s rules of conflicts of laws.
Louisiana Statutory Employer. This provision only applies for Services for a Site located in Louisiana. The Agreement recognizes that Buyer shall be considered the statutory employer of Consultant’s employees and Subcontractors who provide Services under this Agreement and any applicable Accepted Order for Buyer in Louisiana in accordance with Louisiana R.S. 23: 1031 or R.S. 23: 1061. Thus Buyer is to be granted the exclusive remedy protection of Louisiana R.S. 23: 1032 and it shall be liable to pay compensation benefits if the immediate employer (Consultant) is unable to meet its obligation under Louisiana Worker’s Compensation Statute for Services that are performed in Louisiana under this Agreement and any applicable Accepted Order. The Parties agree that the recognition of the Statutory employer status is made pursuant to R.S. 23: 1061 of the Louisiana Worker’s Compensation Statute and that Buyer is not the actual employer of any employees of Consultant or any of its Subcontractors. Further, Buyer has no control or involvement in the hiring, firing or direct supervision or direction of any such employees. The Services performed under this Agreement and any applicable Accepted Order is an integral part of and essential to the ability of Buyer to generate its goods, products or services.
