Loyal and Conscientious Performance of Duties. Executive agrees that to the best of his ability and experience he will at all times loyally and conscientiously perform all of the duties and obligations required of him either expressly or implicitly by the terms of this Agreement.

Consultant agrees that to the best of his ability and experience he will at all times loyally and conscientiously perform all of the duties and obligations required of him either expressly or implicitly by the terms of this agreement. Consultant shall not, directly or indirectly, acquire, hold, or retain any interest in any business competing with or similar in nature to the business of Company, and shall not acquire and hold any secrets detrimental or impacting the interests of Company, but shall immediately upon receipt disclose such information to appropriate Company management.

Employee agrees that to the best of her ability and expertise, Employee shall render her services and assert her best efforts on behalf of the Company, devoting full time in the performance of her duties consistent with the needs of the Company and the practices of the industry. Employee shall perform her duties diligently and competently. The Company recognizes that the Employee may have positions on other company’s Boards of Directors; Community based Advisory Boards and on occasion may be contracted as a Consultant by other third parties. The Company accepts this as a reality and, provided the Employee renders her service on a full time basis to Company, the Company accepts this on a “time to time” basis.

Executive agrees he will at all times loyally and conscientiously perform all of the Services and obligations required under this Agreement and the corporation law of the state of Delaware, to the best of his ability and experience. Notwithstanding anything to the contrary contained herein, in the Consulting Agreement, or as a result of any obligations that Executive has to California Pictures Inc. and/or Strategic Film Partners, Executive agrees that his other obligations shall not conflict with, or deter from, his ability to render and completely fulfill his services hereunder in any way whatsoever.

Section 2.02 ( a ) - Consultant agrees that to the best of their ability and experience, they will at all times loyally and conscientiously perform all of the duties and obligations required of them either expressly or implicitly by the terms of this agreement. However, both the Company and the Consultant are aware that proper and conscientious discharge of the duties of the Consultant hereunder will not require Consultant to devote their entire productive time, ability and attention during the normal work day to the business of the Company during the term of this agreement. In addition, it is understood by the Company that the Consultant may elect to spend up to a total six (6) weeks per year, in increments not to exceed four (4) continuous weeks, out of the geographical area of the agreement and will not, during these time periods, be available to discharge usual duties. However, Consultant during these periods, shall make all reasonable efforts to stay in contact with the Company by telephone to assist in that manner in the discharge of consultant obligations to the best of its ability.
