Management of consignment stock. The exact content of this Consignment Stock as well as the packing conditions of the consigned equipmentand/or parts shall be defined at the latest one (1) month prior to the first delivery, as provided under the Contract. The content shall be updated with regard to reference number and quantity by the Supplier to enable theafter-sales service of the Purchaserand/or Supplier to start repairs within less than four (4) working hours from the notification from the Purchaser, throughout the warranty period as defined at this Article 17.

The Supplier shall define the content of a Consignment Stock in the frame of the Contract, based on its reliability analysis and number of maintenance sites and communicate it to the Purchaser. The parts and/or equipment contained in the Consignment Stock shall be identical with the parts and/or series of the delivered Goods in the frame of the Project. The Supplier shall update the content of the Consignment Stock in case of evolution of the series Goods. The parts of the Consignment Stock shall be delivered at the latest upon the delivery of the Goods as provided under the Contract. The parts of the Consignment Stock shall be delivered with a packaging enabling handling, storage and guaranteeing the integrity and use of parts and/or Goods during the warranty period defined in this Article 16. The Consignment Stock shall be under the responsibility to keep and manage entrance and exit of the Purchaser or the Supplier if the Supplier is on the site. The Consignment Stock shall either be stored in the premises of the Supplier or of the Purchaser or made available to the Customer at the option of the Purchaser. Upon expiry of the warranty period defined in this Article 16, the Purchaser shall negotiate with the Customer that the latter acquire the remainder of the Consignment Stock. Should the Customer refuse to do so, the remainder shall be returned to the Supplier at its own costs.

Management of consignment stock. 5.1. The Consignee shall assist the Consignor by physical inspection when counts discrepancies or queries or other Consignment stock queries discrepancies arise. Physical counts or checks can only be done by prior appointment between the Consignee and the Consignor, and while the Consignee stock controller or pharmacy manager is present.
5.2. The Consignment Stock shall be checked monthly by the duly authorized representatives of the Consignor and the Consignee, including without being limited to the Consignee’s stock controller or pharmacy manager being present. Should the Consignor’s duly authorized representative fail to commence or complete such Consignment Stock check in any particular month, then the Consignee’s Consignment Stock check report shall be deemed to be an accurate record of the Consignment Stock and the Consignor shall be bound thereby notwithstanding the provisions of clause 5.3 below.
5.3. The Consignor will be responsible to promptly notify the Consignee of any third parties who will be managing the Consignee’s Consignment Stock on behalf of the Consignor, by providing the Consignee or Hospital with prior written authorization of same. The Consignor shall at all times remain responsible for the acts or omissions of such designated third parties.
5.4. A Consignment Stock check report (“the Report”) must be agreed to and signed off in duplicate by the duly authorized representatives of both Parties after each Consignment Stock check is completed. The Report must contain the following minimum information:
5.4.1. the product description;
5.4.2. the serial or batch number;
5.4.3. the product code;
5.4.4. the expiry date;
5.4.5. the quantity; and
5.4.6. the valid XXXXX code.
5.5. All discrepancies and variances must be noted on the Report and immediately reported by the Consignor to the Consignee’s pharmacy manager.
5.6. Any order number for discrepancies regarding Consignment Stock will only be issued by the Consignee upon completion of internal investigation by the Consignee/Hospital.
5.7. Consignor must be able to provide the relevant signed POD as well as signed monthly Report.
5.8. If the Consignor fails to provide relevant evidence of documentation (POD’s) and signed monthly Report, the Consignee will not issue an order number.
5.9. Any shortages must be immediately investigated by the Consignee’s stock controller and the result of the investigation must be indicated on the Consignment Stock Report.
