Long-term supply. Supplier shall supply Goods corresponding exactly to the technical specifications as set out in the Contract, for a period of thirty (30) years unless otherwise agreed in the Contract, as from the delivery date of the last series equipment of the last order linked to a same Project.
Long-term supply. 17.6.1. The Supplier shall ensure that the Goods, as well as their parts, components and Spare Parts (as the case may be), will remain available and in full compliance with the Technical Specifications for a period of thirty-five (35) years from the date of delivery of the last Goods with respect to a same project. The Supplier shall provide supply, repair, test or support of any Goods, or Spare Parts thereof, during this period of thirty-five (35) years.
17.6.2. If at any timeduring this period of thirty-five (35) years, the Supplier fails to meet this obligation:

(ii) give to Purchaser the possibility of purchasing a stock of Goods to satisfy Purchaser’s requirements for the period during which Supplier cannot meet its obligation; and
(iii) provide to Purchaser, all the drawings, specifications, specific tools, documents and information regardless of their support, to enable Purchaser to find alternative source of supply.
17.1.3 Should Supplier decide to cease manufacture and sale of any of the Goods, it shall so inform Purchaser in writing twelve at least (12) months prior to any such cessation.

17.1.4 Should Supplier intend to sell to any third-party any product involving any element ownedby Purchaserpursuantto Article 22 (Intellectual Property) hereinafter, then Supplier shall first request Purchaser’s prior written consent and Supplier shall pay to Purchaser a consideration equal to twenty percent (20%) of the Ex-Works sale price of the products to the third party.
Long-term supply. To assist with Monsanto’s decision to exercise the License Purchase Option, the Parties will use good faith efforts to negotiate and agree upon the margin over Purchase Price that Monsanto will pay Landec to manufacture and supply Polymer to Monsanto pursuant to the supply agreement that the Parties will negotiate and enter into pursuant to Section 3.4.2 below if Monsanto exercises the License Purchase Option.

Long-term supply. Subject to early termination of this Agreement in accordance with the provisions of Section 7.2 hereof, Draxis shall Formulate the Product for Bone Care for the duration of this Agreement.
Long-term supply. Supplier will provide the Goods and Services, replacement parts, repair services and technical support at reasonable and competitive pricing for at least 10 years after the last Order. Supplier will keep all major spare parts on stock, ready for immediate dispatch to the site.
Long-term supply. (i) Immediately following the Effective Date, Durect and King agree to create a joint team consisting of three people from the technical operations group of each Party, and the Parties shall, through such joint team, establish key terms acceptable to both Parties relating to the long-term supply by [ * * *] of pharmaceutical grade [ * * *] Starter Materials (the “Agreed [ * * *] LTSA Terms”).
(ii) After receipt by Durect of the [ * * *] under all of the [ * * *], Durect shall exercise commercially reasonable efforts to enter into an agreement for the long-term supply of pharmaceutical grade [ * * *] Starter Material with [ * * *] (“[ * * *] Long Term Supply Agreement”) based on the Agreed [ * * *] LTSA Terms.
