Measures to Prevent Improper Use or Access. Domestic Communications Companies shall take all reasonable measures to prevent the use of or access to the Domestic Communications Infrastructure or to Data Centers to conduct Electronic Surveillance, or to obtain or disclose Domestic Communications, U.S. Hosting Data, Classified Information, Sensitive Information, or Controlled Unclassified Information, in violation of any U.S. Federal, state, or local laws or the terms of this Agreement. These measures shall include creating and complying with detailed technical, organizational, operational, and personnel controls, policies and written procedures, necessary implementation plans, and physical security measures.

Measures to Prevent Improper Use or Access. Inmarsat shall take all practicable measures to prevent the use of or access to Inmarsat’s equipment or facilities to conduct Electronic Surveillance of Domestic Communications, or to obtain or disclose Domestic Communications, Classified Information, or Sensitive Information, in violation of any U.S. federal, state, or local laws or the terms of this Agreement. These measures shall include creating and complying with any policies and procedures as required by 47 C.F.R. § 1.20003, as applicable, and other appropriate written technical, organizational, and personnel-related policies and procedures, implementation plans, and physical security measures.

Level 3 shall submit the policies and procedures regarding these measures to the Government Parties for review within sixty (60) days of the Effective Date of this Agreement. Level 3 agrees to meet and confer with the Government Parties and reasonably address any concerns the Government Parties may raise about the policies or the procedures described therein.

The Applicants shall submit the policies and procedures regarding these measures to DHS for review upon request. The Applicants agree to meet and confer with DHS and reasonably address any concerns DHS may raise about the policies or the procedures described therein.

These measures shall include creating and complying with detailed technical, organizational, operational, and personnel controls, policies and written procedures, necessary implementation plans, a visitation policy, and physical security measures. On or before the Effective Date, documents constituting and describing all such controls, policies, procedures, plans, and measures shall be provided to DHS, DOJ, FBI, and DOD for review and consultation. Thereafter VSNL America or VSNL US shall provide written notice to DHS, DOJ, FBI, and DOD of any material changes in the documents or in such controls, policies, procedures, plans, and measures, as soon as reasonably practicable before the changes take effect.
