Medical and Disability Insurance. Subject to Executive taking and passing the physical examination required by the Company's insurance carrier, the Company shall provide Executive with full medical and disability insurance coverage provided to other officers of the Company.

To the extent the Company directly provides to Employee any cost reimbursement benefits, payment of such benefits shall be made on or before the last day of the calendar year following the calendar year in which such costs are incurred. For purposes of this Agreement, Employee’s “Family” shall include his spouse, as well as his children and step children until such time that his children and step children are no longer eligible for coverage under the health insurance plans covering the Company’s employees or until they become covered under a policy or plan provided by their employer which provides substantially similar coverage and benefits. The Company shall also take the necessary action to (a) include Employee under a Company sponsored disability plan for executives, (b) acquire a specific disability insurance policy for Employee and/or (c) assist Employee in acquiring or paying for a disability plan or insurance policy, which action results in Employee having coverage providing total disability income benefits of at least 50% of Employee’s Basic Salary which benefits will be payable if Employee became disabled until the expiration of the Term of this Agreement. During the Employment Term, the Company shall provide to Executive and Executive’s immediate family a comprehensive policy of health insurance in accordance with the Company’s general practice applicable to officers (including payment of all or a portion of the premiums due thereon) and shall provide to Executive a disability policy and life insurance policy in accordance with the Company's general practice applicable to officers (including payment of all or a portion of the premiums due thereon), in each case subject to the terms of such policies. You will also be eligible to participate in AvalonBay’s officer-level term life insurance program, subject to the terms of such program; this program may provide you term life insurance with a value $750,000. If you participate in the program, you will be responsible for paying the tax on the annual premium value of this life insurance coverage. A health exam may be required for this insurance program. If you participate in the officer-level term life insurance program, such insurance will be in addition to the general life insurance program for associates, which for you at present would provide life insurance coverage of $400,000 (two times base salary but no more than $400,000).

The Board shall pay the premium for hospitalization and major medical insurance for individual and dependent coverage for the ASSISTANT SUPERINTENDENT FOR TEACHING AND LEARNING. If the hospitalization and major medical insurance group plan under this Section subjects the Board to any excise tax, civil money penalty or civil action for noncompliance with the nondiscrimination provisions of the Patient Protection and Affordable Care Act, P.L. 111-148 and/or the Health Care and Education Reconciliation Act, P.L. 111-152, the Board shall immediately reduce its contribution towards the ASSISTANT SUPERINTENDENT FOR TEACHING AND LEARNING’s participation by the amount necessary to avoid the imposition of an excise tax, civil money penalty or civil action. The Board shall work with TRS so as to avoid the loss of creditable earnings to the extent permitted by law without penalty.
