Medicare Tax. Certain U.S. Holders that are individuals, estates, or trusts are required to pay an additional 3.8% tax on, among other things, interest, dividends and gains from the sale or other disposition of capital assets. U.S. Holders that are individuals, estates, or trusts should consult their tax advisors regarding the effect, if any, of this tax provision on the consummation of the Plan to such U.S. Holders and the ownership and disposition of any consideration to be received under the Plan.
Medicare Tax. The County agrees to pay the employee’s share of the Medicare tax.
Medicare Tax. Medicare Tax. A U.S. holder’s “net investment income” may generally include its interest income and its net capital gains from the sale or other disposition of Notes, unless such income or net gains are derived in the ordinary course of the conduct of a trade or business (other than a trade or business that consists of certain passive or trading activities). For taxable years beginning after December 31, 2012, a United States holder that is an individual or estate, or a trust that does not fall into a special class of trusts that is exempt from such tax, will be subject to a 3.8% tax on the lesser of (1) the United States holder's "net investment income" for the relevant taxable year and (2) the excess of the United States holder's modified adjusted gross income for the taxable year over a certain threshold (which in the case of individuals will be between $125,000 and $250,000, depending on the individual's circumstances). A United States holder's net investment income generally will include its interest income and its net gains from the disposition of debt securities, unless such interest income or net gains are derived in the ordinary course of the conduct of a trade or business (other than a trade or business that consists of certain passive or trading activities). Medicare Tax. In the event that a Medicare hospital insurance tax is imposed on an Executive as a result of the award of a benefit under his Joinder Agreement, the Bank shall pay the Executive a cash payment in an amount sufficient to cover the Medicare tax grossed up to also cover the taxes payable on the payment, in the year such tax is imposed, to the extent permitted by Section 409A of the Code.
