Member Warranties. Member warrants and represents that the submitted Video Content does not contain any Restricted Content as defined herein and herby warrants that Member is 18 years of age or older; and resides within the state boundaries of Colorado. Member warrants and represents that all necessary rights and clearances to transmit program content over the Public Access Channels or other media platforms have been obtained by Member and the City will accrue no liability, and the responsibility and liability for program content lies solely with Member. Member represents and warrants that the Video Content’s submission, intended use, technical specifications, and content comply with this Agreement and the latest version of DCM’s policies and procedures. Member shall ensure that such Video Content complies with all applicable laws. Member represents and warrants that they have obtained all necessary permissions, rights, and clearances for Video Content and the appearance of individuals appearing in their programs and Video Content. Member may be required to provide satisfactory evidence of such permission upon request.
Member Warranties. Each Member (except that where such Member is incorporated, established resident and present outside of the United States of America such Member shall not warrant Section 9.1(a)) severally and not jointly hereby warrants to, and covenants and agrees with, the Company as follows:

Member makes the following warranties and representations with respect to each image: • Each image is a true and accurate rendition of the front and back of the original check, without any alteration, and the drawer of the check has no defense against payment of the check. • The amount, payee(s), signature(s), and endorsement(s) on the image and on the original check are legible, genuine, and accurate. • Member will not deposit or otherwise endorse to a third party the original check and no person will receive a transfer, presentment, or return of, or otherwise be charged for, the original check or a paper or electronic representation of the original check such that the person will be asked to make payment based on an item that has already been paid. • There are no other duplicate images of the original check. • The original check was authorized by the drawer in the amount stated on the original check and to the payee(s) stated on the original check. • Member is authorized to enforce and obtain payment of the original check. • Member has possession of the original check and no party will submit the original check for payment. • With respect to each image, you make to us all representations and warranties that we make or are deemed to make to any party pursuant to law, regulation or clearinghouse rule. You also agree that files and images transmitted to us will contain no viruses or any other disabling features that may have an adverse impact on our network, data, or related systems.

Member Warranties. The warranties taken in this Clause relate to the member’s authority to enter into the agreement, and to appoint MCPS as agent in relation to the musical works registered by the member with MCPS. The undertakings confirm that the member must keep MCPS properly informed and notified so that it can carry out its functions successfully. The undertakings also reflect the co-operative venture which MCPS carries on. These warranties and undertakings are required for the benefit of the membership as a whole. If a member causes MCPS loss or expense, this means effectively that the membership as a whole suffers, again because of the effect this may have on administration expenses, and the possibility of making rebates. Nevertheless, MCPS does not expect it to be necessary to enforce the indemnity contained in this Clause. The Board has decided that no claim under the Clause can be made unless the Board has first determined that the circumstances are such that the claim should be made after giving the Member an opportunity to make representations.
Member Warranties. By using the Services, you represent and warrant that: • The item transmitted is a complete, accurate and unaltered item payable to you, that it originated as a paper item, and that you are legally entitle to negotiate it. • The original check has not and will not be: (i) deposited, (ii) endorsed to a third-party; or

You promise not to: -Send Unsolicited Bulk Mail (SPAM) or other communications; -Upload, post, email, or otherwise transmit any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment; -Send or transmit pornography or other sexually explicit communications, communications offering to sell illegal goods or services, communications that violate CAN-SPAM Laws, or marketing or commercial communications without permission; -Infringe on any third party’s ownership rights by using any material in your transmissions or uploads that is not owned or licensed by you. This includes text, photos, graphics, and other content; -Use any misleading or incorrect names, addresses, email addresses, subject lines, photographs, content or other information on the Website or in any communications or transmissions sent using Our Service; -Breach or circumvent any laws, third party rights or our systems, policies, or determinations of Your account status; -Use any robot, spider, scraper or other automated means to access our Service for any purpose; -Harvest or otherwise collect information about members without their consent; and -Upload or transmit harassing, offensive, obscene, defamatory, threatening, or malicious content or communications.
