MERCHANDISE VENDORS. Please list ALL arts, crafts and merchandise to be sold, distributed, displayed or given away. There is no electricity provided for craft vendors and no generators are allowed. (Please use additional sheet if necessary) Christmas on the Square is a family oriented function that is aimed at presenting entertainment and activities suitable for the entire family, including minors. Thus, the Christmas on the Square Committee reserves the right to restrict the artwork and crafts sold and displayed. Such items must not contain nudity, profanity, obscenity or otherwise objectionable material. NO weapons, including without limitation, knives (with the exception of collectors knives which are displayed in a locked case), brass knuckles, Chinese throwing stars, other such materials, can be sold or displayed. Should the Christmas on the Square Committee, at its sole discretion, determine that a Xxxxxx’s items do not conform to the standards mentioned, Xxxxxx agrees to remove such items from the site immediately. If the Christmas on the Square Committee, at its sole discretion determines that any Lessee fails to comply with ALL of the terms set out in this contract, said Xxxxxx will be asked to leave the Christmas on the Square area and the booth will be removed. This Lease Agreement shall not become effective until it is paid in full and is accepted by the Christmas on the Square Committee and shall constitute the entire agreement between parties. This event is highly advertised. There will be NO REFUNDS for any reason, including weather.

MERCHANDISE VENDORS. Set forth in SECTION 5.19 OF THE PARENT DISCLOSURE LETTER is a list of the twenty largest merchandise vendors of Parent based on the dollar value of materials or products purchased by Parent for the fiscal year ended February 1, 2003.
MERCHANDISE VENDORS. All merchandise must be approved by the PDP. The PDP reserves the right to deny approval and require removal of any items deemed, at their sole discretion, inappropriate onsite. Suggestively explicit products are strictly prohibited. Exclusives are not guaranteed to any Vendor. Please submit images of any and all promotional item designs you intend to offer below for approval. Approval will be based on but not limited to: fit with product mix and audience, fit with Vendor product line, percentage of Vendor's product that is resale, whether the product is made locally in small batches, and the potential to benefit the Downtown audience and strengthen the Market. Local sales consultants of national brands will not be accepted into the Market.

  • Merchandise Programs, T-shirts, souvenirs, posters, novelty items, clothing apparel, and recorded media will be sold in the Centre only by BCEC Management or representatives nominated by it, unless BCEC Management agrees in writing to waive this condition. BCEC Management will retain 18% (including GST) of gross merchandise sales. All revenue derived from the sale of motion pictures, still photography, television or radio recordings, or other similar rights, is to be subject to a seperate agreement between Hirer and BCEC Management. In addition to its responsibilities under clause 7.1, Xxxxx must: (a) ensure that all performances include an interval of not less than 20 minutes; (b) ensure that all advertising, promotion and publicity for the Event or performances in the Event includes the following details: (i) ticket prices, advertised as "$ (basic ticket price) plus normal fees"; (ii) the time of each performance in the Event; (iii) details of any supporting acts for the main performance in the Event; and (iv) ticket booking details including the name of any ticketing agent of BCEC Management and the box office telephone number of BCEC Management or its ticketing agent; and (c) ensure that any tickets are sold only by outlets nominated by BCEC Management at the agreed ticket prices.

  • Goods For purposes of the Contract, all things which are movable at the time that the Contract is effective and which include, without limiting this definition, supplies, materials and equipment, as specified in the Invitation to Bid and set forth in Exhibit A.

  • Custom Products Effective upon creation of Custom Products, Contractor hereby conveys, assigns and transfers to Authorized User the sole and exclusive rights, title and interest in Custom Product(s), whether preliminary, final or otherwise, including all trademark and copyrights. Contractor hereby agrees to take all necessary and appropriate steps to ensure that the Custom Products are protected against unauthorized copying, reproduction and marketing by or through Contractor, its agents, employees, or Subcontractors. Nothing herein shall preclude the Contractor from otherwise using the related or underlying general knowledge, skills, ideas, concepts, techniques and experience developed under a Purchase Order, project definition or work order in the course of Contractor’s business. Authorized User may, by providing written notice thereof to the Contractor, elect in the alternative to take a non-exclusive perpetual license to Custom Products in lieu of Authorized User taking exclusive ownership and title to such Products. In such case, Licensee on behalf of all Authorized Users shall be granted a non-exclusive perpetual license to use, execute, reproduce, display, perform, adapt and distribute Custom Product as necessary to fully effect the general business purpose(s) as stated in paragraph (b)(i)(2), above.

  • Distributor The Trust hereby appoints the Distributor as general distributor of shares of beneficial interest (“Series shares”) of the Trust’s WCM Funds series (the “Series”) during the term of this Agreement. The Trust reserves the right, however, to refuse at any time or times to sell any Series shares hereunder for any reason deemed adequate by the Board of Trustees of the Trust.

  • Third Party Vendors Nothing herein shall impose any duty upon DST in connection with or make DST liable for the actions or omissions to act of the following types of unaffiliated third parties: (a) courier and mail services including but not limited to Airborne Services, Federal Express, UPS and the U.S. Mails, (b) telecommunications companies including but not limited to AT&T, Sprint, MCI and other delivery, telecommunications and other such companies not under the party’s reasonable control, and (c) third parties not under the party’s reasonable control or subcontract relationship providing services to the financial industry generally, such as, by way of example and not limitation, the National Securities Clearing Corporation (processing and settlement services), Fund custodian banks (custody and fund accounting services) and administrators (blue sky and Fund administration services), and national database providers such as Choice Point, Acxiom, TransUnion or Lexis/Nexis and any replacements thereof or similar entities, provided, if DST selected such company, DST shall have exercised due care in selecting the same. Such third party vendors shall not be deemed, and are not, subcontractors for purposes of this Agreement.
