Metering. 8.1 The Network Customer shall provide for the installation of meters, associated metering equipment and telemetering equipment. The Network Customer shall permit the Transmission Provider’s and Host Transmission Owner’s representative to have access to the equipment at all reasonable hours and for any reasonable purpose, and shall not permit unauthorized persons to have access to the space housing the equipment. Meter owner will permit the Network Customer and/or Host Transmission Owner, as applicable, to remotely interrogate through read-only access any delivery point meter for the purpose of obtaining load data and other data, if available utilizing existing equipment. At the request of Network Customer, or Host Transmission Owner, the meter owner will cooperate on the installation of advanced technology metering in place of the standard metering equipment at a delivery point at the expense of the requestor; provided, however, that meter owner shall not be obligated to install, operate or maintain any meter or related equipment that is not approved for use by the meter owner and/or Host Transmission Owner, and provided that such equipment addition can be accomplished in a manner that does not interfere with the operation of meter owner’s equipment or any Party’s fulfillment of any statutory or contractual obligation. 8.2 The Network Customer shall provide for the testing of the metering equipment at suitable intervals and its accuracy of registration shall be maintained in accordance with standards acceptable to the Transmission Provider and consistent with Good Utility Practice. At the request of the Transmission Provider or Host Transmission Owner, a special test shall be made, but if less than two percent inaccuracy is found, the requesting Party shall pay for the test. Representatives of the Parties may be present at all routine or special tests and whenever any readings for purposes of settlement are taken from meters not having an automated record. If any test of metering equipment discloses an inaccuracy exceeding two percent, the accounts of the Parties shall be adjusted. Such adjustment shall apply to the period over which the meter error is shown to have been in effect or, where such period is indeterminable, for one-half the period since the prior meter test. Should any metering equipment fail to register, the amounts of energy delivered shall be estimated from the best available data. 8.3 If the Network Customer is supplying energy to retail load that has a choice in its supplier, the Network Customer shall be responsible for providing all information required by the Transmission Provider for billing purposes. Metering information shall be available to the Transmission Provider either by individual retail customer or aggregated retail energy information for that load the Network Customer has under contract during the billing month. For the retail load that has interval demand metering, the actual energy used by interval must be supplied. For the retail load using standard kWh metering, the total energy consumed by meter cycle, along with the estimated demand profile must be supplied. All rights and limitations between Parties granted in Sections 8.1, and 8.2 are applicable in regards to retail metering used as the basis for billing the Network Customer.

Metering. 8.1 7.1 Purchaser shall be metered with existing profile metering equipment. Such metering equipment has been installed such that both power and energy provided by Seller can be measured during time intervals of not more than fifteen (15) minutes. Purchaser has provided at the identified metering point(s) at the Xxxxxx plant site, telephone lines so that the meters can report their measurements to Seller, or so that the meter(s) can be interrogated by Seller. Purchaser has provided dedicated telephone line(s) where necessary including any direct line as required. Purchaser shall pay all charges related to the operation and maintenance of such telephone lines. 7.2 Seller has provided and installed suitable metering equipment, including panels, to obtain measurements needed for its operating purposes and in connection with settlements hereunder. The Network Customer shall provide for metering equipment is installed in Purchaser’s substations made available by Purchaser without charge. Metering. 8.1 6.1 GO Power does not expressly or by implication confirm that the Customer’s Metering Equipment is adequate and does not accept any responsibility for ensuring its adequacy, safety and suitability to utilise the supply of Energy. 6.2 The Network Customer shall indemnify GO Power in full against any loss, liability, damages, expenses or costs (including Legal costs) which GO Power suffers or incurs as a consequence of or in connection with the Customer’s failure to provide uninterrupted service for the installation Supply Point during the Supply Period. 6.3 GO Power or the Relevant System Operator shall be entitled to install metering or monitoring Equipment in addition to any Metering Equipment already at the Supply Address and/or maintain, alter or renew any Metering Equipment and in such circumstances: 6.3.1 the Customer shall ensure the provision of meterssuch sites for and supplies of power, associated metering equipment water and telemetering equipmentdrainage for the Metering Equipment, as GO Power or the Relevant System Operator may require and shall provide and maintain such protection for them as GO Power or the Relevant System Operator may require; 6.3.2 the Customer shall pay to GO Power such contribution as may be agreed towards installation, maintenance and renewal, but shall not acquire any rights of ownership therein 6.4 If the Customer asks GO Power to change or reprogram Metering Equipment, GO Power shall be entitled to make a reasonable charge to the Customer. Details of any such charges will be made available to the Customer upon written request. 6.5 Unless the accuracy of the Metering Equipment is disputed by either Party (and such disputes are to be subject to Clause 14) the Metering Equipment will be deemed to be accurate. 6.6 If either Party reasonably believes that any Metering Equipment is registering inaccurately, it may require a test of the Metering Equipment by giving the other Party at least 14 days written notice. Metering. 8.1 The (a) Unless otherwise agreed, Transmission Provider shall be responsible for the purchase, installation, operation, maintenance, repair and replacement of all metering equipment necessary to enable Transmission Provider to provide Network Integration Transmission Service. Transmission Customer shall provide reimburse Transmission Provider for the installation cost of meterssuch meters through monthly charges as provided in the Service Agreement. If Transmission Customer obtains energy from any generator that is not owned or controlled by Transmission Provider, associated Transmission Customer must either provide a non- dynamic schedule between Control Areas or ensure that there is sufficient metering to measure the amount of energy provided to Transmission Provider's Control Area by that generator. Metering. 8.1 Metering requirements shall include the following: (a) The Network Customer will be responsible for the purchase, installation, operation, maintenance, repair and replacement of all metering equipment necessary to provide NITS and any related Ancillary Services. All metering equipment of the Network Customer shall conform to Good Utility Practice and the standards and practices of the Transmission Owner’s BA. Prior to the installation of new or replacement metering equipment, the Transmission Owner and the Network Customer shall review the metering equipment to ensure its conformance with such standards or practices. (b) Electric capacity and energy from the Network Customer’s Network Resources will be measured by meters installed at the output of the Network Customer’s Network Resources located within the LG&E/KU BA Area, except when Network Customer’s Network Load is served with behind-the-meter generation, in which case, the requirements of subsection (i) to this section apply. (c) When measurement is made at any location other than a Delivery Point, suitable adjustment for losses between the point of measurement and the Delivery Point will be agreed upon in writing between the Transmission Owner and Network Customer and will be applied to all measurements so made. Metered receipts used in billing and accounting hereunder will in all cases include adjustments for such losses. (d) Meters at the Network Customer’s Network Resources or Network Load will be tested at least biennially by the Network Customer. Representatives of the Transmission Owner will be afforded an opportunity to witness such tests. (e) The Network Customer will, upon request of the Transmission Owner, test any meter at its Network Resources or any meter owned by the Network Customer and used for determining the receipt or delivery of capacity and energy for Network Service by the Transmission Owner which is reasonably suspected to be inaccurate. In the event the test shows the meter to be inaccurate, the Network Customer will make any necessary adjustments, repairs or replacements thereon as soon as practicable. In the event that the test shows the meter to be accurate, as defined by Section 4(f) of this NOA, the Transmission Owner will reimburse the Network Customer for its costs of performing the test. (f) In the event any meter used to measure capacity and energy fails to register or is found to be inaccurate, appropriate billing adjustments, based on the best information available, will be agreed upon by the Transmission Owner and Network Customer. Any meter tested and found to be not more than one (1) percent above or below normal will be considered to be correct and accurate insofar as correction of billing is concerned. If, as a result of any test, a meter is found to register in excess of one (1) percent either above or below normal, then the reading of such meter previously taken will be corrected according to the percentage of inaccuracy so found, but no correction will extend beyond ninety (90) days previous to the day on which inaccuracy is discovered by such test. (g) The Transmission Owner will have the right to install suitable metering equipment at any point(s) of receipt for Network Resources or delivery, as herein provided for the purpose of checking the meters installed by the Network Customer. (h) The Network Customer will read the meters owned by it, except as may be mutually agreed by the Transmission Owner and the Network Customer, and will furnish to the Transmission Owner all meter readings and other information required for billing purposes by the second business day of each month. All metering and billing information will remain available to the Transmission Owner for three (3) years. (i) In cases where Network Customer’s Network Load is being served with behind- the-meter generation, either in part or in its entirety, electric capacity and energy delivered to the Network Customer’s Network Load will be measured on an hourly integrated basis by suitable metering equipment installed at each connection to such Network Load and Delivery Point, and at each generating facility and at each auxiliary load at such generating facility. Metering. 8.1 The Network Customer shall provide for the installation of meters, associated metering equipment and telemetering equipment. The Network Customer shall permit the Transmission Provider’s and Host Transmission Owner’s representative to have access to the equipment at all reasonable hours and for any reasonable purpose, and shall not permit unauthorized persons to have access to the space housing the equipment. Meter owner will permit the Network Customer and/or Host Transmission Owner, as applicable, to remotely interrogate through read-only access any delivery point meter for the purpose of obtaining load data and other data, if available utilizing existing equipment. At the request of Network Customer, or Host Transmission Owner, the meter owner will cooperate on the installation of advanced technology metering in place of the standard metering equipment at a delivery point at the expense of the requestor; provided, however, that meter owner shall not be obligated to install, operate or maintain any meter or related equipment that is not approved for use by the meter owner and/or Host Transmission Owner, and provided that such equipment addition can be accomplished in a manner that does not interfere with the operation of meter owner’s equipment or any Party’s fulfillment of any statutory or contractual obligation. 8.2 The Network Customer shall provide for the testing of the metering equipment at suitable intervals and its accuracy of registration shall be maintained in accordance with standards acceptable to the Transmission Provider and consistent with the Good Utility Practice. At the request of the Transmission Provider or Host Transmission Owner, a special test shall be made, but if less than two percent inaccuracy is found, the requesting Party shall pay for the test. Representatives of the Parties may be present at all routine or special tests and whenever any readings for purposes of settlement are taken from meters not having an automated record. If any test of metering equipment discloses an inaccuracy exceeding two percent, the accounts of the Parties shall be adjusted. Such adjustment shall apply to the period over which the meter error is shown to have been in effect or, where such period is indeterminable, for one-half the period since the prior meter test. Should any metering equipment fail to register, the amounts of energy delivered shall be estimated from the best available data. 8.3 If the Network Customer is supplying energy to retail Retail load that has a choice in its supplier, the Network Customer shall be responsible for providing all information required by the Transmission Provider for billing purposes. Metering information shall be available to the Transmission Provider either by individual retail customer or aggregated retail energy information for that load the Network Customer has under contract during the billing month. For the retail load that has interval demand metering, the actual energy used by interval must be supplied. For the retail load using standard kWh metering, the total energy consumed by meter cycle, along with the estimated demand profile profile, must be supplied. Metering. 8.1 The Network Customer 9.1. Prior to Customer's Completion Date, the City shall provide for the installation of metersinstall all equipment necessary to accurately measure and record a) Customer's Thermal Energy utilization, associated metering equipment and telemetering equipmentb) Customer's Capacity (“Metering Equipment”). 9.2. The Network Customer shall permit the Transmission Provider’s and Host Transmission Owner’s representative City to have access install Metering Equipment in Customer's Building or on Customer's premises in the area adjacent to the Point of Delivery as necessary to assure proper measurement of Customer's Thermal Energy use and Capacity demand. 9.3. The City shall own and maintain the City's Metering Equipment in good repair and operating condition as an operating expense. If the equipment is damaged and such damage is the fault of Customer, Customer shall bear the costs of repairs. 9.4. Any electricity required for the operation or maintenance of the Metering Equipment shall be supplied by the Customer at all reasonable hours the Customer's expense. 9.5. Customer shall promptly notify the City if at any time the Customer has any reason to believe the Metering Equipment is not accurately measuring the Thermal Energy used by the Building Heating System or Customer's Capacity. 9.6. The City shall cause the testing and for any reasonable purposecalibration of the Metering Equipment at the Customer's request, providing that the cost of such testing and calibration shall not permit unauthorized persons to have access be done at the cost to the space housing Customer if such testing does not disclose an inaccuracy of more than three percent 3% in measuring utilization of Thermal Energy or Capacity. Notwithstanding the foregoing Section 9.6, during any Billing Period during which the Metering Equipment shall fail to measure the use of Thermal Energy by a Customer, the accounts amount of the Parties shall be adjusted. Such adjustment shall apply to the period over which the meter error is shown to have been in effect or, where Thermal Energy used by Customer during such period is indeterminable, for one-half the period since the prior meter test. Should any metering equipment fail to register, the amounts of energy delivered shall be estimated from the best available data. 8.3 If the Network Customer is supplying energy to retail load that has a choice in its supplier, the Network Customer shall be responsible for providing all information required by the Transmission Provider for billing purposes. Metering information shall be available to City based on the Transmission Provider either Thermal Energy used by individual retail customer or aggregated retail energy information for that load the Network Customer has under contract in the past and the Thermal Energy used by other customers with similar usage characteristics during the billing month. For the retail load using standard kWh metering, the total energy consumed by meter cycle, along with the estimated demand profile must be supplied.
