Operation and Maintenance of System. The Municipality covenants and agrees that it shall, in accordance with prudent public water supply utility practice: (1) at all times operate its System in an efficient manner in accordance with applicable laws and regulations; and (2) maintain its System, making all necessary and proper repairs, renewals, replacements, additions, betterments and improvements necessary to maintain its system in good repair, working order and operating condition. (3) implement any modification of the rates fees and charges for use of the System that comprise the Dedicated Source of Revenues as the Secretary may require to ensure repayment of the Loan in accordance with the provisions of the Loan Act; and (4) take such other action as the Secretary may require in accordance with powers granted to the Secretary under the Loan Act and the Regulations.
Operation and Maintenance of System. The Governmental Agency covenants and agrees that it shall, in accordance with prudent water and wastewater utility practice: (i) at all times operate the properties of its System and any business in connection therewith in an efficient manner; (ii) maintain its System in good repair, working order and operating condition; (iii) from time to time make all necessary and proper repairs, renewals, replacements, additions, betterments, and improvements with respect to its System so that at all times the business carried on in connection therewith shall be properly and advantageously conducted; provided, however, this covenant shall not be construed as requiring the Governmental Agency to expend any funds that are derived from sources other than the operation of its System or other receipts of such System that are not pledged under subsection (a) of this Section 2.02, and provided further that nothing herein shall be construed as preventing the Governmental Agency from doing so.

Operation and Maintenance of System. The District shall at all times operate the System properly and in a sound and economical manner and shall maintain, preserve, and keep the same properly or cause the same to be so maintained, preserved, and kept, with the appurtenances and every part and parcel in good repair, order, and condition, and shall from time to time make or cause to be made all necessary and proper repairs, replacements, and renewals so that at all times the operation of the System may be properly and advantageously conducted.
Operation and Maintenance of System. The Local Borrower covenants and agrees that it shall, in accordance with prudent utility practice, (a) at all times operate the properties of the System and any business in connection therewith in an efficient manner, (b) maintain the System in good repair, working order and operating condition, and (c) from time to time make all necessary and proper repairs, renewals, replacements, additions, betterments and improvements with respect to the System so that at all times the operations carried on in connection therewith shall be properly and advantageously conducted from revenues of the System or, if the Local Borrower so elects, from any other source of funds lawfully available.

Operation and Maintenance of System. 4.1 O&M Work; Phone/Data Line. 4.1.1 O&M Work. Provider shall provide operation, repair, monitoring and maintenance services to the System during the Term of this Agreement, including the monitoring and maintenance of metering equipment determining the quantity of electricity produced by the System (collectively, the “O&M Work”). Provider shall maintain during the Term of this Agreement the capability to provide such O&M Work, either directly or indirectly (under a contract with SunPower Corporation, Systems or with another affiliate so long as such affiliate subcontracts the performance of the O&M Work to SunPower Corporation, Systems), or a third-party service provider capable of providing comparable services. Customer, as owner or lessor of the Site, will be given reasonable opportunity to approve the third-party service provider. Provider shall perform, or cause to be performed, the O&M Work to ensure that the System is capable of delivering Energy in accordance with the specifications set forth in Schedule B. Provider shall have the obligation to use commercially reasonable efforts to enforce the terms of any any contract for operations and maintenance services to which it is a party and System warranty agreements.
Operation and Maintenance of System. 4.1 O&M Work; Phone/Data Line; Internet. 4.1.1 O&M Work. Provider, at its sole cost and expense, shall provide all spare parts, System operation, repair, monitoring and maintenance services and any initial training required for State Purchaser staff for Provider-installed equipment for the Term of this Agreement, including the monitoring and maintenance of metering equipment determining the quantity of electricity produced by the System and reporting such operating information on a monthly basis to State Purchaser (collectively, the “O&M Work”). Although the System will be owned or leased by Provider and operated and maintained by or for Provider, Provider shall provide three (3) sets of Site-specific operation, maintenance, and parts manuals for the photovoltaic system. Provider shall provide a manual specifically describing scheduled maintenance requirements, trouble- shooting, and safety precautions specific to the supplied equipment, operations in emergency conditions and any other pertinent information for State Purchaser personnel. Provider shall also provide three (3) sets of as-built drawings in AutoCAD 14 or higher. These requirements shall be delivered prior to acceptance of the System. State Purchaser acknowledges that Provider’s provision of the documents and information detailed in this Section 4.1.1 in no way authorizes State Purchaser or any of its agents to operate, maintain, or in any way interfere with the System in the absence of Provider’s prior consent or an emergency which threatens property damage and/or bodily injury. Provider shall perform the O&M Work to ensure that the System is capable of delivering Energy in accordance with the specifications set forth in Exhibit A.
Operation and Maintenance of System. A. The Company shall render efficient service, make repairs promptly and interrupt service only for good cause and for the shortest time possible. Such interruptions, insofar as is possible, shall be preceded by notice and shall occur during periods of minimum use of the system. B. The Company shall maintain a business office or agent where subscribers may telephone during regular business hours without incurring toll charges, so that complaints regarding cable television operations may be promptly reported to the Company. C. The Company shall limit failures to a minimum by locating and correcting malfunctions promptly, but in no event longer than twenty-four (24) hours after receiving notice of same. D. Should it be impossible or impractical to correct any system or subscriber outage caused by equipment malfunctions within twenty-four (24) hours or less, then each subscriber whose television reception is so disrupted shall receive a rebate from the Company in an amount of one- thirtieth (1/30) of such subscriber’s monthly charge for every additional twenty-four (24) hour period that said subscriber’s reception is so disrupted. Said rebate may, at the option of the Company, be in the form of an adjustment to the next monthly charge to subscribers; however, in no event will the rebate be made more than thirty (30) days from the date of the last disruption of television service. E. The Township Supervisor as agent of the Township Board shall be the official of the Township having primary responsibility for the continuing administration of this Franchise. F. Any complaint procedures implemented by the Township Supervisor in addition to any procedures outlined in this Franchise, shall be given to each subscriber by the Company at the time of initial subscription to the CATV System by the cable operators.
