Miami. Dade County Vendor Obligation to County Affidavit (Section 2-8.1 of/he Code of Miami-Dade County)
Miami. Dade County and the Miami-Dade County Homeless Trust shall indemnify and hold harmless the Provider from any and all liability, losses or damages, including attorneys’ fees and costs of defense, which the Provider may incur as a result of claims, demands, suits, causes of actions or proceedings of any kind or nature arising out of, relating to or resulting from the performance of this Agreement by the Miami-Dade County and the Miami-Dade County Homeless Trust or its employees, subject to the provisions and the limitations of Section 768.28, Fla. Stat., as it may be amended. Miami-Dade County and the Miami-Dade County Homeless Trust shall pay all claims and losses in connection therewith and shall investigate and defend all claims, suits or actions of any kind or nature in the name of Provider, where applicable, including appellate proceedings, and shall pay all costs, judgments, and attorney’s fees which may issue thereon. Miami-Dade County and the Miami-Dade County Homeless Trust expressly understands and agrees that any insurance protection required by this Agreement or otherwise provided by Miami-Dade County and the Miami-Dade County Homeless Trust shall in no way limit the responsibility to indemnify, keep and save harmless and defend Provider or its as herein provided, subject to the provisions and the limitations of Section 768.28, Fla. Stat., as it may be amended.
Miami. If formed, the Venture will own 100% of all rights in each Amphitheatre constructed in any Optional City, except, possibly, the Amphitheatre to be constructed in Miami, if any. PACE represents that PACE and Bufman ("Bufman") each currently own a 50% interest in the Amphitheatre intended to be constructed in Miami. PACE will attempt to cause Bufman to sell his interest, but such is not a condition of this agreement or any Venture Agreement. However, PACE and MCA shall jointly determine how Bufman will absorb his pro-rata share of the costs of developing, constructing and operating the Miami Amphitheatre, and propose same to Bufman. PACE shall, immediately upon request by MCA, deliver to MCA a complete and accurate description of the principal terms of the agreement between PACE and Bufman with respect to an Amphitheatre in Miami. If PACE fails to cause Bufman to sell his interest, and provided Bufman agrees upon an equitable absorption of costs and expenses, the Venture, if formed, shall own 50% of the Miami Amphitheatre, if any.

Miami. Miami absolutely, unconditionally and continuously agrees, promises and covenants that, (i) in the event that Compost and/or Bedminster engage, by act or omission, in any Event of Default, with respect to any such Indebtedness or Obligations, in whole or in part, for any reason, either when any such Indebtedness is or becomes due and owing or when any such Obligation is or becomes due or required to be performed, either by its terms or as a result of the exercise of any right, power or authority to accelerate, or (ii) upon the occurrence of any other Event of Default, by or on the part of, or that is attributable or imputable (under the CCF Agreement, the Credit Documents and/or the Definitive Supplemental Documents) to Compost and/or Bedminster, Miami, upon demand (by Lionhart, LHI and/or GEP, or their respective successors and assigns) and without further notice of dishonor and without any notice with respect to any matter or occurrence having been given to Miami (and/or Compost and/or Bedminster) previous to any such demand, shall immediately pay and discharge completely and fully any and all such Indebtedness and shall immediately perform and discharge completely and fully any and all such Obligations.

Miami. The Miami operation obtains water from a number of sources in the Salt River watershed. Statements of Claimants have been filed in connection with these water sources, each of which is subject to the adjudication and could be potentially impacted. Miami currently holds a CAP subcontract, although CAP water is not currently used at the operation. CAP water is not subject to adjudication; however, an exchange agreement has been executed to allow the delivery of this water to the Miami operation.
