New Affiliates. The members of the Group will cause any corporation which becomes an affiliated corporation within the meaning of IRC section 1504 to join in this agreement.
New Affiliates. Cause any Affiliate of the Borrower formed after the date of this Agreement to become a Guarantor of all obligations of the Borrower to the Bank, whether incurred under this Agreement or otherwise and to secure its obligations as a Guarantor by granting to the Bank a first priority security interest in all personal property of such Affiliate.
New Affiliates. If an Affiliate is acquired by Nokia or an Affiliate thereof after the Effective Date, the license and release granted pursuant to Section 6.1 and Section 6.2 will extend to such acquired Affiliate.
New Affiliates. New Affiliates appointed by the Corporation -------------- shall enter into written marketing and license agreements with the Corporation, in form and substance acceptable to MTC (each, a "New Affiliate License Agreement"). Without limiting the generality of the foregoing, each New Affiliate License Agreement shall provide that such agreement is assignable to MTC, and the Corporation shall assign such agreement to MTC immediately after its execution by the parties thereto.
New Affiliates. Each Primary Obligor shall procure that any Affiliate in any Qualifying Existing Jurisdiction (other than any existing Primary Obligor or any Holding Company) shall accede as a New Primary Obligor in accordance with Clause 24.2 (New Primary Obligors) within one (1) month of the establishment or incorporation of such Affiliate.
New Affiliates. Any entity that becomes an Affiliate after the Effective Date also shall covenant not to xxx or otherwise seek recovery from the other Party or its Authorized Licensees as set forth in the covenants in Sections II.1, and shall be bound by Sections II.3 and II.4, as applicable. The only Affiliates that shall receive the benefits of such covenants from the other Party are Affiliates which are Affiliates as of the Effective Date.
New Affiliates. Cohoes shall use its best efforts to cause any person becoming an affiliate of Cohoes for purposes of Rule 145 of the Securities Act after the date hereof to enter into an affiliate agreement in the form attached hereto as Exhibit E.
New Affiliates. If following the Effective Date, Customer desires ACS to provide Services to an Affiliate of Customer that is not identified in a Statement of Work, then ACS and Customer will follow the Change Control Procedures to add such new Affiliate. Any new Affiliates added pursuant to this Section 3.5 will be subject to Section 3.4 above. Customer will pay any mutually agreed to charges that may be imposed by ACS’ third party suppliers and any other costs and expenses incurred by ACS in order to allow a Customer Affiliate to access the Services.
New Affiliates. If, following the Effective Date, Xxxxxxx desires Cognizant to provide Services to an Affiliate of Xxxxxxx that is not identified in a Statement of Work, then Cognizant and Xxxxxxx will follow the Change Control Procedures to add such new Affiliate. Any new Affiliates added pursuant to this Section 4.7 (New Affiliates) will be subject to Section 4.5 (Affiliates Receiving Services as of the Effective Date) above. Xxxxxxx will pay any charges that may be imposed by Cognizant’s third party suppliers and any other costs and expenses incurred by Cognizant in order to allow a Xxxxxxx Affiliate to access the Services.
New Affiliates. If Amazon acquires an Affiliate after the Closing Date, the licenses and covenants granted under Sections 3.1, 3.2 and 3.4 shall extend to such Affiliate effective as of the date of the acquisition.
