Non-Professional Personnel. Region 5 may employ technicians, volunteers, and Certified Paraprofessional Archaeological Surveyors (Paraprofessionals) who do not meet Secretary of the Interior Standards or OPM X118 standards for professional Heritage Program personnel. In such instances, individuals who do not meet these Standards shall work under the direct technical supervision of Region 5 Heritage Program staff and may not substitute for professional Heritage Program staff in making decisions or determinations regarding the identification and evaluation procedures set out in this PA or in Section 36 CFR part 800. Certification of paraprofessionals will follow the standards and requirements of Region 5’s Certified Paraprofessional Archaeological Surveyors program (Appendix G).
Non-Professional Personnel. ProMedCo-Temple will provide all personnel reasonably necessary for the conduct of Clinic operations with the exception of Physician Extenders and Technical Employees. ProMedCo-Temple shall determine and cause to be paid the salaries, fringe benefits and any sums for income taxes, unemployment insurance, social security taxes or any other withholding amounts required by applicable law or governmental authority, of all such personnel. Such personnel shall be under the direction, supervision and control of ProMedCo-Temple, with those personnel performing patient care services subject to the professional supervision of KDCP. If KDCP is dissatisfied with the services of any person, KDCP shall consult with ProMedCo-Temple. ProMedCo-Temple shall in good faith determine whether the performance of that employee could be brought to acceptable levels through counsel and assistance, or whether such employee should be terminated. All of ProMedCo-Temple's obligations regarding staff shall be governed by the overriding principle and goal of providing high quality medical care. At ProMedCo-Temple's option some or all of the non-physician personnel may be carried on the books of KDCP as KDCP's employees in which event the costs associated with such employees will be a Clinic Expense.
Non-Professional Personnel. Such duties as lunch room duty, playground supervision and bus 2 duty will be performed by non-professional personnel. The option of paying professional personnel 3 to assume these duties, provided they do not interfere with the performance of professional 4 responsibilities, will be possible on a voluntary basis. Bargaining unit members shall not be required 5 to take over the duties of paid supervisors, bus supervisors, playground supervisors, lunch duty and 6 morning supervisors except in case of emergencies as determined by the administration. Every 7 effort is to be made by the paid supervisor to obtain a volunteer replacement.

  • Agent Professionals Agent may perform its duties through agents and employees. Agent may consult with and employ Agent Professionals, and shall be entitled to act upon, and shall be fully protected in any action taken in good faith reliance upon, any advice given by an Agent Professional. Agent shall not be responsible for the negligence or misconduct of any agents, employees or Agent Professionals selected by it with reasonable care.

  • ESSENTIAL PERSONNEL For a period of one year commencing on the effective date of this Agreement, the Adviser and the Fund agree that the retention of (i) the chief executive officer, president, chief financial officer and secretary of the Adviser and (ii) each director, officer and employee of the Adviser or any of its Affiliates (as defined in the Investment Company Act of 1940, as amended (the "1940 Act")) who serves as an officer of the Fund (each person referred to in (i) or (ii) hereinafter being referred to as an "Essential Person"), in his or her current capacities, is in the best interest of the Fund and the Fund's shareholders. In connection with the Adviser's acceptance of employment hereunder, the Adviser hereby agrees and covenants for itself and on behalf of its Affiliates that neither the Adviser nor any of its Affiliates shall make any material or significant personnel changes or replace or seek to replace any Essential Person or cause to be replaced any Essential Person, in each case without first informing the Board of Trustees of the Fund in a timely manner. In Addition, neither the Adviser nor any Affiliate of the Adviser shall change or seek to change or cause to be changed, in any material respect, the duties and responsibilities of any Essential Person, in each case without first informing the Board of Trustees of the Fund in a timely manner.

  • Personnel Provide, without remuneration from or other cost to the Trust, the services of individuals competent to perform the administrative functions which are not performed by employees or other agents engaged by the Trust or by the Adviser acting in some other capacity pursuant to a separate agreement or arrangement with the Trust.

  • Access to Personnel and Records Each Party shall authorize its respective auditors to make reasonably available to each other Party’s auditors (each such other Party’s auditors, collectively, the “Other Parties’ Auditors”) both the personnel who performed or are performing the annual audits of such audited Party (each such Party with respect to its own audit, the “Audited Party”) and work papers related to the annual audits of such Audited Party, in all cases within a reasonable time prior to such Audited Party’s auditors’ opinion date, so that the Other Parties’ Auditors are able to perform the procedures they reasonably consider necessary to take responsibility for the work of the Audited Party’s auditors as it relates to their auditors’ report on such other Party’s financial statements, all within sufficient time to enable such other Party to meet its timetable for the printing, filing and public dissemination of its annual financial statements. Each Party shall make reasonably available to the Other Parties’ Auditors and management its personnel and Records in a reasonable time prior to the Other Parties’ Auditors’ opinion date and other Parties’ management’s assessment date so that the Other Parties’ Auditors and other Parties’ management are able to perform the procedures they reasonably consider necessary to conduct the Internal Control Audit and Management Assessments.

  • Independent Contractor Benefits It is the express intention of the Company and Consultant that Consultant performs the Services as an independent contractor. Nothing in this Agreement shall in any way be construed to constitute Consultant as an employee or entitling Consultant to any of benefits otherwise provided to employees of the Company. Consultant acknowledges and agrees that Consultant is obligated to report as income all compensation received by Consultant pursuant to this Agreement. Consultant agrees to and acknowledges the obligation to pay all self-employment and other taxes on such income.
