Non-solicitation of Employees, Etc. Employee agrees that during his employment with the Company and thereafter for a period of two (2) years, he shall not, directly or indirectly, as an individual or sole proprietor or as a principal, agent, employee, employer, consultant, independent contractor, officer, director, shareholder or partner of any person, firm, corporation or other entity or group or otherwise without the prior express written consent of the Company, approach, counsel or attempt to induce any person who is then in the employ of, or then serving as an independent contractor with, the Company to leave the employ of, or terminate such independent contractor relationship with, the Company or employ or attempt to employ any such person or persons who at any time during the preceding six (6) months, was in the employ of the Company. Notwithstanding the foregoing, Employee is not precluded from a Permitted Activity.
Non-solicitation of Employees, Etc. The Executive agrees that during the period of his employment with the Company (or any Affiliate) and during the two-year period immediately following the date of termination of the Executive’s employment with the Company or any Affiliate for any reason (whether or not such termination occurs during the Term of this Agreement), the Executive shall not, directly or indirectly, (i) solicit or induce any officer, director, employee, agent or consultant of the Company or any of its successors, assigns or Affiliates to terminate his, her or its employment or other relationship with the Company or its successors, assigns or Affiliates for the purpose of associating with any Competing Business, or otherwise encourage any such person or entity to leave or sever his, her or its employment or other relationship with the Company or its successors, assigns or Affiliates, for any other reason or (ii) hire any individual who left the employ of the Company or any of its Affiliates during the immediately preceding one-year period.

Executive agrees that during the period of his employment with the Company (or any Affiliate) and during the Restricted Period, Executive shall not, directly or indirectly, (i) solicit or induce any officer, director, employee, agent or consultant of the Company or any of its successors, assigns or Affiliates to terminate his, her or its employment or other relationship with the Company or its successors, assigns or Affiliates for the purpose of associating with any Competing Business, or otherwise encourage any such Person to leave or sever his, her or its employment or other relationship with the Company or its successors, assigns or Affiliates, for any other reason, or (ii) hire any such individual who, at the time of hire, Executive knows left the employ of the Company or any of its Affiliates during the immediately preceding 12 months. This provision shall not prohibit Executive from soliciting or hiring the Persons serving as his personal assistant or assistants at or prior to the time of his departure. For purposes of these Clauses B and C of this Exhibit A, “Affiliates” shall not include any Portfolio Company.
Non-solicitation of Employees, Etc. During the Restriction Period, Employee shall not, directly or indirectly, for his own account or for the account of any Person in any jurisdiction in which the Company or any of its affiliates have commenced operations at the time of Employee’s employment:
(i) solicit for employment, employ, engage or otherwise interfere with the relationship of the Company or any of its affiliates with any natural person throughout the world who, at the time of such activity or at any time in the 12-month period preceding such activity, is or was employed by the Company or any of its affiliates; provided, however, that the foregoing shall not prohibit (i) any such solicitation or employment on behalf of the Company or any of its affiliates during Employee’s employment with the Company or (ii) general advertising or employee search activities targeted to a broad pool of potential applicants for a position; or
(ii) induce any employee of the Company or any of its affiliates to engage in any activity that Employee is prohibited from engaging in under any of the paragraphs of this Section 8, or to terminate his or her employment with the Company or any of its affiliates; provided, however, that the foregoing shall not prohibit general advertising or employee search activities targeted to a broad pool of potential applicants for a position.
Non-solicitation of Employees, Etc. During the Restricted Period (which, for the purposes of this Section 8(c) and Section 8(d) below, shall be extended to include the maximum potential Additional Severance Period under Section 5 above (regardless of whether or not compensation is paid to the Employee with respect thereto), if prior to the commencement of such additional period at least 50% of the Company Priority Shares shall have been repurchased pursuant to Sections 6.1 - 6.3 above, the Company shall have become obligated pursuant to Section 7.1 hereof to repurchase any of such Shares remaining outstanding, and the Company shall not then be in breach of its obligations with respect to such repurchase obligation under Section 7, the Employee shall not directly or indirectly recruit, solicit, induce, or attempt to induce any of the employees or independent contractors of the Company or any of its Subsidiaries to terminate their employment or contractual relationship with the Company or such Subsidiary; and shall not assist any other Person to do so, or be a proprietor, equityholder, investor (except as a passive investor holding not more than 3% of the capital stock of a publicly held company), lender, partner, director, officer, employee, consultant, or representative of any Person who does or attempts to do so.
Non-solicitation of Employees, Etc. Executive acknowledges and agrees that he is bound by the provisions of Section 6.4 of the Founders Agreement, which provisions are incorporated by reference, as though fully set forth herein.
Non-solicitation of Employees, Etc. During the Restricted Period, the Employee shall not directly or indirectly recruit, solicit, induce, or attempt to induce any of the employees or independent contractors of the Company or any of its Subsidiaries to terminate their employment or contractual relationship with the Company or such Subsidiary; and shall not assist any other Person to do so, or be a proprietor, equityholder, investor (except as a passive investor holding not more than 3% of the capital stock of a publicly held company), lender, partner, director, officer, employee, consultant, or representative of any Person who does or attempts to do so.
Non-solicitation of Employees, Etc. For a period of twenty-four months from the Date of Termination, Executive shall not, directly or indirectly, for his own account or for the account of any Entity in any jurisdiction in which the Company or any of its affiliates has commenced or has made plans to commence operations at the time of Executive’s employment:
(i) solicit for employment, employ, engage or otherwise interfere with the relationship of the Company or any of its affiliates with any natural person throughout the world who, at the time of such activity or at any time in the 12-month period preceding such activity, is or was employed by, or otherwise engaged to perform services for, the Company or any of its affiliates, other than any such solicitation or employment on behalf of the Company or any of its affiliates during Executive’s employment with the Company; or
(ii) induce any employee of, or consultant to, the Company or any of its affiliates to engage in any activity that Executive is prohibited from engaging in under any of paragraphs of this Section 5, or to terminate his or her employment with the Company or any of its affiliates.
Non-solicitation of Employees, Etc. During the Employment Term and for a period of one (1) year from expiration thereof, you will not directly or indirectly:

During the Restricted Period, such Stockholder will not directly or indirectly recruit, solicit, induce, or attempt to induce any of the employees or independent contractors of the Surviving Corporation to terminate their employment or contractual relationship with the Surviving Corporation; and will not assist any other person to do so, or be a proprietor, equityholder, investor (except as a passive investor holding not more than 1% of the capital stock of a publicly held company), lender, partner, director, officer, employee, consultant, or representative of any person who does or attempts to do so.
