NON-SOLICITATION OF STAFF. We invest considerable time and resources in the training of our staff. The provisions in this clause are to protect us from ‘poaching’ of our staff: -
24.1. You agree that during the term of this agreement and for the period of six months after its termination (for whatever reason) you will not seek to employ, entice away or attempt to entice away from our employment any person or persons employed by us at the date of termination of this agreement or any person or persons who were employed by us in the six months preceding the date of termination of this agreement.
24.2. If you breach clause 24.1 then you shall indemnify us fully for all and any costs, claims, damages and expenses incurred by us as a result of the breach to include the cost of replacing the relevant member of staff, to include, but not limited to agency fees, advertising costs, management time in interviewing and all such other costs reasonably and necessarily incurred by us in replacing the member of staff together with all legal fees and disbursements.
NON-SOLICITATION OF STAFF. Parents hereby undertake that during the Term and for a period of six months thereafter (the “Restriction Period”), they shall not induce any of Rainbow’s employees, consultants, staff members, suppliers or customers to terminate, or reduce his/its scope of relationships with Rainbow. In addition, during the Restriction Period the Parents shall not entice away or attempt to entice away any person from the employment of Rainbow, and shall not, directly or indirectly, solicit or recruit any person who was employed by Rainbow within the period of six months prior to Termination, for the purpose of being employed or engaged by the Parents, directly or indirectly. Failure to comply with this undertaking shall result in immediate Termination of this Agreement and forfeiture of the Deposit, without derogating from any and all remedies and/or courses of action to which Rainbow is entitled pursuant to this Agreement and/or the applicable Law. To remove any doubt, during the Restriction Period the Parents shall not be allowed to engage any of the Nursery's staff members for any purpose, including babysitting purposes.
NON-SOLICITATION OF STAFF. 16.1 During the term of this Agreement and for a period of six months after its termination (for whatever reason) neither party shall solicit (nor attempt to solicit) any employee of the other involved in providing or receiving the Services, to work for it either as an employee or an independent contractor. For the avoidance of doubt, this clause shall not restrict a party from hiring employees of the other party who apply unsolicited in response to a general advertising or recruitment campaign.
NON-SOLICITATION OF STAFF. Each of the parties hereto undertakes to the other during the Term and for a period of two years following its expiry or termination not to solicit or endeavour to solicit away from the other party any person employed by the other party.
NON-SOLICITATION OF STAFF.
27.1. For the purpose of this Contract, all Parties to this Contract agree, not to solicit either directly or indirectly with a view to provide or offer employment to, offer to contract with or entice a staff member of the other Party to leave without the consent of the other during the Term of the Contract and for an additional period of 180 (one-hundred and eighty) days after termination.
NON-SOLICITATION OF STAFF. The User hereby agrees that during the term of this agreement and for the period of six months following its termination (howsoever terminated) that he /she will not seek to employ, entice away or attempt to entice away from the employment of The Nursery any person or persons employed by the nursery at the date of termination of the agreement between the nursery and the user or any person or persons who was employed by the nursery in the six months preceding the date of termination of the agreement between the user and the nursery. Failure to comply with this will result in immediate termination of this contract, deposit will be retained and further legal action may be taken.
NON-SOLICITATION OF STAFF. 13.1. For the duration of this Agreement and for a period of [***] thereafter neither party shall employ nor make any offers of employment to any employee of the other engaged in the performance of this Agreement unless agreed in writing by the other party. "Employ" means the engagement of such person as an employee, director, sub-contractor or independent contractor.
NON-SOLICITATION OF STAFF. During the term of this Agreement and for a period of twelve months following its termination or expiration, YM shall not directly or indirectly (i) solicit or entice any employee or contractor of POI with whom it comes into contact as a result of participation in the Study, to become employees of YM or any other person or entity; or (ii) approach any such employee or contractor for such purpose or authorize or approve the taking of such action by any other person.
NON-SOLICITATION OF STAFF. 15.1 During the Term and for a period of [***] thereafter, neither party shall solicit for employment any employee of the other engaged in the performance of this Agreement unless agreed in writing by the other party. Notwithstanding the foregoing, Customer may immediately solicit for employment any employee of SVI or its Affiliates if this Agreement or another Transaction Document (as defined in the Purchase Agreement between the parties of even date herewith) is terminated for SVI's breach or liquidation (but not reorganization) in bankruptcy. "Solicit" shall not include offers of employment or recruitment to the general public or industry, to which a party's employee may respond of his or her own volition without violating this Section 15.1, or any receipt of employment inquires by the other party's employee of such employee's own initiative and volition.
NON-SOLICITATION OF STAFF. 16.1 You agree that during the term of any contract between us, and for a period of two years following the completion of any work we do for you, that you will not try and solicit, engage or contract any of our staff, contractors, or agents. You will also need to use your best endeavours to ensure that your directors, staff, agents, and contractors also agree to such a restraint, and you agree that we may require you to get them to sign a covenant of non-solicitation on the same terms as this clause.
16.2 CLIENT# acknowledges that we are involved in a highly strategic and competitive business.
