Non-Voting Members. The individuals that serve in the capacity of Vice President(s) shall be non-voting Members of the Leadership Council and shall not be considered for purposes of determining a quorum. In addition, the highest ranking ASPPA officer who is an actuary and not already on the ASEA Leader- ship Council and the Executive Director of ASEA shall serve as non-voting mem- bers of the Leadership Council.
Non-Voting Members. Any Member shall become a Non-Voting Member until his LLC Interest has been purchased in full in accordance with Article 7 if such Member (a) is terminated from employment with the LLC for Cause, (b) voluntarily resigns from employment with the LLC without Good Reason, (c) is a Member during the periods described in Sections 7.2(e) and 7.3(d), or (d) is so determined by the Board to be a Non-Voting Member by reason of Cause. The estate or other successor of any Member that dies, dissolves or otherwise ceases to exist shall become a Non-Voting Member until his or its LLC Interest has been purchased in full in accordance with Article 7. The Board may, in its discretion, waive this provision. In accordance with Section 7.6, the Board may admit a substitute Member as a Non-Voting Member. Non-Voting Members do not have the right to receive notice of meetings of Voting Members or to participate in those meetings.
Non-Voting Members. The Eastside Transportation Partnership may add non-voting members by unanimous vote of the parties to the agreement at a regular meeting. The Eastside Transportation Partnership may remove non-voting members by a unanimous vote of the parties to the agreement at a regular meeting.
Non-Voting Members. Any Class A Member owning at least 1,000 Class A Units but less than 5,000 Class A Units as of the date upon which notice of action to be taken by the Members is mailed to the Members shall be considered a non-voting member of the Company and shall not be entitled to vote on any matters reserved to the Members. The Units held by such non-voting members shall be excluded in determining the aggregate number of Units held by Members. Notwithstanding that such member is not entitled to vote, the Units in the hands of the non-voting member shall continue to be subject to all the applicable provisions of this Agreement, including but not limited to the transfer restrictions set forth in Article X hereof. In the event a non-voting member purchases the minimum number of Class A Units required to receive voting rights under Section 3.4(a) hereof, such member shall be entitled to the voting rights set forth in Section 3.4(a) without any further action by the Members or the Board.
Non-Voting Members. 5.1.2.1. An Independent Chair of the Joint Committee who shall be independent from all Member CCGs and any other organisation associated with the Services
Non-Voting Members. Non-Voting Members shall have no right to notice of or to attend any meeting of the Voting Members.
Non-Voting Members. Anything in this Agreement to the contrary notwithstanding, none of the Non-Voting Members shall have any voting, management or other rights with respect to the Company under this Agreement except for the right of such Non-Voting Members to receive distributions as provided in Section 6.4 hereof. Without limiting the foregoing, (a) none of the Non-Voting Members will have any right to vote on and their consent shall not be required for any amendment, supplement or other modification to this Agreement or for the Company to take any action or to vote on or approve of any matters requiring the consent or approval of the Members, including any matter requiring the unanimous consent of the Members under the Act and (b) neither the Company, any Manager or any Member will have any fiduciary or other duties or obligation to the Non-Voting Members.
Non-Voting Members. Non-voting members of the AC Regional Council shall consist of representatives of all municipalities which do not otherwise have an appointed representative serving on the AC Regional Council. In addition, by majority vote of the AC Regional Council, additional non-voting members may be appointed from time to time. All non-voting members shall receive the same notice of meetings and meeting materials as voting members and shall be entitled to engage in discussion regarding matters discussed during meetings. Non-voting members serve in an advisory role.
Non-Voting Members. The Board, by majority vote, may appoint non-voting persons to serve on the Board based on their expertise in areas valuable to the operations of CPCNH and as liaisons with other related organizations.
Non-Voting Members. Members holding Class B Interests (“Non-Voting Members”) shall have the right to attend all meetings of the Members and receive all notices and other information which are given to Members holding Class A Interests. Non-Voting Members shall not have voting rights and shall not count towards a quorum; provided, however, that if any action is taken to reduce the rights and privileges of the Class B Interests, the holders of Class B Interests shall have the right to vote with respect to such action, and such action shall be void unless approved by the holders of two thirds (2/3) of the Class B Interests.
