Notice and Objection. In connection with any Bank Determination or Company suggestion with respect to modifying the Merchant Program, the party proposing the modification shall provide the other party with its basis for the modification. Bank shall have final approval over any action to be undertaken and whether any modification shall be implemented. Bank shall provide Company written notice prior to the adoption of any proposed modification to the Merchant Program subject to the Bank’s rights under this Agreement. Company may raise objections to any proposed modification (including any Bank Determination) by providing written notice thereof to Bank, and, in the event of such an objection, the parties agree to cooperate and expedite resolution of such objection.

Notice and Objection. Right to New Sub-Processors. Company will provide Customer with notice of any new Sub-processor, at xxxxx://xxx.xxxxxxx.xxx/privacy. If Customer objects in writing within ten (10) days of receipt of such notice to a particular Sub-processor Processing Personal Data (with specific details of Customer’s reasons for objection), and that objection is not unreasonable in Company’s reasonable determination, Company will use commercially reasonable efforts to provide an alternative method for provision of the Service to Customer, without Processing Personal Data using the new Sub-processor. If no objection is received within such ten (10) day period, such Sub-Processor shall be deemed approved. For example, Company may allow Customer to ‘turn off’ or ‘opt-out’ of certain features provided by a Sub-Processor. If Company is unable to make reasonable changes to the Service within 60 days of Customer’s written objection, Customer may terminate the Service.
Notice and Objection. Provider shall provide sixty (60) days’ prior written notice to Company of any addition or replacement of a Subprocessor. If Company objects to Provider’s proposed use of a new Subprocessor, Provider and Company shall work together in good faith to find a mutually acceptable resolution to such objection before Provider engages the Subprocessor. If the Parties are unable to reach a mutually acceptable resolution within thirty (30) days after such written notice, Company may terminate the Agreement and cancel the Services by providing written notice to Provider and receive a refund of any prepaid fees under the Agreement.

(c) If the Notice is given by the Executive for Good Reason, the Executive may cease performing his duties hereunder on or after the date fifteen days after the delivery of Notice of Termination and shall in any event cease employment on the Termination Date. If the Notice is given by the Company, then the Executive may cease performing his duties hereunder on the date of receipt of the Notice of Termination, subject to the Executive’s rights hereunder. (d) The Executive shall have thirty days, or such longer period as the Company may determine to be appropriate, to cure any conduct or act, if curable, alleged to provide grounds for termination of the Executive’s employment for Cause under this Agreement pursuant to Section 1(f)(iii). (e) The recipient of any Notice of Termination shall personally deliver or mail in accordance with Section 23 written notice of any dispute relating to such Notice of Termination to the party giving such Notice within fifteen days after receipt thereof; provided, however, that if the Executive’s conduct or act alleged to provide grounds for termination by the Company for Cause is curable, then such period shall be thirty days. After the expiration of such period, the contents of the Notice of Termination shall become final and not subject to dispute.

  • Dispute Notice If there is a dispute between the parties, then either party may give a notice to the other succinctly setting out the details of the dispute and stating that it is a dispute notice given under this clause 17.1.

IF YOU REFUSE TO SUBMIT TO ARBITRATION AFTER AGREEING TO THIS PROVISION, YOU MAY BE COMPELLED TO ARBITRATE UNDER THE AUTHORITY OF THE CALIFORNIA CODE OF CIVIL PROCEDURE. YOUR AGREEMENT TO THIS ARBITRATION PROVISION IS VOLUNTARY.

  • Legal Action Notice A prompt report of any legal actions pending or threatened in writing against Borrower or any of its Subsidiaries that could result in damages or costs to Borrower or any of its Subsidiaries of, individually or in the aggregate, One Hundred Thousand Dollars ($100,000) or more; and

  • No Objection FINRA has confirmed that it has not raised any objection with respect to the fairness and reasonableness of the underwriting terms and arrangements relating to the offering of the Securities.

  • Notice and Cure Period In the event of a breach, the aggrieved Party shall give written notice of breach to the other Party. If the notified Party does not cure the breach, at its sole expense, within 30 days after the delivery of written notice, the Party may exercise any of the remedies as described in §14 for that Party. Notwithstanding any provision of this Agreement to the contrary, the State, in its discretion, need not provide notice or a cure period and may immediately terminate this Agreement in whole or in part or institute any other remedy in the Agreement in order to protect the public interest of the State.
