Notices to Rating Agency Sample Clauses
Notices to Rating Agency. The Company, the Master Servicer or the Trustee, as applicable, shall notify each Rating Agency and the Subservicer at such time as it is otherwise required pursuant to this Agreement to give notice of the occurrence of, any of the events described in clause (a), (b), (c), (d), (g), (h), (i) or (j) below or provide a copy to each Rating Agency at such time as otherwise required to be delivered pursuant to this Agreement of any of the statements described in clauses (e) and (f) below:
(a) a material change or amendment to this Agreement,
(b) the occurrence of an Event of Default,
(c) the termination or appointment of a successor Master Servicer or Trustee or a change in the majority ownership of the Trustee,
(d) the filing of any claim under the Master Servicer's blanket fidelity bond and the errors and omissions insurance policy required by Section 3.12 or the cancellation or modification of coverage under any such instrument,
(e) the statement required to be delivered to the Holders of each Class of Certificates pursuant to Section 4.03, 104
(f) the statements required to be delivered pursuant to Sections 3.18 and 3.19,
(g) a change in the location of the Custodial Account or the Certificate Account,
(h) the occurrence of any monthly cash flow shortfall to the Holders of any Class of Certificates resulting from the failure by the Master Servicer to make an Advance pursuant to Section 4.04,
(i) the occurrence of the Final Distribution Date, and
(j) the repurchase of or substitution for any Mortgage Loan, provided, however, that with respect to notice of the occurrence of the events described in clauses (d), (g) or (h) above, the Master Servicer shall provide prompt written notice to each Rating Agency and the Subservicer of any such event known to the Master Servicer.
Notices to Rating Agency. The Company, the Certificate Administrator or the Trustee, as applicable, shall notify the Rating Agency at such time as it is otherwise required pursuant to this Agreement to give notice of the occurrence of any of the events described in clauses (a), (b), (c), (f) or (g) below or provide a copy to the Rating Agency at such time as otherwise required to be delivered pursuant to this Agreement of any of the statements described in clauses (d) and (e) below:
(a) a material change or amendment to this Agreement;
(b) the occurrence of an Event of Default;
(c) the termination or appointment of a successor Certificate Administrator or Trustee or a change in the majority ownership of the Trustee;
(d) the statement required to be delivered to the Holders of the Certificates pursuant to Section 4.02;
(e) the statements required to be delivered pursuant to Section 3.05;
(f) a change in the location of the Certificate Account;
(g) the occurrence of the Final Distribution Date; and
(h) the repurchase of any Underlying Agency Securities.
Notices to Rating Agency. The Depositor, the Master Servicer or the Trustee, as applicable, shall notify each Rating Agency and any Subservicers at such time as it is otherwise required pursuant to this Agreement to give notice of the occurrence of, any of the events described in clause (a), (b), (c), (d), (g), (h), (i) or (j) below or provide a copy to each Rating Agency at such time as otherwise required to be delivered pursuant to this Agreement of any of the statements described in clauses (e) and (f) below:
(a) a material change or amendment to this Agreement,
(b) the occurrence of an Event of Default,
(c) the termination or appointment of a successor Master Servicer or Trustee or a change in the majority ownership of the Trustee,
Notices to Rating Agency. The address for any notice or communication by any party to any Rating Agency shall be as set forth in Section 14.1 of the Base Indenture.
Notices to Rating Agency. Written notice shall be provided by the Trustee to each Rating Agency at the time maintaining a credit rating with respect to the Bonds of (i) the appointment of any successor Trustee, Tender Agent, or Placement and Remarketing Agent, (ii) any Supplemental Indenture or any amendment to the Loan Agreement or the Letter of Credit, (iii) the expiration, termination, substitution or extension of the Letter of Credit, (iv) the payment of all Outstanding Bonds, (v) the conversion of the Bonds to the Fixed Rate, and (vi) any acceleration of the Bonds.
Notices to Rating Agency. The Grantor Trust Trustee shall notify the Rating Agency at such time as it is otherwise required pursuant to this Agreement to give notice of the occurrence of any of the events described in clauses (a), (b), or (e) below or provide a copy to the Rating Agency at such time as otherwise required to be delivered pursuant to this Agreement of each of the statements described in clauses (c) and (e) below:
(a) a material change or amendment to this Agreement,
(b) the termination or appointment of a successor Grantor Trust Trustee or a change in the majority ownership of the Grantor Trust Trustee,
(c) the monthly distribution statement required to be made available or delivered to the Grantor Trust Certificateholders pursuant to Section 3.06,
(d) Notice of Final Distribution required to be delivered pursuant to Section 7.01(b), and
(e) a change in the location of the Certificate Account. The Depositor shall notify the Rating Agencies of any change in its identity.

Notices to Rating Agency. The Trustee shall notify the Rating Agency at such time as it is otherwise required pursuant to this Agreement to give notice of the occurrence of any of the events described in clauses (a), (b), or (e) below or provide a copy to the Rating Agency at such time as otherwise required to be delivered pursuant to this Agreement of each of the statements described in clauses (c) and (e) below:
(a) a material change or amendment to this Agreement,
(b) the termination or appointment of a successor Trustee or a change in the majority ownership of the Trustee,
(c) the monthly distribution statement required to be made available or delivered to the Certificateholders pursuant to Section 3.06,
(d) Notice of Final Distribution required to be delivered pursuant to Section 7.01(b), and
(e) a change in the location of the Certificate Account. The Depositor shall notify the Rating Agency of any change in its identity.
Notices to Rating Agency. (A) The Trustee shall immediately notify Standard & Poor's if any of the following events occur:
(1) any expiration, termination, substitution or extension relating to the Letter of Credit or any Substitute Letter of Credit;
(2) any redemption or purchase of all Outstanding Bonds;
(3) any amendment to any Financing Document entered into or consented to by the Trustee pursuant to Article VIII or Article IX hereof; or
(4) the exercise by the Company of the Conversion Option.
(B) All notices to Standard & Poor's required by this Section 1111 shall be sent to the following address: Standard & Poor's 00 Xxxxxxxx, 00xx Xxxxx Xxx Xxxx, Xxx Xxxx 00000 Attention: LOC Surveillance Group Standard & Poor's may, by notice in writing to the Trustee, designate any further or different address to which subsequent notices under this Section 1111 shall be sent.
